Pada tanggal 10 Juli 2007, Perusahaan mengadakan Perjanjian Penerbitan Waran
Warrant Issuance Agreement dengan ARF salah satu dari Ashmore Funds dan dengan
PT Adikarsa Sarana, PT Prima Karya Gemilang, PT Tiga Saudara Harmonis,
PT Jayatama Tekno Sejahtera, PT Era Baru Cemerlang dan PT Jejaring Karya Matana
masing-masing adalah pemegang saham Perusahaan, dimana pihak-pihak tersebut telah
memberikan persetujuan kepada Perusahaan untuk menerbitkan 918.223 waran “Waran”
kepada ARF. Setiap waran memberikan hak kepada pemegangnya untuk memesan satu
lembar saham biasa yang baru diterbitkan dengan nilai nominal sebesar Rp 1.000 angka
penuh atas saham Perusahaan sebanyak 918.223 “Saham Pemesanan”, yang
merupakan 8,41 dari jumlah saham setelah pelaksanaan penerbitan saham tersebut,
dengan nilai sebesar AS26,14 per saham atau dengan jumlah harga pemesanan sebesar
AS24.000.000 “Harga Pemesanan”. ARF telah menempatkan jumlah yang setara dengan
Harga Pemesanan sebagai uang muka “Uang Muka Pemesanan Saham”. Apabila dengan
suatu alasan tertentu, waran tersebut tidak dikonversi, waran tersebut akan berakhir

On July 10, 2007, the Company entered into the Warrant Issuance Agreement with ARF one of the
Ashmore Funds, and with PT Adikarsa Sarana, PT
Prima Karya Gemilang, PT Tiga Saudara Harmonis, PT Jayatama Tekno Sejahtera, PT Era
Baru Cemerlang and PT Jejaring Karya Matana each are the Company’s Shareholder whereby
the parties has agreed that the Company issue 918,223 warrants the “Warrants” to ARF. Each of
the Warrants entitles its holder to subscribe for one newly issued ordinary share having a par value of
Rp 1,000 full amount in the share capital of the Company for a total number of subscription shares
of 918,223 “Subscription Shares”, which following such issuance will represent 8.41 of the total
number of shares on issue post exercise, for US26.14 per share or a total subscription price of
US24,000,000 “Subscription Price”. ARF deposited an amount equal to the Subscription
Price with the Company as an advance payment “Advance For Future Stock Subscription”. If for
any reason, the warrants are not exercised, the termination date of the Warrants is 18 eighteen
months from the date of the agreement.
