LONG-TERM LOANS continued Pinjaman Perusahaanlanjutan: Company’s loanscontinued: Pinjaman Sindikasi lanjutan Syndicated Loan continued Sesuai dengan perjanjian kredit tersebut, Perusahaan diwajibkan memenuhi batasan-batasan tertentu seperti batasan-batasan rasio keuangan. Pada tanggal 31 Desember 2011, Perusahaan tidak memenuhi salah satu persyaratan dan pembatasan yaitu Rasio Debt Service Coverage dimana realisasi angka rasio sebesar 0,9 kali atau lebih rendah dari persyaratan dalam Perjanjian Pinjaman sebesar minimal 1,1 kali. Atas kondisi diatas, Perusahaan telah mengajukan permohonan waiver dan telah disetujui. As specified by the credit agreement, the Company is required to comply with certain covenants, such as, financial ratio covenants. As at 31 December 2011, the Company has not complied with one of the requirement and covenants, which is Debt Service Coverage Ratio with the actual ratio is 0.9 times or less than required by the Loan Agreement at the minimum 1.1 times. Due to the above condition, the Company has applied for a waiver and has been approved. Fasilitas kredit ini dijamin dengan: - Tanah dan bangunan dengan nilai tanggungan sampai sejumlah Rp500.251. - Jaminan fidusia atas mesin dan peralatan dengan nilai penjaminan Rp1.368.098 atau ekuivalennya dalam AS. - Pengalihan secara bersyarat hak atas rekening operasional dan rekening penampungan. This credit facility is secured by: - Land buliding with a total value up to Rp500,251. - - Fiduciary on machinery and equipments with a total value up to Rp1,368,098 or equivalent to US Dollar. - Fiduciary transferred of balance in escrow and operational account. The Bank of Tokyo-Mitsubishi UFJ Ltd. BTMU The Bank of Tokyo-Mitsubishi UFJ Ltd. BTMU Sebagaimana telah disebutkan dalam Catatan 13, pada tanggal 30 Maret 2010, Perusahaan memperoleh fasilitas kredit Tranche A dari BTMU. As mentioned in Note 13, on 30 March 2010, the Company obtained the Tranche A credit facility from BTMU. Fasilitas Tranche A berupa fasilitas kredit berjangka sebesar AS18,0 juta yang digunakan untuk melunasi fasilitas pembiayaan dari Danamon. Fasilitas kredit ini berjangka waktu 4 empat tahun dan dikenakan bunga sebesar biaya fasilitas BTMU 1 bulan. Tranche A facility represents term loan facility with a maximum facility amounting to US18.0 million which used to take over credit facilities from Danamon. This facility is payable in 4 four years and bears interest at 1 month BTMU cost of fund. Fasilitas kredit ini dijamin dengan: This credit facility is secured by: - Akta pengalihan semua kontrak VICO dengan Perusahaan dan kontrak Perusahaan yang lain yang dialihkan pada fasilitas ini. - Deed of assignment of VICO’s contract with the Company and any other specific contracts assigned to this facility. - Akta fidusia atas rig 1.500 HP. - Deed of fiduciary security over 1,500 HP rig. - Akta fidusia atas piutang dari kontrak VICO atau kontrak lain apapun yang dialihkan pada fasilitas ini. - Deed of fiduciary security over receivables from VICO’s contract or any other contract assigned to this facility. - Akta pemberian jaminan atas semua rekening Perusahaan terkait fasilitas ini. - Deed of pledge of the Company’s accounts related to this facility. - Akta pengalihan atas klaim asuransi atas rig yang dijaminkan. - Deed of assignment over insurance claims over the rig securitized under this facility.
