d. Perjanjian Kerjasama Usaha Perjanjian KSU antara Perum Perumnas Perumnas dengan Entitas Induk lanjutan d. Joint Ventures Agreement between Perum Perumnas Perumnas with the Company continued Pada tanggal 24 Mei 2011, para pihak telah menandatangani addendum perjanjian yang berlaku hingga 36 bulan sejak tanggal addendum perjanjian. Sampai dengan tanggal laporan keuangan, perjanjian ini masih dalam proses perpanjangan. On May 24, 2011, the parties have signed the addendum agreement which was valid within 36 months from the date of the addendum agreement. Until the date of financial report, the addendum is still in process. Pada tanggal 24 Mei 2011, berdasarkan perjanjian Kerjasama Usaha No. DIRUT30497V2011 untuk Perumnas dan No. 003KSUBLD-PerumnasV2011 untuk Entitas Induk, Perumnas dan Entitas Induk mengadakan perjanjian Kerjasama Usaha pembangunan dan pemasaran gedung komersial dan hunian yang merupakan bagian dari perencanaan dan pengembangan kawasan di atas tanah HPL No. 21997 Pulogebang dan Sentra Primer Baru Timur SPBT Jakarta Timur seluas 31 hektar. Perjanjian Kerjasama Operasi Hotel e. Hotel Operational Partnership Agreement Pada tanggal 12 Ramadhan 1431H atau 22 Agustus 2010, PT Bakrie Bangun Persada B2P menandatangani perjanjian kerjasama dengan Al Saraya Al-Mubaraka “ASM”, untuk membentuk kerjasama mengelola mengoperasikan 3 proyek hotel di Mekkah dan Madinah - Kerajaan Arab Saudi dengan cara menyewa kepada pihak lain. B2P juga harus membayar sebesar SAR 3,80 juta sebagai Take Over Cost kepada pihak ASM. On 12 Ramadan 1431 H or August 22, 2010, PT Bakrie Bangun Persada B2P signed a cooperation agreement with Al Saraya Al- Mubaraka “ASM”, to form a partnership to manage and operate 3 hotel projects in Mecca and Medina - Kingdom of Saudi Arabia by lease to another parties. B2P also have to pay an amount of SAR 3.8 million as Take Over Cost to the ASM. Jangka waktu perjanjian adalah 6 tahun dan dapat diperpanjang sesuai perjanjian. The agreement is valid for 6 years and can be extended if agreed by both parties. Pada tanggal 3 Juni 2011 atau 1 Rajab 1432H, B2P dan ASM, melakukan addendum perjanjian, yang isinya antara lain: 1. Perubahan proyek hotel yang dikelola dari 3 menjadi 4 hotel; 2. Nama Joint Operation Body “JOB” adalah Al Saraya Bakrie, yang keduanya memiliki kontrol penuh atas JOB tersebut dan berlaku terhadap pengelolaan Manajemen dan Operasional Hotel; 3. Perubahan nama-nama hotel sesuai dengan kesepakatan; 4. Take Over Cost menjadi sebesar SAR 6 juta; On June 3, 2011 or 1 Rajab 1432 H, B2P and ASM, signed addendum of the agreement, as follows: 1. Changes in number of managed hotel projects from 3 to 4 hotels; 2. Joint Operation Body “JOB” named the Al Saraya Bakrie, which both have full control over the JOB and this applied to the Hotel Management Operations; 3. Change the names of the hotel in accordance with the agreement; 4. Take Over Cost became SAR 6 million; 5. B2P harus membayar Annual Rental Cost untuk tahun pertama sebesar SAR 27,27 juta secara bertahap dan untuk tahun kedua dan seterusnya, besarnya sewa SAR 55,67 juta per tahun; 6. Kesepakatan pembagian hasil sebagai berikut: 5.
