PT Bank Sulut Bank, formerly named PT Bank Pembangunan Daerah Sulawesi Utara was established under the name of Bank
Pembangunan Daerah Sulawesi Utara Tengah Regional Development Bank of North Central Sulawesi based on the notarial
DeedNo. 88datedMarch 17, 1961 by Raden Hadiwido, a substitute notarytoRadenKadimanS.H., aNotaryinJakartaamendedwiththe
Deed on the Amendments to the Article of Association No. 22 dated August 4, 1961 by Raden Kadiman S.H., a Notary Public in Jakarta
and Deed on the Amendments to the Article of Assiciation No. 46 dated October 10, 1961 by Raden Hadiwido, substitute notary to
RadenKadimanS.H., aNotaryinJakarta. Thedeedof establishment wasapprovedbytheMinistryofJusticeandHumanRightsofRepublic
of Indonesia in its decision letter No.J.A.51096 dated October 13, 1961.
The Banks’ Article of Association had been amended several times, the recent amendment being based on the Regulations of the Local
Government of North Sulawesi Province No. 11999 regarding the Transformation of the legacy entity status of Bank Pembangunan
Daerah Sulawesi Utara from a Local Company into a Limited Company PT ratifiedby theDecreeof Minister of HomeAffairs No.
584.61-174 dated March 11, 1999, and enacted through the Local Gazetteof NorthSulawesi ProvinceD. SeriesNo. 011999datedApril
12, 1999whichdetermines matterssuchasthetransformationof the legacy entity status fromLocal Company into Limited Company PT
andtheincreaseofauthorizedcapital. The amendment to the above mentioned Articles of Association has
been notarized by the Deed No. 7 dated April 14, 1999 by Joanes Tommy Lasut, S.H., a notary in Manado that was approved by the
Ministryof JusticeandHumanRightsof theRepublicof IndonesiaNo. C-8298.HT.01.01.TH’99 dated May 14, 1999 and registered in the
Company Registry at Manado Municipality Registration Office under No. 83BH18.05V1999 dated May 21, 1999 and published in the
State Gazette of the Republic of Indonesia No. 63 dated August 6, 1999 and Supplement No. 4772 of State Gazette of the Republic of
Indonesia. The amendment of Bank’ Articles of Association was based
extraordinary general meeting of shareholders of PT Bank Sulut on May18, 2009andcontinuedonMay27, 2009,effectedbythenotarial
deed No. 67 dated Juny 12, 2009 by M.S.E. Pangemanan, S.H., a notary in Manado relating increase of authorised capital from Rp
300,000,000,000.- to Rp 500,000,000,000.-. It was legalized by Minister of JusticeandHumanRight of Republicof Indonesiathrough
his Decision Letter No. AHU-37607.AH.01.02 Year 2009 dated Agustus6,2009.
