Continued Pada tanggal 6 Oktober 2010 Perusahaan dan SAU menandatangani addendum perjanjian distributor dimana jangka waktu perjanjian distributor tersebut diubah menjadi 5 lima tahun terhitung sejak tanggal addendum dan dapat diperpanjang kembali berdasarkan persetujuan para pihak. On October 6, 2010 the Company and SAU signed an addendum of Distribution Agreement where the agreement was extended for 5five years from the addendum date and can be extended based on mutual agreement on both parties. b. Terhitung mulai tanggal 15 Desember 1999, RPE telah mengakuisisi 100 kepemilikan di area Tanjung Miring Timur, yakni sebuah blok produksi yang dijamin oleh PERTAMINA berdasarkan Technical Assistance Contract TAC dimana sebelumnya dioperasikan oleh Western Nusantara Energy Pty Ltd, WNE. b. Effective on December 15, 1999, RPE has acquired 100 participating interest in Tanjung Miring Timur Area, an oil production block granted by PERTAMINA on the basis of Technical Assistance Contract TAC, formerly operated by Western Nusantara Energy Pty. Ltd. WNE. TAC operasi gabungan antara RPE dan PERTAMINA yang akan berakhir pada 16 Desember 2016, atau setara dengan kontrak selama 20 tahun dimulai sejak tahun 1996. Bidang pengoperasian berdasarkan kontrak TAC ini berlokasi di Tanjung Miring Timur, Kabupaten Prabumulih, Sumatera Selatan dan memiliki area total 61, 61km2. TAC constitutes a join operation between RPE and PERTAMINA and shall end on December 16, 2016, or equivalent to 20 years of contract since its first was entered in 1996. The operating field under this TAC is located at Tanjung Miring Timur, Kabupaten Prabumulih, South Sumatera and covering a total area for production of 61.61km 2. Kontrak tersebut mengharuskan RPE dan Goldwater TMT Pte Ltd GTMT Kontraktor untuk melakukan pembiayaan seluruh biaya-biaya yang dibutuhkan untuk proses produksi dan operasional sebelum diganti diperoleh kembali oleh PERTAMINA. Kontraktor akan mengganti seluruh biaya operasi diluar proses penjualan atau kerugian lain yang terjadi sebagai akibat dari tidak terpenuhinya kuantitas minyak yang dapat didistribusikan pada biaya operasi tersebut yaitu maksimum 80 untuk tahun pertama dan kedua, 75 untuk produksi tahun ketiga dan keempat,70 untuk produksi tahun kelima dan keenam dan 65· untuk jangka waktu sisa kontrak seterusnya. The contract obliged RPE and Goldwater TMT Pte Ltd GTMT the Contractor to finance all necessary costs for production and operation before being recovered from PERTAMINA. The Contractor will recover all operating costs out of the sales proceeds or other disposition of there quired quantity of share able oil equal in value to such operating costs to a maximum of 80 for the first and second production year, 75 for the third and fourth production year, 70 for fifth and sixth production year and 65 for the rest of contract term. Dengan berdasarkan kontrak tersebut, pihak Kontraktor harus mendistribusikan sebagian dari seluruh minyak yang diproduksi dan ditemukan dan dihitung dengan menggunakan rate 26,7857 dari seluruh minyak yang diproduksi dan ditemukan. Pada tanggal 29 Desember 2004, RPE dan GTMT menyetujui Perjanjian Farm - ln Farm -out, dimana RPE sepakat untuk memindahkan dan mentransfer 70 kepemilikan pada Perjanjian TAC kepada GTMT. Perpindahan tersebut terhitung efektif sejak 1 April 2004. Pemindahan kepemilikan tersebut telah disetujui oleh Direktorat Jenderal Minyak dan Gas Migas pada 8 November 2004. Terkait dengan Perjanjian Farm-In Farm-out, pada tanggal 29 Desember 2004, RPE dan GTMT menyetujui Perjanjian Join Operasi. Under such contract, the Contractor is entitled a share of all net oil produced, calculated at the rate of 26.7857 of all net oils produced and lifted. On December 29, 2004, RPE and GTMT entered into a Farm-In Farm-Out Agreement, where RPE agreed to assign and transfer to GTMT 70 of participating interest under the TAC Agreement. Such assignment was effectively applied on April 1, 2004. The transfer of such participating interest has been approved by the Directorate General of Oil and Gas Migas on November 8, 2004. Related to such Farm-In Farm- Out Agreement, on December 29, 2004, RPE and GTMT entered into a Joint Operating Agreement. Continued Berdasarkan Perjanjian Joint Operating tersebut, RPE berposisi sebagai operator dalam proses produksi yang dilakukan berdasarkan Perjanjian TAC dan Joint Operating. Partisipasi kepemilikan awal dari perjanjian tersebut adalah: -RPE 30 -GTMT 70 Pada tanggal 20 Juni 2011 RPE telah melakukan penjualan 30 partisipasi kepemilikan pada TAC PERTAMINA - RPE kepada GTMT. Under such Operating Agreement, RPE shall become the Operator for the parties with respect to the operations performed under TAC and the Operating Agreement. The initial Participating Interest of the parties are as follows: -RPE 30 -GTMT 70 On June 20, 2011 the subsidiary has sold 30 participating Interest in TAC PERTAMINA - RPE to GTMT. c. Pada tanggal 22 Mei 2000 terjadi penandatanganan kontrak kerja sama antara PT Pertamina dengan PT Binatek Reka Kruh BRK dalam hal eksplorasi dan eksploitasi gas dan minyak bumi yang berdasarkan Technical Assistance Contract . Kontrak berjangka waktu 20 tahun dimulai dari tanggal efektif. Dalam kontrak tersebut disebutkan Pertamina akan bertanggungjawab terhadap pengelolaan operasional dan kontraktor dalam hal ini BRK harus menanggung semua beban keuangan dan bantuan teknis terhadap operasi-operasi tersebut. c. On May 22, 2000 PT Pertamina entered an agreement with PT Binatek Reka Kruh BRK in exploration and explotation of natural gas and crude oil which based on Technical Assistance Contract TAC. The term of this contract shall be twenty 20 years as from the effective date. On contract written that Pertamina will have and be responsible for the management of the operations and the Contractor in this case, BRK, shall provide all the financial and technical assistance for such operations. Kontraktor akan menanggung semua biaya operasional yang terkait operasi-operasi tersebut dan memiliki kepentingan ekonomi dalam pengembangan deposit minyak di area wilayah kontrak. Total keseluruhan area lebih kurang 258,1 km 2 yang terletak di Kruh dan Kaya Pendopo, Sumatera Selatan. Contractor shall carry the risk of operating costs required in carrying out opera tions and shall therefore have an economic interest in the development of the petroleum deposits in the contract area. The total of contract area approximately 258.1 square kilometers which placed on Kruh and Kaya area, Pendopo, South Sumatera. Untuk eksplorasi minyak mentah Kontraktor akan memulihkan semua biaya operasional maksimum 65 per tahun dari seluruh produksi minyak mentah dan menyimpannya serta tidak menggunakannya untuk operasional eksplorasi minyak. Minyak mentah setelah dikurangi dengan biaya operasional tersebut akan diambil dan diterima oleh Pertamina sebesar 73,2143 dan kontraktor akan menerima 26,7857 sisanya. For the exploration of crude oil, the Contractor will recover all the operating costs maximum 65 per annum from the total of crude oil production and save hereunder and not used in petroleum operations. Of the crude oil remaining after deducting operating costs, Pertamina shall be entitled to take and received 73.2143 and the Contractor shall be entitled to take and receive 26.7857 remaining. Untuk eksplorasi gas alam, setiap gas alam yang dihasilkan diarea kontrak tidak digunakan untuk operasional eksplorasi minyak bumi. Kedua pihak sepakat bahwa semua pendapatan dan beban yang berasal dari pemrosesan, pemanfaatan dan penjualan gas bumi diperlakukan setara dengan yang disebutkan dalam dokumen mengenai operasi minyak dan disposisi minyak mentah kecuali, dari gas alam, atau fraksi propana dan butana yang di ekstrak dari gas alam. For natural gas exploration, any natural gas produced from the contract area to the extent not used in petroleum operations. Both Pertamina and the Contractor agreed that all revenues and costs derived from such processing and utilization and sale of natural gas shall be treated on a basis equivalent to that provided for herein concerning petroleum operations and disposition of crude oil except, of the natural gas, or the propane and butane fractions extract from the natural gas.
