BNR continued
s. Pada tanggal 14 Agustus 2015, PT Bali Nirwana Resort “BNR”, entitas anak,
menandatangani perjanjian-perjanjian
sebagai berikut: s. On August 14, 2015, PT Bali Nirwana Resort
“BNR”, a subsidiary, entered into
agreements with details follow: i.
BNR mengadakan Perjanjian Jasa Teknis dengan DT Bali Technical
Services Manager LLC DTBT, dimana DTBT akan menyediakan bantuan
teknis dan konsultasi atas konstruksi, teknik, perencanaan, pemprograman
sehubungan dengan pembangunan proyek kawasan hiburan terintegrasi
dan komponen pengembangan resor yang berlokasi, di Raya Tanah Lot,
Tabanan, Bali. BNR setuju untuk membayar imbalan sebesar 11,904.76
tiap bulannya selama 42 bulan. Selama tahun 2015, belum ada pembayaran
terkait dengan perjanjian ini. i.
BNR entered into Technical Services Agreement with DT Bali Technical
Services Manager LLC DTBT, whereby DTBT will provide technical assistance
and consultation for the construction, engineering, planning and programming
for the construction of integrated entertainment and resort development
components located in Raya Tanah Lot, Tabanan, Bali. BNR agreed to pay a
technical fee payable in 42 equal monthly installments of 11,904.76
commencing from the date of the agreement. During 2015, there is no
payment related to this agreement. Perjanjian ini berlaku sejak tanggal
perjanjian sampai dengan a tanggal pembukaan b tanggal difinalisasi
“Deficiency List” yang disetujui BTSP, kecuali jika diakhiri lebih cepat sesuai
dengan ketentuan dalam perjanjian ini. This agreement is valid from the date of
the agreement and expired, on the later of a the Opening Date b the date the
work on the Deficiency List is completed to BTSP’s reasonable satisfaction,
unless terminated earlier in accordance with the terms of this agreement.
ii. BNR mengadakan Perjanjian Jasa
Manajemen Hotel dengan DT Bali Hotel Manager LLC DTBHM, dimana
DTBHM akan
mengawasi, mengarahkan
dan mengatur
manajemen dan operasional serta berlaku sebagai operator eksklusif
selama jangka waktu tertentu. Sebagai kompensasinya,
DTBHM akan
menerima i tarif dasar manajemen, ii insentif jasa manajemen berdasarkan
perhitungan yang ditentukan dalam perjanjian ini. Selama 2015, tidak ada
kompensasi yang dibayarkan terkait perjanjian ini.
ii. BNR entered into Hotel Management
Agreement with DT Bali Hotel Manager LLC DTBHM, whereby DTBHM will
provide supervise, direct and control the management and operation of all
aspects and as the exclusive operator during the term. As compensation,
DTBHM is entitled to receive i base management
fee ii
incentive management fee which are based on
certain computation that determined on this agreement. During 2015, no
compensation have been paid.
