Pernyataan-pernyataan prospektif dalam laporan tahunan ini dibuat berdasarkan berbagai asumsi mengenai kondisi terkini dan kondisi mendatang Perseroan serta lingkungan bisnis di mana Perseroan menjalankan kegiatan usaha. Pernyataan-pernyataan tersebut memiliki prospek risiko, ketidakpastian, serta dapat mengakibatkan perkembangan aktual yang secara material berbeda dari yang dilaporkan. Laporan tahunan ini memuat kata “ Perseroan “ dideinisikan sebagai PT Kino Indonesia Tbk. yang menjalankan kegiatan usaha utama dalam bidang consumer goods. Adakalanya kata “Kami” dan “Kino” juga digunakan atas dasar kemudahan untuk menyebut PT Kino Indonesia Tbk. secara umum.
This annual report contains inancial conditions, operating results, policies, projections, plans, strategies, and objectives of PT Kino Indonesia Tbk. (“Company”) that classiied as future statements in the enforcement of prevailing laws excluding the historical matters.
Prospective statements in this annual report are composed based on assumptions of current and future conditions of the Company as well as the business environment where the Company conducts its business activities. These statements have risks and uncertainties that may lead to the diferent actual material developments from what has been reported. The Company does not guarantee that the whole actions taken based on the validated documents will bring speciic results as expected.
This annual report contains the word “Company” that deined as PT Kino Indonesia Tbk, which its main business activities are in consumer goods business. The word “We” and “Kino” are henceforth used to simply refer to PT Kino Indonesia Tbk in general.

Pencatatan Saham
Saham Perseroan mulai tercatat di Bursa Efek Indonesia pada 11 Desember 2015 dengan kode saham “KINO”. Perkembangan harga saham Perseroan pada 2016 berjalan seiring dengan pergerakan IHSG dan mengikuti sentimen perkembangan kondisi ekonomi Indonesia. Fluktuasi saham Perseroan bergerak dinamis dengan mencatat titik tertinggi di harga Rp7.175 pada 19 Juli 2015. Namun KINO kemudian mengalami penurunan hingga titik terendah mencapai Rp2.250 pada 23 Desember 2016. Pada 30 Desember 2016 saham Perseroan ditutup pada harga Rp3.030 dengan kapitalisasi pasar mencapai Rp4.328.571.645.000.

Stock Listing
The Company’s shares were irst listed in Indonesia Stock Exchange on 11th December 2015 with the stock code of “KINO”.
The stock price movement of the Company in 2016 is following the JCI movement and sentiment of the economic condition development in Indonesia. The luctuation of the Company’s stock was moving dynamically since then and reached its highest point at Rp7,175 on 19th July 2015. On the contrary,
Kino’s share price decreased to the lowest point at Rp2,250 on 23rd December 2016. On 30th December 2016, the Company’s
stock was closed at Rp3,030 with the market capitalization of Rp4,328,571,645,000.

* The Company conducted IPO in quarter IV in 2015 so that the information of stock performance in quarter I until quarter III in 2015 could not be presented.

Hingga saat ini, Perseroan belum menerbitkan obligasi, sukuk, atau obligasi konversi sehingga informasi tentang hal tersebut tidak dapat disajikan dalam laporan ini.
Up to this moment, the Company has not issued any bonds, sukuk or convertible bonds and the information is not available in this report.
• Penyelenggaraan Rapat Umum Pemegang Saham Tahunan
(RUPST) dan Paparan Publik pada 25 Mei 2016 bertempat di Ritz-Carlton Paciic Place, Jakarta.
• Pembagian dividen tunai kepada Pemegang Saham
sebesar Rp37 per lembar saham pada 6 Juni 2016.
• Akuisisi merek jamu Dua Putri Dewi. Merek Dua Putri
Dewi telah berusia lebih dari 30 tahun dan merupakan warisan tempo dulu dan merupakan aset bangsa yang bersejarah. Dengan diakuisisinya merek ini, Perseroan ingin mengembangkan produk-produk herbal yang telah menjadi tren yang meluas di masyarakat Indonesia dengan semakin tingginya kesadaran konsumen mengenai pentingnya mengonsumsi produk-produk dengan bahan dasar alami (natural) dibandingkan produk-produk dengan bahan dasar kimia.
• Akuisisi usaha Grup Ristra yang bergerak dalam bidang
cosmetodermatology, yaitu kosmetik dengan kemampuan menyembuhkan. Ristra merupakan merek dagang atas produk-produk kesehatan dan kecantikan kulit yang mulai diperkenalkan dan dikembangkan oleh Ristra Grup sejak 33 tahun yang lalu dan sudah mempunyai karakter kuat di masyarakat pengguna kosmetik sebagai “Cosmeceutical Expert” dengan “Evidence-Based Safe Cosmetics”. Akuisisi ini tidak hanya terhadap fasilitas produksi namun juga terhadap klinik-klinik Ristra yang tersebar di beberapa kota di Indonesia.
• Execution of Annual General Meeting of Shareholders
(AGMS) and Public Expose on 25th May 2016 at Ritz-Carlton
Paciic Place, Jakarta.
• Cash dividend distribution to Shareholders amounted to
Rp37 per share on 6th June 2016.
• Acquisition of traditional herbal medicine brand “Dua Putri
Dewi”. Dua Putri Dewi brand has existed for more than 30 years and a heritage which is a historical national asset. With the acquisition of the brand, the Company wants to expand the herbal products which has turned into a trend in Indonesia with rising of consumer consciousness about the importance of consuming natural-based products as compared to chemical-based products.
• Business acquisition of Ristra Group that specializes in
cosmetodermatology approach, a cosmetic with healing ability. Ristra is a trademark of health and skincare products which has been introduced and developed by Ristra Group since 33 years ago, and has already obtained strong character in cosmetic users as “Cosmeceutical Expert” with “Evidence-Based Safe Cosmetics”. This acquisition is not only to the production facility, but it is also to Ristra clinics located in several cities in Indonesia.

Para pemegang saham yang kami hormati,
Tahun 2016 menjadi momentum penting bagi kami setelah Perseroan berhasil tercatat sebagai perusahaan terbuka pada 11 Desember tahun lalu. Penawaran saham perdana (initial public ofering/ IPO) merupakan sebuah titik pencapaian sekaligus modal awal bagi Perseroan untuk melakukan pertumbuhan ke arah yang lebih besar serta memantapkan langkah menuju visi sebagai perusahaan yang mendunia. Dengan IPO, besar keyakinan kami Perseroan akan dapat membuka peluang baru di masa depan sehingga turut memberikan kontribusi lebih kepada masyarakat luas dan segenap pemangku kepentingan.

Sepanjang tahun 2016, Dewan Komisaris telah melakukan tu-gas pengawasan terhadap kebijakan manajemen, mekanis me kepengurusan, dan operasional Perseroan yang dijalankan oleh Direksi. Dewan Komisaris juga aktif memberikan arahan, pandangan, dan rekomendasi atas pemenuhan target, peningkatan pertumbuhan Perseroan, serta memastikan nilai-nilai Tata Kelola Perusahaan yang Baik/Good Corporate Governance (GCG) dijalankan sesuai dengan perkembangan peraturan terkini.
Fokus utama pengawasan Dewan Komisaris di tahun ini terutama berkenaan dengan keberhasilan Perseroan menjadi perusahaan publik yang memerlukan kesungguhan lebih solid dalam mempertahankan posisi sebagai perusahaan Fast Moving Consumer Goods (FMCG) terkemuka di Indonesia. Ditambah dengan beratnya hambatan yang ada, baik karena faktor perekonomian maupun ketatnya persaingan usaha, Dewan Komisaris secara aktif mengawasi kebijakan-kebijakan strategis yang dijalankan oleh Direksi agar Perseroan mampu mempertahankan performanya.
Pengawasan ini kami laksanakan di antaranya melalui mekanisme rapat rutin 3 bulanan serta pertemuan-pertemuan berkala setiap bulan bersama Direksi dalam rangka membahas evaluasi kinerja dan permasalahan yang dihadapi oleh Perseroan di sepanjang tahun berjalan. Pada tahun 2016, Dewan Komisaris bersama Direksi telah mengadakan rapat rutin sebanyak 4kali di samping pertemuan lainnya. Dalam pertemuan-pertemuan tersebut, Dewan Komisaris membahas, memberikan tanggapan, serta arahan kepada Direksi utamanya tentang langkah-langkah strategis dalam menghadapi perkembangan pasar, perlunya membentuk struktur Perseroan yang efektif dan eisien, serta ekspansi usaha.
PENILAIAN TERHADAP KINERJA

Atas nama Dewan Komisaris, kami sangat mengapresiasi kinerja Direksi tahun ini karena Perseroan mampu menjaga performa di tengah kondisi yang kurang menguntungkan. Indikator inansial dapat dipertahankan, capaian-capaian non-inan sial menunjukkan kemajuan. Hal ini tentunya mencermin-kan kemampuan Direksi dalam mengambil keputusan dan memanfaatkan peluang bisnis secara optimal.

Throughout 2016, the Board of Commissioners has carried out the supervisory duty on management policy, management mechanism, and the Company’s operations performed by Board of Directors. The Board of Commissioners has also actively providing instructions, views, and recommendations on target fulillment, and growth increment of the Company, and ensuring the Good Corporate Governance (GCG) values are executed in accordance with development of prevailing regulations.
The main focus of the Board of Commissioners’ supervision this year is mainly related to the Company’s success in becoming a public company that requires more solid determination in maintaining its position as a leading Fast Moving Consumer Goods (FMCG) company in Indonesia. Coupled with existing diicult obstacles, either economic factors or intense business competition, the Board of Commissioners has actively supervised strategic policies implemented by the Board of Directors in order for the Company to maintain its performance.
Supervision is carried out through the mechanism of quarterly meeting and regular monthly meeting with the Board of Directors in order to discuss the performance evaluation and problems faced by the Company throughout the year. In 2016, the Board of Commissioner together with the Board of Directors have conducted regular meeting quarterly in addition to other meetings. In these meetings, the Board of Commissioners had discussed, provided responses and instructions to Board of Directors, primarily regarding strategic moves in facing market development, necessities in forming efective and eicient Company structure, and business expansion.
ASSESSMENT ON THE PERFORMANCE
OF BOARD OF DIRECTORS
On behalf of the Board of Commissioners, we are greatly appreciating the performance of Board of Directors, as the Company has the ability to maintain its performance amidst less favorable condition. Financial indicator could be maintained, non-inancial achievements also showed progress. This certainly relects the Board of Directors’ capability in making decisions and utilizing business opportunities optimally.

Berdasarkan pantauan Dewan Komisaris terhadap ke peng-urusan Perseroan, Direksi juga berhasil meneruskan tradisi inovasi yang menjadi roh Perseroan sejak pertama didirikan, baik melalui terobosan kebijakan-kebijakan tepat sasaran terutama melalui pengembangan produk-produk inovatif. Konsistensi Direksi ini pada akhirnya berhasil menuntun Perseroan untuk terus merealisasikan agenda korporasi sesuai strategi bisnis yang ditetapkan meskipun dalam situasi perekonomian yang cenderung kurang mendukung.
Perekonomian Indonesia yang dipengaruhi oleh perlambatan ekonomi global sesungguhnya memberikan dampak yang cukup signiikan pada bidang usaha Perseroan. Namun demikian, Dewan Komisaris melihat bahwa Direksi terus berupaya secara maksimal untuk mengambil langkah tegas dan terukur. Direksi juga selalu berupaya mempertahankan profesionalitas layanan dan kualitas produk agar selalu dapat memenuhi kebutuhan konsumen yang saat ini masih menempatkan Perseroan sebagai pilihan utama dalam memenuhi kebutuhan akan fast moving customer goods. Kesungguhan Direksi dalam menjalankan peraturan per-undang-undangan yang berlaku dan perkembangan aturan terbaru juga sangat kami apresiasi. Sebagai perusahaan yang baru tercatat di Bursa Saham, Direksi mampu mengarahkan seluruh jajaran untuk secara responsif menjalankan setiap aturan yang ada. Hal ini salah satunya terlihat dalam upaya menjalankan GCG secara maksimal disertai usaha untuk terus melengkapi soft structure Perseroan.

Kedua komite secara aktif menganalisa dan merespon perubahan lingkungan bisnis yang berpengaruh terhadap kinerja Perseroan, yang hasilnya kemudian disampaikan kepada Dewan Komisaris melalui pertemuan-pertemuan rutin.
Komite Audit bekerja secara profesional memantau pe-laksanaan audit laporan keuangan Perseroan, memantau kinerja audit internal, meninjau sistem pengendalian internal Perseroan, dan menelaah laporan pelaksanaan GCG Perseroan. Sementara Komite Nominasi & Remunerasi memformulasi

The Board of Directors has always attempt to maintain its professionalism in services and products quality in order to always be able to meet the consumers’ needs whom put the Company as the primary choice in fulilling customer needs in fast moving customer goods.
The Board of Directors’ determination in adhering to the relevant laws and regulations and the development of the latest regulations is also greatly appreciated. As a company that is newly listed in Stock Exchange, the Board of Directors is capable of directing the whole board to abide each rules responsively. This is partly visible in an attempt to run GCG optimally accompanied by the eforts to continuously complementing the Company’s soft structure.

In carrying out its functions and duties, the Board of Commissioners is assisted by the Audit Committee and Nomination and Remuneration Committee. In our assessment, both Committees have been working in harmony with the applicable legislations. Both committees have actively analyze and respond to changes in business environment that afect the Company’s performance, which later the results will be submitted to Board of Commissioners in regular meetings.
The Audit Committee has professionally monitoring audit implementation of the Company’s inancial statements, monitoring internal control system of the Company, and examining GCG implementation report of the Company. While the Nomination & Remuneration Committee has formulating

Sesuai arahan Dewan Komisaris, Direksi juga telah me-laksanakan program tanggung jawab sosial perusahaan (Corporate Social Responsibility/ CSR) secara baik sebagai salah satu bentuk penerapan prinsip GCG. Kegiatan CSR di tahun 2016 terutama fokus pada program-program pendidikan, kesehatan, pembangunan masyarakat, dan pelestarian alam sekitar.
Kami barharap agar konsistensi dalam menjalankan prinsip-prinsip GCG selalu terjaga dan ditingkatkan dari waktu ke waktu sesuai dengan perkembangan peraturan yang ada. Guna memaksimalkan kehadiran Perseroan bagi masyarakat sekitar dan lingkungan, program-program CSR juga agar terus dikembangkan sehingga dapat menyejahterakan masyarakat lebih luas serta berkontribusi terhadap lingkungan yang kian lestari.

We believe that the implementation of GCG will generate a good impact on the Company’s operational activity. Throughout 2016, the Board of Commissioners has viewed that the Board of Directors had implemented GCG optimally in accordance with best practices which eventually bring a positive impact on the Company.
As the Board of Commissioners’ instructions, the Board of Directors has carried out Corporate Social Responsibility (CSR) program properly as a form of GCG principle implementation. CSR activities in 2016 were mainly focusing on programs of education, health, community development, and the preservation of natural surroundings.
We hope that the consistency in implementing the GCG principles will always be maintained and upgraded from time to time in accordance with the development of existing regulations. In order to maximize the presence of the Company for the surrounding community and the environment, CSR programs will also be further developed to prosper societies and contribute to an everlasting environment.

PANDANGAN ATAS PROSPEK USAHA
PERSEROAN
Dewan Komisaris melihat bahwa prospek 2017 tetap men-janjikan seiring dengan kinerja perekonomian global dan nasional yang menunjukkan perbaikan di penghujung tahun 2016. Dukungan Pemerintah terhadap pertumbuhan industri FMCG juga meningkat, seperti terlihat pada upaya-upaya penguatan kebijakan perlindungan konsumen, kepatuhan standar atas peraturan perdagangan, dorongan terhadap kemudahan berbisnis melalui serangkaian kebijakan iskal dan moneter, serta perluasan infrastruktur. Ditambah dengan proses negosiasi dengan organisasi perdagangan internasional dan perjanjian bilateral untuk meningkatkan posisi Indonesia di pasar FMCG global yang terus digalakkan.
Namun dengan tekanan yang berat di tahun ini serta beberapa proyeksi pertumbuhan perekonomian global yang masih akan diliputi ketidakpastian, kami melihat bahwa memang membutuhkan waktu bagi pelaku industri FMCG untuk bisa langsung lepas landas. Berlakunya Masyarakat Ekonomi ASEAN (MEA) juga akan semakin menguatkan persaingan seiring dengan masuknya pemain asing ke ranah bisnis ini.
Bagaimanapun, Perseroan tidak akan berkecil hati. Tantangan memang akan selalu ada, tetapi pintu-pintu peluang juga akan selalu ada. Oleh karena itu, untuk menyongsong tahun 2017,

BUSINESS PROSPECTS
The Board of Commissioners views that the prospects for 2017 remain promising in line with global and national economic performance which has shown improvements at the end of 2016. The Government’s support to the growth of FMCG industry has also increased, as seen in the eforts to strengthen consumer protection policies, standard compliance with trade rules, encouragement for ease of doing business through a series of iscal and monetary policies, as well as the expansion of infrastructure. Coupled with the negotiation process with international trade organizations and bilateral agreements to improve the position of Indonesia in the global FMCG market is to be encouraged.
However, with heavy pressures this year and some global economic growth projections that are still uncertain, we view that it takes time for the FMCG industry players to instantly take of. The efectuation of ASEAN Economic Community (MEA) will also toughen the competition along with the entry of foreign players into the realm of business.
However, the Company will not be discouraged. The challenge will always occur, but the doors of opportunity will always be there. Therefore, to welcome the year of 2017, we believe that

Kino Indonesia Tbk terus melakukan pembenahan dan perubahan internal sesuai dengan dinamika industri consumer goods yang terjadi sepanjang tahun 2016 di Indonesia. Setelah satu tahun menjadi perusahaan publik, kami tentu semakin termotivasi untuk selalu menghadirkan produk-produk inovatif dan memberikan nilai tambah bagi seluruh pemangku kepentingan.

KENDALA DAN TANTANGAN TAHUN
2016
Perseroan menghadapi tantangan yang tidak mudah di sepanjang tahun 2016. Hal ini seiring dengan melambatnya kinerja industri FMCG di Indonesia, baik dipengaruhi akibat faktor global maupun domestik. Dari sisi global, perdagang-an internasional mengalami perlambatperdagang-an sehingga turut mem berikan dampak pada kondisi Indonesia. Pada gilirannya, permintaan produk FMCG turut mengalami kelesuan.
Secara umum, kinerja ekonomi global di sepanjang tahun 2016 berjalan dinamis, namun masih diliputi ketidakpastian. Perbaikan perekonomian Amerika Serikat (AS) memang menunjukkan pemulihan, namun ketidakpastian global pasca pemilu Presiden AS tetap bertahan.
Dari sisi makroekonomi domestik, pertumbuhan penjualan ekspor nasional mengalami pelemahan pada tahun 2016 dan sehubungan dengan adanya upaya pemerintah untuk meningkatkan dan memperbesar tax base ratio di Indonesia, sebagian besar individu dan perusahaan yang ada di Indonesia terutama pada semester kedua telah berpartisipasi pada program pengampunan pajak (tax amnesty). Oleh karena dana pengampunan pajak tersebut yang berhasil diraup dalam program ini jumlahnya cukup besar, maka kondisi ini berdampak pada sentimen dunia usaha menunda intensi dalam investasi mereka, sehingga ekspansi ekonomi mengalami perlambatan terutama pada paruh kedua tahun 2016. Pada akhir periode kedua, deklarasi aset pengampunan pajak mencapai Rp4.296 triliun dan penebusan mencapai Rp103 triliun. Perlambatan terjadi meskipun Bank Indonesia (BI) telah menurunkan kebijakan suku bunga sebanyak empat kali pada tahun 2016 dan telah mengeluarkan belasan paket-paket ekonomi dalam upaya untuk merangsang pertumbuhan ekonomi. Penyerapan dana sehubungan dengan pengampunan pajak tersebut serta perlambatan ekonomi nasional yang berkepanjangan telah menyebabkan penurunan daya beli konsumen dan perubahan tren pola beli konsumen untuk lebih memenuhi kebutuhan pokok daripada kebutuhan sekunder. Pertumbuhan pembelian konsumen pada produk keranjang kecil, ukuran paket kecil, dan produk-produk serta merek-merek yang lebih murah atau trade down trend memiliki dampak yang kuat pada bisnis FMCG sehingga turut memberikan pengaruh kepada kinerja Perseroan.
Cuaca ekstrem yang terjadi di sepanjang tahun 2016 juga memberikan dampak negatif terhadap kinerja Perseroan. Kehadiran La Nina menyebabkan penumpukan massa udara yang banyak mengandung uap air di atmosir Indonesia,

The Company faced diicult challenges within 2016. This is in line with the slowdown performance of FMCG industry in Indonesia, both global and domestic factors. On the global side, international trade had experienced a slowdown, which has impacted Indonesia condition. In turn, the demand for FMCG products has also experienced a decline.
Generally, global economic performance during 2016 had worked dynamically, but still being covered by uncertainties. The US economic improvement is showing a recovery, but the global uncertainty after the election of the President of the United States (US) is still remaining.
From domestic macroeconomic side, the growth of national export sales had weakened in 2016 and in relation to the government’s efort to raise and enlarge the tax base ratio in Indonesia, most individuals and companies in Indonesia speciically in second semester had participated in the tax amnesty program. Due to the huge collection of tax amnesty fund, this condition will afect the business sentiment and delay its intention on their investment, hence the economy expansion was slowing down at the second part of 2016. At the end of second semester, the tax amnesty’s asset declaration had reached Rp4.296 trillion and the tax redemption had reached Rp103 trillion. The slowing trend still took place even after Indonesian Bank (BI) reduced the interest rate policy for four times in 2016 and issued various economic packages to stimulate economic growth. The fund absorption in relation to the tax amnesty and the prolonged national economic deceleration had caused a decline in consumers’ purchasing power and changes in their purchasing pattern trend to fulill their primary needs compared to their secondary needs. The growth of consumers’ purchase of small baskets, small packaging size and cheaper products or trade down trend has a strong impact on the FMCG business, thus the performance of the Company will also being afected.
The extreme weather throughout 2016 had also negatively impacted the Company’s performance. The presence of La Nina had caused air masses cumulated in Indonesia’s atmosphere, in which the potential of rain cloud formation was higher. As

hingga potensi terbentuknya awan hujan menjadi semakin tinggi. Akibatnya pada bulan-bulan pertengahan 2016 yang seharusnya berlangsung musim kemarau justru turun hujan deras di hampir sebagian besar wilayah Indonesia. Penjualan segmen minuman Perseroan secara umum menurun di tahun 2016 dan salah satu faktor penyebabnya adalah efek La Nina, konsumen lebih memilih tinggal di rumah, mengurangi ber-belanja dan minuman fungsional Perseroan menjadi kurang relevan untuk dikonsumsi karena hujan deras yang melanda hampir di sebagian besar wilayah Indonesia. Berdasarkan buletin pemantauan ketahanan pangan volume 4, November 2016, tercatat curah hujan ekstrem terjadi pada bulan Agustus-Oktober yang mengakibatkan 2.5x lipat banjir, 7x lipat longsor lebih besar dibandingkan dengan rata-rata 10 tahun. Sebagian besar wilayah Indonesia mengalami hujan dengan periode yang lama dan terus menerus, bahkan banyak wilayah yang mengalami hujan tanpa henti selama beberapa minggu dan Pulau Jawa yang paling terdampak banjir.
KEBIJAKAN STRATEGIS TAHUN 2016
Kondisi eksternal yang kurang menguntungkan memang memberikan tantangan yang tidak mudah bagi Perseroan, dan kami percaya bahwa naik turunnya sebuah usaha adalah keniscayaan. Hanya soal kecermatan kita bagaimana memanfaatkan peluang yang ada agar Perseroan tetap sehat dan berkembang.
Perseroan merespon secara aktif setiap tantangan dan peluang dengan mencanangkan beberapa strategi utama untuk mem perkuat posisi bisnis dan daya saing. Kami melakukan peninjauan atas kebijakan-kebijakan inansial maupun non inansial, sehingga Perseroan dapat terhindar dari risiko negatif yang mempengaruhi kinerja jangka panjang. Kami juga selalu mengupayakan pertumbuhan kinerja secara organik dan anorganik, penguatan jaringan-jaringan distribusi Perseroan, dan peluncuran produk-produk inovatif.
Kami melihat bahwa kami masih memiliki sejumlah peluang dan kesempatan untuk mengembangkan portofolio produk kami, dan menelusuri serta menjelajahi segmen produk baru yang masih belum digeluti oleh perusahaan lain sehingga kami dapat memperoleh keuntungan sebagai pemain pertama (irst-mover advantage) yang sesuai dengan kompetensi inti Perseroan yaitu inovasi.
Kebijakan penerapan MEA, selain memberikan tantangan, kami lihat juga memberikan peluang untuk dapat memasuki pasar-pasar negara lain yang belum kami masuki, dimana hal

Based on food security monitoring bulletin volume 4, November 2016, extreme rain in August-October had caused 2.5 times more loods, 7 times more landslides than the average of last 10 years. Most area in Indonesia was experiencing prolonged rainfall for weeks and Java island is the one being hit the most by loods.
STRATEGIC POLICIES IN 2016
Unfavorable external conditions had indeed brought diicult challenges for the Company. The economic condition does not always move smoothly and we believe that ups & downs in business are inevitable. The does matter is how to use the available opportunities to keep the Company healthy and growing.
The company responds actively to challenges and opportunities with strategies to strengthen its business positioning and competitiveness. We review inancial and non inancial policy, so the company can be avoided from negative risk which might afect long term performance. We will also continue to grow the performance both organic and inorganic, strengthen the distribution networks and launch innovative products.
There are still opportunities and chances to develop product portfolio, and to look for new segment which had not been developed and entered by other players, thus we can be the irst player in gaining irst mover advantage and this is in line with the core competency of the company which is innovation.
The policy of MEA application, apart from causing challenges, we also view that it will gives us the opportunity to enter new market in other countries, which will indirectly enhance the

Pada tanggal 1 Mei 2012, Entitas Induk menandatangani perjanjian lisensi dengan TB, yang menyatakan bahwa Entitas Induk memiliki hak lisensi untuk memproduksi dan mendistribusi produk-produk Tampico dalam teritorial Republik Indonesia. Perjanjian ini mulai berlaku pada tanggal 1 Mei 2012 dan akan berakhir pada tanggal 30 April 2017.
On May 1, 2012, the Company entered into license agreement with TB, which states that the Company has the license rights to manufacture and distribute
Tampico‟s products in the territory of the Republic of
Indonesia. This agreement is effective on May 1, 2012 and will expire on April 30, 2017.
Selama jangka waktu perjanjian antara Entitas Induk dengan TB berlangsung, tanpa persetujuan tertulis dari TB, Entitas Induk dilarang melakukan aktivitas antara lain sebagai berikut:

a. Menggunakan atau mengeksploitasi, atau mengijinkan pihak ketiga manapun untuk menggunakan atau mengeksploitasi merk dagang Tampico di luar teritori Tampico.
a. Use or exploit, or permit any third party to use or exploit the trade mark outside the territory of Tampico.
b. Menjual, mengalihkan, atau mendistribusikan formulasi produk minuman Tampico dalam bentuk apapun kepada pihak ketiga yang tidak berwenang.

formulation Tampico beverages in any form to third parties that are not authorized.
c. Memberikan hak pakai kepada pihak ketiga manapun, untuk mendistribusikan, memasarkan, atau memberikan sub lisensi lebih lanjut atas produk Tampico.

distribute, market, or provide further sub-licenses for Tampico products.

Pada tanggal 30 Juli 2012, Entitas Induk menandatangani perjanjian jual beli gas dengan PGN, yang menyatakan bahwa PGN akan menyalurkan gas kepada Entitas Induk sebagai bahan bakar untuk produksi produk-produk makanan dan minuman Entitas Induk. Perjanjian ini berakhir pada tanggal 31 Maret 2014. Pada tanggal 3 Mei 2013, perjanjian ini telah diperbaharui dan diperpanjang sampai dengan tanggal 31 Maret 2018. Untuk menjamin pembayaran kepada PGN, Entitas Induk memberikan jaminan berupa penempatan deposito yang dibatasi penggunaannya pada PT Bank Central Asia Tbk dan PT CIMB Niaga Tbk (Catatan 11 dan 15). Pada tanggal 22 Januari 2016, PGN menyampaikan penyesuaian nilai jaminan pembayaran menjadi sekurang-kurangnya sebesar USD 46.975,71 dan Rp 162.624.000 dari tanggal 1 Februari 2016 sampai dengan tanggal 30 Juni 2016, USD 61.388,71 dan Rp 212.520.000 dari tanggal 1 April 2016 sampai dengan tanggal 31 Juli 2016 dan USD 66.726,86 dan Rp 231.000.000 dari tanggal 1 Agustus 2016 sampai dengan tanggal 30 Juni 2018. Pada tanggal 4 Maret 2016, Entitas Induk telah memberikan jaminan bank garansi dari PT Bank Central Asia Tbk sebesar USD 66.726,86 dan Rp 231.000.000 kepada PGN.
On July 30, 2012, the Company entered into gas sales agreement with PGN, which states that PGN will deliver gas to the Company as fuel for producing
the Company‟s food and beverages products. This
agreement expired on March 31, 2014. On May 3, 2013, this agreement has been renewed and extended until March 31, 2018. In order to guarantee payments to PGN, the Company provides restricted time deposits in PT Bank Central Asia Tbk and PT CIMB Niaga Tbk as guarantee placement (Notes 11 and 15). On January 22, 2016, PGN conveyed adjustment of guarantee payment to be minimal amounting to USD 46,975.71 and Rp 162,624,000 from February 1, 2016 until June 30, 2016, USD 61,388.71 and Rp 212,520,000 from April 1, 2016 until July 31, 2016 and USD 66,726.86 and Rp 231,000,000 from August 1, 2016 until June 30, 2018. On March 4, 2016, the Company provides bank guarantee from PT Bank Central Asia Tbk amounting to USD 66,726.86 and Rp 231,000,000 to PGN.

Sejak penandatanganan perjanjian sampai dengan 2 tahun setelah perjanjian berakhir, masing-masing pihak harus merahasiakan ketentuan-ketentuan dalam perjanjian dan tidak akan memberitahukan kepada pihak lain atas hal-hal yang berkaitan dengan bisnis, keuangan atau seluruh informasi rahasia yang diperoleh dari perjanjian ini, kecuali atas persetujuan tertulis dari pihak yang memberikan informasi rahasia. Ketentuan tersebut dikecualikan apabila, antara lain karena diharuskan berdasarkan peraturan yang berlaku, ketentuan pasar modal, lembaga keuangan atau putusan pengadilan.

Pada tanggal 27 September 2012, Entitas Induk menandatangani Perjanjian Pasokan Produk dengan SMU yang menyatakan bahwa Entitas Induk menunjuk SMU untuk memberikan pasokan nitrogen cair. Perjanjian ini mulai berlaku pada tanggal 27 September 2012 dan akan berakhir pada tanggal 27 September 2017 dan pada tanggal 16 Mei 2016 Entitas Induk dan SMU menandatangani Adendum I (Peralihan Perjanjian) Perjanjian Pasokan Produk, yang mengalihkan seluruh hak dan kewajiban SMU kepada PT Samator Gas Industri.
On September 27, 2012, the Company entered into Product Supply Agreement with SMU in which the Company appointed SMU to provide a supply of liquid nitrogen. This agreement is effective on September 27, 2012 and will expire on September 27, 2017 and on May 16, 2016 the Company and SMU entered into Addendum I (Transfer Agreement) of Product Supply Agreement, which transfer all the right and obligation of SMU to PT Samator Gas Industri.

Perjanjian ini berlaku pada tanggal 1 April 2016 dan akan berakhir pada tanggal 31 Maret 2017.

No. 13 tanggal 1 April 2016. Hak atas merek dagang tersebut dicatat dengan total biaya perolehan sebesar Rp 27.179.241.092 dan disajikan sebagai bagian dari akun “Aset tidak lancar lainnya”.
PT Surya Herbal executed redirect and transfer
rights of trademark traditional herb “Dua Putri Dewi”,
which has been registered in the Directorate General of Intellectual Property Ministry of Law and Human Rights of Republic Indonesia, inventories and fixed assets to the Company, stated in the Notarial Deed of Dr. Irawan Soerodjo, S.H., M.Si. No. 13 dated April 1, 2016. Those rights of trademark was
recorded with total cost amounted to
Rp 27,179,241,092 and presented as part of “Other
non-current assets”.
Beban yang dikenakan ke Grup sehubungan dengan seluruh ikatan dan perjanjian penting dari Catatan 38a sampai 38f adalah sebesar Rp 81.596.680.648 dan Rp 96.739.729.769 untuk tahun-tahun yang berakhir pada tanggal 31 Desember 2016 dan 2015, disajikan sebagai bagian dari “Beban Pokok Penjualan” dalam laporan laba rugi dan penghasilan komprehensif lain konsolidasian.

Berdasarkan Akta Notaris Dr. Irawan Soerodjo, S.H., M.Si. No. 36 tanggal 2 Maret 2017, Entitas Induk mendirikan PT Kino Ecomm Solusindo (KES), yang bergerak dalam bidang perdagangan, pembangunan, industri, transportasi darat, pertanian, percetakan, perbengkelan dan jasa, kecuali jasa di bidang hukum dan pajak dan berdomisili di Jakarta, dengan jumlah modal ditempatkan dan disetor penuh sebesar Rp 1.000.000.000, 99,00% saham KES diambil bagian oleh Entitas Induk. Akta pendirian telah mendapat pengesahan dari Menteri Hukum dan Hak Asasi Manusia Republik Indonesia dalam Surat Keputusan No. AHU-0012583.AH.01.01.TAHUN 2017 tanggal 15 Maret 2017.
