”SP” mendirikan PT Surya Pertiwi Nusantara
”SPN”. Pendirian
SPN termuat dalam akta No. 10 notaris Sinta
Dewi Sudarsana, S.H., tanggal 21 Oktober 2011 dan telah mendapatkan
persetujuan dari
Badan Koordinasi
Penanaman Modal melalui surat No. 2651IPPMIPMA2011. Modal dasar
SPN berjumlah
Rp100.000.000.000, terbagi atas 100.000 saham, dan masing-
masing saham
bernilai nominal
Rp1.000.000. Modal ditempatkan dan disetor
penuh SPN
sebesar Rp25.000.000.000, terdiri dari 25.000

with PT Surya Pertiwi SP established PT Surya Pertiwi Nusantara “SPN”. The
establishment of SPN was documented in notarial deed No. 10 dated October 21,
2011 of Sinta Dewi Sudarsana, S.H., and was approved by the Capital Investment
Coordinating Board through its letter No.
2651IPPMIPMA2011. SPN’s
authorized capital
amounts to
Rp100,000,000,000, represented
by 100,000 shares, each with a nominal value
Rp1,000,000. SPN’s issued and paid-up capital is currently Rp25,000,000,000,
comprising of 25,000 shares.
Penyertaan Perusahaan dalam SPN pada tanggal 31 Desember 2012, sebesar
Rp12.250.000.000 atau

kegiatan untuk
memproduksi dan menjual produk saniter dan kegiatan-kegiatan lain yang berkaitan
dengan produk tersebut, dan sampai dengan tanggal penyelesaian laporan
keuangan
ini, masih
dalam tahap
pengembangan. The Company’s ownership interest in SPN
as of December 31, 2012 involves an investment of Rp12,250,000,000, equating to
a 49 ownership interest. SPN was established to engage in manufacturing and
selling sanitary products and other related activities, and as of the completion date of
these financial statements, is a development stage company.
Pada tanggal 31 Desember 2015, Perusahaan
telah menyetorkan
Rp64.667.750.000 kepada
SPN sehubungan dengan rencana Perusahaan
untuk memperoleh lebih lanjut 49 kepemilikan atas tambahan modal saham
yang akan diterbitkan oleh SPN; dimana nilai
tersebut telah
dicatat oleh
Perusahaan sebagai uang muka investasi, dimana
realisasi tergantung
pada penerbitan tambahan saham oleh SPN.
As of December 31, 2015, the Company has paid an amount of Rp64,667,750,000 to SPN
in connection with the Companys plan to acquire a further 49 ownership interest in
additional share capital to be issued by SPN; such amount has been recorded by the
Company as an advance payment for investment, pending the issuance of
additional shares by SPN.
SPN sedang dalam proses perolehan tanah untuk pembangunan fasilitas pabrik
dan kantor. SPN is in the process of acquiring land for
the construction of factory and office facilities.
SPN memiliki hak atas tanah dalam bentuk Hak Guna Bangunan “HGB” yang
beralokasi di Desa Tanjungan, Kabupaten Gresik, Jawa Timur, dengan total luas
7.869 meter persegi, yang akan jatuh tempo pada tanggal 27 April 2043, dan
akan
dapat diperbaharui
atau diperpanjang.
SPN has land rights in the form of Right to Build “Hak Guna Bangunan” or “HGB”
located at Desa Tanjungan, Kabupaten Gresik, East Java, with a total area of 7,869
square meters, which will be expired on April 27, 2043, and can be renewed or extended.

ii. Pada tanggal 2 November 2015, SPN
telah menandatangani
Perjanjian Pelepasan atas Penyerahan Hak atas
Tanah dengan PT Surabaya Agung Industri Pulp Kertas atas tanah dengan
total luas 340.777 meter persegi yang berlokasi di Desa Tanjungan, Kabupaten
Gresik, Jawa Timur.
Pada tanggal 31 Desember 2015, akta notaris terkait dengan perolehan tanah ini
masih dalam proses. ii.
On November 2, 2015, SPN has entered into the Agreements of Transferring
Landrights with PT Surabaya Agung Industri Pulp Kertas, a land with a total
area of 340,777 square meters located at Desa Tanjungan, Kabupaten Gresik,
East Java.
As of December 31, 2015, the related notarial deed for this land acquisition is
still in process.
Selanjutnya, anggaran dasar SPN telah mengalami perubahan pada pasal 4 yang
didokumentasikan dalam akta No. 14 notaris Dr. Irawan Soerodjo, S.H., MSI.
tanggal 2 Maret 2016 mengenai peningkatan modal dasar dari 100.000
lembar atau Rp100.000.000.000 menjadi 250.000 lembar atau Rp250.000.000.000
dan modal ditempatkan dan disetor dari 25.000 lembar atau Rp25.000.000.000
menjadi
180.000 lembar
atau Rp180.000.000.000. Perubahan ini telah
disetujui oleh Menteri Hukum dan Hak Asasi Manusia dengan Surat Keputusan
No. AHU-0004810.AH.01.02.TAHUN
2016 tanggal 11 Maret 2016 dan telah dicatat di dalam pusat data Sisminbakum-
Departemen Hukum dan Hak Asasi Manusia Republik Indonesia No. AHU-
AH.01.03-0030739 tanggal 11 Maret 2016.
Subsequently, SPNs
articles of
association have been amended in relation to the changes of article 4 of
which were documented in the notarial deed No. 14 dated March 2, 2016 of Dr.
Irawan Soerodjo, S.H., MSI. regarding to increase of authorized capital from
100,000 shares or Rp100,000,000,000 to 250,000 shares or Rp250,000,000,000
and issued and paid up capital from 25,000 shares or Rp25,000,000,000 to
180,000 shares or Rp180,000,000,000. The amendment was approved by the
Minister of Law and Human Rights in his Decision
Letter No.
AHU- 0004810.AH.01.02.TAHUN 2016 dated
March 11, 2016 and registered in the Sisminbakum database of the Ministry of
Law and Human Rights of the Republic of Indonesia under registration No. AHU-
AH.01.03-0030739 dated March 11, 2016.
