THE REPORTING PERIOD continued Akuisisi kepemilikan tidak langsung 23,8 saham di Bumi Plc, melalui pengambilalihan 51 saham Borneo Bumi Energi Metal Pte Ltd “Borneo Bumi” dan 49 saham Bumi Borneo Resources Pte Ltd ”Bumi Borneo” lanjutan Purchase of an effective 23.8 shares of Bumi Plc through acquisition of 51 shares of Borneo Bumi Energi Metal Pte Ltd “Borneo Bumi” and 49 shares of Bumi Borneo Resources Pte Ltd ”Bumi Borneo” continued Sehubungan dengan perjanjian ini, Perusahaan secara tidak langsung melakukan akuisisi 23,8 saham pada Bumi Plc, perusahaan yang terdaftar di Britania Raya. Following this agreement, the Company will indirectly acquire 23.8 equity shares of Bumi Plc, a company based in United Kingdom. Investasi ini dibayar dengan dana tunai yang diperoleh dari Pinjaman Standard Chartered Bank dengan jaminan aset-aset Grup. The acquisition is funded by a loan from Standard Chartered Bank with the collateral of the Group’s assets. Rapat Umum Pemegang Saham Luar Biasa yang diselenggarakan pada tanggal 30 Desember 2011 telah menyetujui rencana akuisisi tersebut dan rencana penjaminan aset Grup lihat Catatan 13. The Company’s Extraordinary General Shareholders’ Meeting held on 30 December 2011 has approved the acquisition plan and plan to pledge the Group’s assets refer to Note 13. Perjanjian jual beli saham ini mengalami beberapa beberapa kali perubahan, yang terakhir diubah berdasarkan akta perubahan ke lima tertanggal 2 Januari 2012. This share sale and purchase agreement was amended several times with the latest amendment made through the fifth deed of the amendment, dated 2 January 2012. Proses pembelian saham Borneo Bumi dan Bumi Borneo diselesaikan pada tanggal 16 Januari 2012, dan Perusahaan secara efektif menjadi pemegang saham Borneo Bumi dan Bumi Borneo sejak tanggal tersebut. Dampak keuangan atas transaksi ini belum ditentukan pada 31 Desember 2011. Sampai dengan laporan keuangan konsolidasian ini diotorisasi untuk diterbitkan, Grup masih belum menyelesaikan pembukuan atas akuisisi ini. Sehubungan dengan hal tersebut, Grup masih menelaah apakah pengendalian sudah diperoleh dan nilai wajar atas perolehan aset dan liabilitas tersebut. The acquisition process of Borneo Bumi and Bumi Borneo was closed on 16 January 2012, and the Company has become as a shareholder of Borneo Bumi and Bumi Borneo since that date, effectively. The financial effect of this transaction has not been brought to account as at 31 December 2011. At the time the consolidated financial statements were authorised for issue, the Group had not yet completed the accounting for this acquisition.
