• Mengendalikan dan menekan beban pokok operasi khususnya beban sub kontraktor
dalam upaya meningkatkan laba bersih usaha.
• Agar menetapkan target Rasio Beban Operasional terhadap terhadap pendapatan
yang lebih ideal “benchmark” perusahaan sejenis dalam upaya meningkatkan margin
laba operasi. • Meningkatkan pendapatan dan laba
usaha WilayahUnit agar dapat membiayai biaya operasional wilayahunit dan tidak
tergantung droping dana dari kantor pusat. • Agar selektif dalam mengikuti tender-tender
yang berisiko tinggi dengan kajian dan perhitungan yang lebih matang memitigasi
potensi kerugian. • Memberdayakan potensi SDM yang
tersedia sesuai tingkat skill dan managerial yang dimiliki dan memberikan reward and
punishment atas prestasi kerjanya. • Memanfaatkan aset non produktif
lahan-lahan strategis perusahaan baik diberdayakan sendiri atau bersinergi dengan
BUMN lainnya dalam rangka menambah likuiditas perusahaan.
c. Dari hasil evaluasi, review dan pembahasan yang
dilakukan dengan Direksi dan DivisiCabang Unit, dimintakan kepada Direksi dan manajemen
agar seluruh aktivitas produksi, pemasaran,
keuangan dan proses administrasi dilakukan secara akurat sesuai ketentuan dan SOP yang
berlaku di Perusahaan. Menyempurnakan SOP dan ketentuan Perusahaan dalam rangka
menunjang kelancaran opersional dalam meningkatkan pendapatan operasi, eisiensi,
laba usaha dan kinerja Perusahaan. • To control and suppress operating expenses
especially sub-contractor expense in order to improve business net proit.
• To determine target of Operating Expenses Ratio on more ideal revenue “benchmark”
of similar companies in order to increase operating proit margin.
• Increase revenue and RegionalUnit business proit in order to fund operating
cost of a regionunit and does not depend on dropping funds from the Head oice.
• In order to be selective before participating in high-risk tenders with mature studies and
calculations to mitigate potential of loss. • Empowering the potential of available HR in
accordance with level of skill and managerial and to provide reward and punishment for
their performance. • To utilize non-productive assetscompany’s
strategic lands both empowered by ourselves or result of synergy with other
SOEs in order to add Company’s liquidity.
c. From result of evaluation, review, and discussion which were conducted with Board of Directors
and DivisionBranchUnit, requested to the Board of Directors and management so that
the entire production, marketing, inancing and administration process activities are carried out
precisely according to the applicable provision and SOP within the Company. Enhance the
Company’s SOP and provisions in order to uphold the low of operations to increase
operating revenues, eiciency, business proit, and Company’s performance.

4. Efektivitas Rapat Dewan Komisaris dan Direksi
Dalam tahun 2014 Dewan Komisaris melaksanakan rapat-rapat sebanyak 12 kali dan sesuai dengan
ayat 1 Pasal 14 Peraturan Menteri Negara Badan Usaha Milik Negara Nomor PER-01MBU2011
tanggal 1 Agustus 2011, bahwa Rapat Dewan Komisaris dapat mengundang Direksi dan semua
rapat dinyatakan sah dan dapat mengambil
keputusan-keputusan yang mengikat sesuai Anggaran Daaaf Perseroan Pasal 1B Ayat 4 karena
telah dihadiri atau diwakili oleh lebih dari 12, satu per dua jumlah anggota Dewan Komisaris.
Dalam rangka tugas pengawasan, selain melakukan rapat Dewan Komisaris dan rapat
gabungan Dewan Komisaris dan Direksi, dilakukan juga Rapat Komite Risiko setiap bulannya atau
sebanyak 12 kali rapat dan Rapat Komite Audit sebanyak 11 kali selama tahun 2014.
Dalam rapat-rapat dengan Direksi, Dewan Komisaris mengingatkan agar memitigasi risiko
kerugian dalam menangani proyek-proyek komersial maupun proyek-proyek dari sektor
pemerintah infrastruktur.
Mitigasi dapat
dilakukan secara ketat menyangkut analisis Risiko Usaha baik Risiko lnternal dan Risiko Eksternal,
sebagai alat pengendali bagi manajemen:
a. Risiko lnternal, menyangkut analisis risiko analisa kredit dan likuiditas perusahaan
terkait dengan upaya manajemen dalam mempercepat kolektivitas penagihan
perputaran piutang usaha menigingat dana perusahaan cukup besar tertanam dalam
piutang usaha dan pemberdayaan aset tidak produktif menjadi bermanfaat strategis.
Dengan demikian likuiditas perusahaan tidak terganggu dalam membiayai proyek-proyek
sehingga penyelesaiannya tepat waktu. Selain itu perusahaan tetap dapat memenuhi
kewajiban kepada pihak perbankan dalam penekan beban bunga.
4. Efectiveness of Board of Commissioners and Board of Directors Meetings
In 2014, Board of Commissioners has implemented 12 meetings and according to verse 1 clause 14
Minister of State Owned Enterprises’ Law No. PER- 01MBU2011 dated August 1, 2011, that Board of
Commissioners Meeting may invite the Board of Directors and the whole meetings are considered
as valid and capable in making binding decisions
in accordance with the Company’s Articles of Association, Article 1B verse 4 because have been
attended or represented by more than half total member of the Board of Commissioners.
Within the framework of supervisory duties, other than organizing Board of Commissioners meeting
and joint meeting of the Board of Commissioners and Board of Directors, Risk Committee Meeting is
also organized every month or 12 times a year and
Audit Committee Meetings amounted to 11 times a year during 2014.
In meetings with Board of Directors, Board of Commissioners reminded them to mitigate the
risk of loss in handling commercial projects or projects from governmental sector infrastructure.
Mitigation can be done strictly if related to business
risk analysis both Internal and External Risk, as controlling tools for the Management:
a. Internal Risk, risk analysis of loan and liquidity analysis related to the management’s eforts
in accelerating billing collectivityreceivables turnover, knowing that the Company’s funds
are mostly planted in business receivables and non-performing assets management
to be strategically beneicial. Therefore, the Company’s liquidity will not be disturbed in
inancing projects to that its completion will be on time. In addition, the Company can also fulill
its obligations to the banking parties in reducing
interest expenses.

b. Risiko eksternal, penyangkul analisis resiko terkail dengan perubahan perekonomian
yang berdampak dari kebijakan pemerintah kenaikan BBM, menguatnya nilai tukar USD,
harus diantisipasi dengan simulasi perhitungan
yang lebih matang dalam memitigasi kerugian yang lebih besar, terutama material proyek-
proyek yang terkait barang import.
5. Efektivitas Pengawasan Dewan Komisaris
Dalam menjaga efektivitas pengawasan Dewan Komisaris terhadap pengelolaan Perusahaan,
setiap permasalahan yang timbul baik masalah operasional, keuangan dan SDM, Dewan Komisaris
menugaskan Komite Audit dan Komite Risiko untuk melakukan klariikasi dan minta penjelasan kepada
Direksi dan Unit yang terkait untuk mengetahui duduk permasalahan yang dihadapi. Dari hasil
klariikasi dan penjelasan tersebut Dewan Komisaris memberikan sarantanggapan baik
secara langsung maupun dalam kesempatan rapat gabungan dan rapat khusus dengan Direksi. Untuk
mengetahui kondisi permasalahan dilapangan, Dewan Komisaris, Komite Audit dan Komite
Risiko secara sampling melakukan kunjungan ke lapanganproyek untuk memonitor kinerja Divisi
Cabang selama tahun 2014.
6. Laporan Kepada Pemegang saham Dewan Komisaris secara berkala telah memberikan
laporan kepada Pemegang Saham mengenai kinerja perusahaan dan proses pengawasan yang
dilakukan dalam periode tertentu, serta hal penting lainnya. Laporan-laporan tersebut disampaikan
antara lain melalui surat-surat sebagai berikut: b. External risk, digger of risk analysis related to

5. Efectiveness of Board of Commissioners’ supervision
In maintaining the efectiveness of Board of Commissioners’ supervision on Company’s
management, each problems that rises, either operational, inancial or HR, Board of
Commissioners assigned Audit Committee and Risk Committee to conduct clariication and request and
explanation to the Board of Directors and related Units to know the problems being faced. From the
result of clariication and explanation, Board of Commissioners provided advicescomments either
directly or in joint meetings and special meetings with the Board of Directors. In order to ind out the
problems on the ield, Board of Commissioners, Audit Committee and Risk Committee visited the
ieldproject site to monitor the performance of DivisionBranches throughout 2014.
6. Report to the shareholders Board of Commissioners has provided reports to
the Shareholders periodically, regarding Company’s performance and supervisory process that are
conducted in a certain period, as well as other important matters. Those reports are submitted
through the following letters:
