INVESTMENT IN ASSOCIATES continued Berdasarkan Perjanjian Pengambilbagian Saham Bersyarat dan Perjanjian Pemegang Saham PT MTD CTP Expressway “MTDX” tanggal 14 April 2015, yang diubah dan dinyatakan kembali pada tanggal 28 Agustus 2015, API, MTD Capital Bhd dan PT Nusacipta Etika Pratama sepakat bahwa API akan melakukan investasi di MTDX dengan cara mengambil bagian atas 130.220 saham baru dengan total nilai nominal Rp118.500.200 mewakili 45 kepemilikan saham yang diterbitkan MTDX. Pada tanggal 18 September 2015, transaksi telah diselesaikan dan API menjadi pemilik 45 saham MTDX. Based on Conditional Share Subscription Agreemend and Shareholders Agreement of PT MTD CTP Expressway “MTDX” dated April 14, 2015, which was amended and restated on August 28, 2015, API, MTD Capital Bhd and PT Nusacipta Etika Pratama agreed that API will invest in MTDX by subscribing to 130,220 new shares with a total nominal amount of Rp118,500,200 representing 45 share ownership issued by MTDX. On September 18, 2015, the transaction was completed and API became the owner of 45 shares in MTDX. Berdasarkan laporan penilaian tanggal 4 September 2015 dari KJPP Rao, Yuhal Rekan, nilai wajar kepemilikan 45 saham di MTDX adalah Rp124.868.451. Selisih lebih nilai wajar atas biaya perolehan investasi sebesar Rp6.368.251 dimasukkan sebagai penghasilan dalam menentukan bagian API atas laba MTDX untuk tahun yang berakhir pada tanggal 31 Desember 2015. Based on an appraisal report dated September 4, 2015 of KJPP Rao, Yuhal Rekan, fair value of 45 share ownership in MTDX amounted to Rp124,868,451. Excess of the fair value over the cost of the investment amounting to Rp6,368,251 is included as income in the determination of API’s share in MTDX’s profit for the year ended December 31, 2015. 12.
