1. Shareholders
Shareholders are stakeholders who have direct interest in the Bank, through shareholding investment or injected capital.
Accordingly, shareholders are very concerned over operational and financial performance of the Company which would directly
affect fluctuation of share price. Shareholders would certainly like to enjoy the yields of their investments in each period, as
capital gain and dividend distribution.
Communication and engagement with shareholders are performed regularly and consistently. Annual General Meeting
of Shareholders GMS is held once a year as a forum to report on the Company’s overall performance, including corporate
social responsibility performance. Through discussion of the meeting’s main agenda, shareholders in GMS can contribute to
determine the Company’s direction of its strategic development and policies, including investment decisions and approval for the
amount of distributed dividends. [4.4]
In addition to GMS forum, the Bank also maintains a transparent and intensive communication with shareholders through website,
quarterly or half-year performance reports, mass media, Annual Report, investor relations activities and other communication
media. a. Shareholders Structure
bank bjb’s shareholders structure consists of holders of
Class A shares which are Provincial Government of West Java, Provincial Government of Banten, Governments of
MunicipalitiesRegencies in West Java Province, Governments of MunicipalitiesRegencies in Banten as much as 75 of
total shares, and holders of Class B shares that were released to public as much as 25 of total shares. Class A and class
B shares have rights, but as majority shareholders, class A shareholders still have powerful controlling function in terms
of appointmenttermination of Board of Commissioners and Board of Directors, amendment to Articles of Association,
merger, consolidation and acquisition as well as dissolution and liquidation of the Company. Class B shares are owned
by public individuals, employees and members of bank bjb
management individuals, cooperatives, foundations, pension funds, insurance, mutual funds and foreign investors, both
individuals and business entities.
