bagi seluruh jajaran manajemen Perseroan, penerapan sistem reward and punishment secara konsisten dan
konsekuen, pelatihan kepemimpinan, peningkatan remunerasi karyawan, pemberlakuan ikatan dinas
untuk kegiatan pelatihan dengan nilai tertentu.

Adalah dampak dari ketersediaan sumber pendanaan investasi, terhadap perolehan pendapatan, beban

Pedoman dan Kebijakan Dasar Perusahaan Perseroan mengenai GCG merekomendasikan agar perusahaan
memiliki fungsi pengawasan internal. Perseroan memandang Audit Internal sebagai salah satu fungsi
pengendali dan pengawas internal untuk mendukung kegiatan operasional, keuangan dan manajemen menjadi
lebih efektif dan efesien. Disamping pedoman tersebut, Departemen Keuangan Republik Indonesia melalui Badan
Pengawas Pasar Modal dan Lembaga Keuangan Bapepam dan LK yang telah memutuskan dan menetapkan
keputusan Ketua Badan Pengawas Pasar Modal dan Lembaga Keuangan tentang Pembentukan dan Pedoman
Penyusunan Piagam Unit Audit Internal, yaitu dengan diterbitkannya Keputusan No. Kep-496 BL2008 tanggal
28 November 2008 dan ketentuan mengenai keputusan tersebut dimuat pada peraturan nomor IX.I.7.
Unit Audit Internal Perseroan juga telah menetapkan Piagam Audit Internal yang merupakan aturan perilaku
bagi Internal Auditor dan prinsip-prinsip dasar pelaksanaan Internal Audit. Piagam ini ditetapkan melalui SK Direktur
Utama No.053ENKPTS000D2009 tanggal 2 Januari 2009 dan merupakan penyempurnaan dari piagam
sebelumnya yang ditetapkan pada tahun 2004.
Internal Audit Perseroan menempatkan diri sebagai mitra auditee pihak yang diaudit dalam tujuan pencapaian
sasaran Perusahaan. Aktivitas Internal Audit mencakup pengujian atas transaksi keuangan, compliance ketaatan
terhadap peraturan, serta pengujian terhadap sistem yang ada, proses dan operasi yang berjalan.
Saat ini Internal Audit Perseroan dipimpin oleh Roni I. Maulana, di dalam Divisi Internal Audit dan Quality
Management , langsung di bawah Direktur Utama.
Struktur Divisi tersebut terdiri dari : 1. Departemen Internal Audit, terdiri dari 2 Senior
Auditor , 1 Junior Auditor dan 4 Auditor yang
menangani aspek audit operasional maupun keuangan;
2. Departemen Quality Management, terdiri dari bagian system procedure
dan bagian quality assurance; dan 3. Section GCG.
Tugas penting Audit Internal Perseroan adalah memastikan bahwa pengendalian internal Perusahaan
telah berjalan dan mengalami peningkatan dari tahun ke tahun. Dalam melaksanakan tugasnya, langkah-langkah
yang dilakukan adalah sebagai berikut: a. Menyusun Rencana Kerja Audit Tahunan RKAT
Corporate Guideline and Basic Policy on GCG recommends that the Company has internal
supervisory function. The Company sees Internal Audit is one of internal control and supervisory
functions to support the operations, finance, and management to make it more effective and efficient.
Besides the guideline, Department of Finance of Republic of Indonesia through Capital Market and
Financial Institutions Supervisory Agency Bapepam- LK that has decided and determined on the Decree
of Head of Bapepam-LK on the Estasblishment and Guideline in Formulating Internal Audit Unit Charter,
namely following the issuance of Decree No. Kep-496 BL2008 dated November 28, 2008 and
provision on the decree which is stated in regulation No. IX.I.7.
Internal Audit Unit of the Company also determined that Internal Audit Charter regulates the behaviors for Internal
Auditor and basic principles for the implementation of Internal Audit. This Charter was assigned through the
President Directors Decree No.053ENKPTS000D2009 January 2, 2009 and constitute the revision of the
previous charter assigned in 2004.
Internal Audit of the Company positions itself as auditee partner in achieving the objectives of
the Company. Internal Audit’s activities include review on financial transactions, compliance as
well as existing system, current process and operations.
Currently, Internal Audit is headed by Roni I. Maulana, in Division of Internal Audit and Quality Management,
directly under the President Directors supervisory. The structure of the Division consists of :
1. Department of Internal Audit, including 2 Senior
Auditors, 1 Junior Auditor and 4 Auditors who handle operational and financial aspect of audit;
2. Department of Quality Management, including system procedure and quality assurance section;
3. Section of GCG. The key tasks of Internal Audit of the Company is to
ensure that internal control has been running on track and keeps improving from year to year. In perfoming
its tasks, the steps taken are:

kepada Direksi dan Komite Audit untuk mendapatkan persetujuan;
b. Melakukan pengujian
terhadap pelaksanaan
pengendalian internal dan manajemen risiko sesuai kebijakan yang dimiliki Perusahaan;
c. Melakukan pemeriksaan dan penilaian terhadap auditee
yang mencakup aspek pemasaran, operasi, keuangan, sumber daya manusia, pengadaan,
teknologi informasi, dan kegiatan lainnya; d. Memberikan saran perbaikan dan informasi yang
obyektif tentang kegiatan yang diperiksa; e. Memantau,
menganalisis, dan
melaporkan pelaksanaan tindak lanjut perbaikan.
Selama tahun 2010, telah dilakukan audit terhadap beberapa obyek audit sebagai berikut;
a. Divisi Operasi
Perseroan, yang
mencakup pemeriksaan atas proyek-proyek yang berjalan
di tahun tersebut yang memiliki nilai uang dan risiko yang relatif besar serta pemeriksaan atas
kesesuaian investasi yang telah dilakukan oleh Divisi tersebut dibandingkan dengan pelaksanaan
proses operasinya;
b. Divisi Supporting Perseroan, yang mencakup pemeriksaan atas ketaatan terhadap aturan yang
berlaku serta efektifitas support atas operasi Perseroan;
c. Perusahaan-perusahaan yang
menjadi Anak
Perusahaan; d. Pemeriksaan khusus atas proses dan realisasi
investasi Perseroan yang bernilai besar. Dari hasil pelaksanaan audit tersebut, Audit Internal
bersama-sama dengan auditee telah membahas hal-hal yang merupakan kelemahan untuk diberikan
saran perbaikannya. Seluruh Laporan Hasil Audit beserta rekomendasinya disampaikan kepada Direksi
dan Komisaris melalui Komite Audit. Laporan ini juga disampaikan kepada auditee untuk dapat dipergunakan
sebagai bahan perbaikan baik aspek pengendalian internal, maupun proses dan aktivitasnya.
Secara berkala Internal Audit melakukan monitoring atas pelaksanaan tindak lanjut atas rekomendasi
audit dengan pihak auditee. Pelaksanaan tindak lanjut sudah berjalan cukup baik dengan dilaksanakannya
rekomendasi yang diberikan, termasuk rekomendasi dari pemeriksaan khusus.

corporate policies; c. Conducting an assessment against auditee
including marketing aspect, operation, finance, human resources, procurement, information
technology, and other activities; d. Providing inputs for improvement and objective
information about the activities under review; e. Monitoring,
analyzing and
reporting the
implementation of follow-up to the improvement. In 2010, audit had taken place in several audit objects,
among which were: a. Operational Division, which covered evaluation
on current projects in that year containing money value and relatively big risks as well as
evaluation on the accordance of the investment done by the division compared to the operational
process.
b. Supporting Division, which included the review on compliance against applicable rules as
well as support effectivity on the Company’s operations;
c. Subsidiaries of the Company; d. Special assesment on the process and realization
of Company’s big-value investments. The audit results showed that Internal Audit in
cooperation with auditee had dicussed several weaknesses
which need
advice for
their improvements. All recommendations of the audit
results were submitted to the board of Directors and Board of Commissioners through the Audit
Committee. The report was also submitted to the auditee for guidance in improving the internal control
aspect, process and activities.
Periodically the Internal Audit conducts the monitoring over the follow-ups on the audit recommendations
with auditee. The implementation of the follow- ups runs quite well with the implementation of the
recommendations, including those from special evaluation.

rented by the Company. Saptawell proposes compensation over such law violation act by
Elnusa requiring Elnusa to settle the loss. Sidang Pengadilan Negeri
telah selesai dan diputuskan bahwa gugatan Saptawell tidak
dikabulkan. Saat ini Saptawell telah mengajukan Banding ke
Pengadilan Tinggi.
The trial process at the District court was completed and
the court decided to dismiss Saptawell’s claim. At the
moment, Saptawell proposes an appeal into the High Court.

Perseroan merupakan salah satu perusahaan yang publik yang memiliki tanggung jawab untuk melaksanakan Good
Corporate Governance GCG dalam setiap aktivitasnya.
Implementasi GCG di Perseroan diharapkan menjadi payung bagi seluruh sistem dan struktur yang ada di
dalam prinsip GCG sampai kepada level operasional, sekaligus menjadi panduan dalam hubungan Elnusa
dengan stakeholders. Implementasi GCG di Perseroan diarahkan untuk membentuk tidak saja sistem dan
struktur yang kuat, namun menciptakan mentalitas SDM yang memiliki integritas baik sehingga menjadi
agent of change
yang melaksanakan dan menjadikan GCG sebagai budaya Perseroan.
Untuk mendukung hal tersebut, diperlukan adanya mekanisme yang menjadi pengikat bagi setiap insan
Perseroan dalam menjalankan implementasi GCG dengan penuh komitmen dan konsistensi. Salah satu caranya
adalah dengan menjalankan Code of Conduct Pedoman Etika Bisnis dan Etika Kerja Perseroan yang telah dimiliki
sejak tahun 2007. Code of Conduct mencakup prinsip- prinsip dasar etika bisnis sebagai pedoman bagi seluruh
Insan Perseroan, yang terdiri dari beberapa aspek : 1. Etika Bisnis, mengatur hubungan dengan Pegawai
Perseroan, pelanggan,
pemegang saham,
pemerintah dan regulator, lingkungan, penyedia barangjasa,
krediturinvestor, pesaing
dan masyarakat sekitar.
2. Etika Kerja, mengatur tuntutan perilaku individu, kepatuhan terhadap hukum dan peraturan perundang-
undangan, kerahasiaan
informasi, benturan
kepentingan, pemberian dan penerimaan hadiah, anti penggelapan, melindungi aset perusahaan,
keselamatan dan kesehatan kerja, menjaga criteria perusahaan, serta ketepatan pencatatan.
Selain itu, penjabaran aspek tersebut diatas dalam Code of Conduct
juga merupakan bagian dari penjabaran nilai-nilai Perseroan yang hidup, berkembang dan
diaplikasikan oleh seluruh Insan Elnusa yakni Clean, Respectful
dan Synergy.

ETIKA BISNIS DAN ETIKA KERJA
Code of Conduct
The Company is a public company having the responsibility for implementing Good Corporate
Governance GCG in every activity. This GCG implementation is expected to be an umbrella for all
systems and structures laid in the GCG’s principles until the operational level as well as the guideline
for Elnusa’s relation with the stakeholders. The GCG implementation is specially directed to formulate
not only strong system and structure but also to set the mentality of human resources for having good
integrity thus in the end they may become the agent of change in implementing and treating GCG as the
corporate culture.
To support this particular notion, there must be a binding mechanism for all employees of the Company
in implementing GCG with the strong commitment and consistency. One of the ways will be to undertake
corporate Code of Conduct, existing since 2007. Code of Conduct covers the basic principles of business
ethics and serves as the guideline for all employees of the Company, which consist of several aspects:
1. Business Ethics, manages the relationship with Corporate employees, customers, shareholders,
government and regulators, environment, goods service providers, creditorsinvestors, competitors
and neighboring communities.
2. Work Ethics, manages the individual behavior demands, Compliance with laws and regulations,
information confidentiality, conflict of interest, gift giving and receiving, anti-embezzlement,
protecting company assets, occupational safety and health, maintaining the company image and
documentation accuracy.
Aside of that, the description of the Code of Conduct also forms part of the description of the corporate
values which live, develop and are applied by all employees of Elnusa, namely Clean, Respectful and
Synergy.
Clean : Morally clean, transparent and accountable.
Respectful: Trusted within the business community
and environment through professionalism, independency, competitive as well as
capable in delivering the stakeholders satisfaction.

There were additional members to the Internalization Team’s structure with the joining of Section Head of

Jumlah total 424 orang telah mencapai 39 dari total karyawan Elnusa yang berjumlah 1.081 orang.
Berdasarkan hasil form evaluasi, secara umum dapat ditarik kesimpulan sebagai berikut:
1. Mayoritas peserta merasa puas dengan kualitas instrukturpengajar, termasuk persiapan yang
dilakukan oleh instruktur. 2. Materi Code of Conduct yang diberikan dirasakan
sudah tepat bagi peserta. 3. Durasi Internalisasi Code of Conduct dirasakan sudah
tepat, tidak terlalu lama dan tidak terlalu pendek. 4. Mayoritas peserta sudah memahami isi dari Code
of Conduct dan merasa bahwa Code of Conduct
dapat diaplikasikan dalam kegiatan operasional sehari-hari.
5. Sebagian peserta merasa bahwa isi Code of Conduct perlu ditambahkan. Beberapa rekomendasi peserta
cukup penting untuk dievaluasi dalam evaluasi isi Code of Conduct.
6. Mayoritas peserta bersedia menerapkan Code of Conduct dan menyebarluaskannya di unit kerja
masing-masing. 7. Mayoritas peserta merasakan manfaat dari Code of
Conduct.

Sejak diluncurkan bulan September 2010, sampai saat ini Perseroan telah menerima sejumlah pengaduan
pelanggaran. Per Desember 2010, Tim Whistleblowing System
telah menerima 3 laporan. Dari 3 laporan tersebut, telah selesai ditindaklanjuti sebanyak 2
laporan. 1 satu laporan sedang dalam proses tindak lanjut karena tidak hanya melibatkan pihak Elnusa,
namun melibatkan pihak lain.

untuk menindaklanjuti
setiap laporan yang masuk dan akan berusaha menyelesaikannya sebagai bagian dari komitmen
Perseroan terhadap implementasi GCG. The 424 participants have reached 39 of Elnusa’s
total employees, which were 1,081 persons. Based on the evaluation form, in general, the
conclusions are: 1. Majority of participants feel satisfied with the quality
of the instructors, including their preparation. 2. The Code of Conduct materials are somewhat
suitable to the participants 3. The duration of Internalization of Code of Conduct is
relatively appropriate, not too long and not too short. 4. Majority of the participants understand the content
of Code of Conduct and perceive that this Code of Conduct is applicable in the daily operation.
5. Some participants perceive that the material must be added. Several recommendations from the
participants are important to be evaluated in the evaluation of material of Code of Conduct.
6. Majority of the participants are willing to impose Code of Conduct as well as spread it to each of
their working unit. 7. Majority of participants feel the benefit of this Code
of Conduct.

Since it was launched in September 2010, so far, the Company has received a number of complaints
on violations. The Whistleblowing System Team had received three reports as per December 2010. Of
those three reports, two reports were completely followed up while the other report is in the follow-
up phase as it involves not only Elnusa but also other party.
The Company commits to follow up every report and will do its best to provide solutions as part of the
Company’s commitment to GCG implementation.

contribution of 52, subsequently the Downstream Oil Gas Services contributed as much as 44, followed by the Upstream Oil Gas Support Services that comprised of

ANALISIS PEREKONOMIAN INDONESIA 2010
Tahun 2010 merupakan tahun kebangkitan bagi perekonomian Indonesia. Setelah melewati masa krisis
ekonomi yang menerpa dunia pada pertengahan tahun 2008, perekonomian Indonesia terus tumbuh bahkan
mencapai angka pertumbuhan 6,1 pada tahun 2010 yang menjadikan Indonesia menjadi negara dengan
pertumbuhan ekonomi ketiga terbesar di dunia setelah Cina 10,1 dan India 7,7. Optimisme pertumbuhan
ekonomi Indonesia tetap terus dipertahankan dengan target pertumbuhan pada tahun 2011 sebesar 6,3.
Indikasi pertumbuhan ekonomi nasional dapat terlihat dari peningkatan Pendapatan Bruto Nasional PDB. Pada
triwulan pertama PDB Indonesia berada pada Rp1.498,7 triliun dan meningkat sebesar 4,1 setiap triwulannya
sampai pada triwulan keempat. Sektor Pengangkutan dan Komunikasi memberikan sumbangan terbesar
sebesar 13,5 sedangkan sektor pertambangan dan penggalian sebesar 3,5. Kapasitas produksi nasional
terus berkembang, terlihat dari nilai ekspor Indonesia pada triwulan keempat tahun 2010 mencapai angka USD157,7
miliar sedangkan nilai impor sebesar USD135,6 miliar.
Di pasar saham, investor mulai mengakumulasi saham Perseroan seiring dengan meningkatnya ekspektasi akan
membaiknya pendapatan Perseroan seiring perbaikan ekonomi. Secara regional, mata uang regional juga
mencatat penguatan. Dengan tingginya arus uang asing ke Indonesia mengakibatkan semakin menguatnya daya
tukar Rupiah Rp terhadap Dolar Amerika USD. Pada awal tahun 2010 nilai tukar Rp terhadap USD adalah
Rp9.330 dan kemudian nilai tukar terus menguat dengan sampai akhir tahun ditutup pada kurs nilai tukar sebesar
Rp8.991 per USD, atau terapresiasi sebesar 4,4 pada tahun 2010 ini.
ANALYSIS OF INDONESIAN ECONOMY 2010
The year 2010 has become the witness of the rebound of Indonesian economy. After suffering from the
world’s economic crisis since mid of 2008, the growth of Indonesian economy has been increasing, even
climbed to 6.1 growth in 2010, leading Indonesia to be the world’s third country with the largest economic
growth behind China 10.1 and India 7.7. The optimism over Indonesia’s economic growth is
maintained by setting higher growth target for 2011 at 6.3.
The national economic growth was indicated from the increasing Gross Domestic Product GDP. In the first
quarter of the year, Indonesia’s GDP was IDR1,498.7 trillion and rose by 4.1 in every quarter until fourth
quarter. The Transportation and Communication industry shared the biggest contribution with 13.5
while mining and drilling sector gave 3.5. National production capacity kept developing as indicated from
the Indonesia’s export value in the fourth quarter of 2010 which was USD157.7 trillion and import value
was USD135.6 trillion.
From stock market, investors were keen to accumulate Companys stock as improved expectation for
increasing Company’s revenues along with the better economic condition. Regionally, the currencies gained
stronger. The high capital inflow into Indonesian market somehow translated into the stronger Rupiah
IDR exchange rates against USD. In early 2010, IDR exchange rate against USD was at IDR9,330 and it
gained stronger until it was closed at IDR8,991 per USD at the end of the year, or appreciated by 4.4
in 2010.

Pergerakan inflasi Indonesia terus menurun setelah tahun 2009 seiring dengan pulihnya kondisi ekonomi dunia
sehingga mampu mencapai nilai inflasi terendah 2,41 pada bulan November 2009. Akan tetapi tahun 2010
inflasi terus merangkak naik sampai menyentuh angka 6,96, hal ini disebabkan dari segi fundamental karena
adanya peningkatan tarif dasar listrik serta naiknya harga beberapa bahan pokok makanan. Sedangkan dari segi non
fundamental terjadi karena adanya isu seperti pembatasan penggunaan BBM bagi pemilik kendaraan pribadi.
Secara makro ekonomi, semua indikator ekonomi masih di dalam kisaran prediksi awal tahun bahkan lebih baik dari
perkiraan. Pertumbuhan ekonomi Indonesia sebesar 6,1 year on year
yoy, BI rate tetap bertahan di angka 6,5, nilai tukar Rupiah yang terapresiasi 4,4 dan cadangan
devisa Indonesia per 31 Desember 2010 mencapai USD96,2 miliar dan nilai ini merupakan level tertinggi
sepanjang sejarah.
Kondisi pasar modal Indonesia terus membaik seiring dengan perbaikan ekonomi dunia pada tahun 2010 ini. Kondusifnya
iklim perekonomian di Indonesia mendorong para investor untuk membeli saham-saham unggulan. Antusiasme
pasar terhadap kondisi perekonomian 2011 terlihat pada perdagangan saham di Bursa Efek Indonesia BEI pada
tanggal 9 Desember 2010 dimana Indeks Harga Saham Gabungan IHSG mencapai posisi tertinggi dengan 3.788,57
dan dan ditutup pada posisi 3.703,51 pada 30 Desember 2010. Penguatan nilai saham di Asia pada akhir tahun ini ditopang
oleh kenaikan Wall Street setelah the Fed mengucurkan likuiditas melalui pembelian obligasi pemerintah.
Dengan tercapainya parameter perekonomian Indonesia maka kepercayaan investor asing untuk berinvestasi di
Indonesia semakin meningkat. Indonesia menempati posisi yang sama pada peringkat sembilan untuk kedua
kalinya sebagai negara tujuan Foreign Direct Investment FDI untuk tahun 2010 setelah Cina, India, Brazil, Amerika,
Indonesia’s inflation rate slowed in 2009 following the improved global economy and touched the lowest
at 2.41 in November 2009. However in 2010, the inflation pace climbed up to 6.96 for fundamental
reason like the hike in electricity tariffs and prices of primary food. Whereas, in term of non-fundamental
factor, the issue like limitation of subsidized fuel use for personal car owners also triggered the hike.
Meanwhile, all the macro economic indicators were within the estimation range of early of the year, even
more than expected. Indonesian economy grew by 6.1 growth year on year yoy unchanged BI rate
at 6.5, IDR appreciated by 4.4, and Indonesia’s foreign exchange reserves of USD96.2 billion as per
31 December 2010, which was the highest ever.
The Indonesian stock market was improving along the better global economy in 2010. The economic
climate in Indonesia encouraged the investors to accumulated for bluechip shares. Market enthusiasm
over 2011 economic condition was seen at Indonesia Stock Exchange on December 9, 2010, when Jakarta
Composite Index JCI broke the highest record at 3,788.57 and was closed at 3,703.51 on December
30, 2010. The bullish Asian stocks this year were supported by the increase of Wall Street in response
to the Fed’s purchase of US Treasuries.
The achievement of the Indonesia economic parameters, has resulted to the increasing of investor
confidence. Indonesia occupied the ninth position for the second time in a row as target of Foreign Direct
Investment in 2010 after China, India, Brazil, USA, Russia, Mexico, and Vietnam. The trend confirmed

keuangan yang didukung dengan kondusifnya kebijakan pemerintah pada pelaku bisnis diharapkan memberikan
dampak positif pada tahun mendatang. Diharapkan investasi terus masuk ke Indonesia terutama yang
berkaitan dengan industri minyak dan gas.
Harga Minyak Dunia
Tahun 2009 merupakan titik balik dari pergerakan harga minyak dunia, dimana sejak tahun 2006 harga minyak
terus meningkat dan puncaknya pada tahun 2008 dengan harga minyak sebesar USD99,57 per barel. Pada Januari
2009 harga minyak turun menjadi USD43,44 per barel dan kembali beranjak naik sampai pada awal tahun 2010 harga
minyak mencapai USD76,17 per barel dan Indonesian Crude Price ICP dengan harga USD77,54 per barel.
Harga rata-rata ICP selama tahun 2009 adalah sebesar USD61,60 per barel dan Desember 2010 sebesar
USD91,29 per barel. Jika dibandingkan dengan angka Rencana Anggaran dan Pendapatan Belanja Nasional
RAPBN yang disusun oleh pemerintah, untuk tahun 2009 harga minyak sebesar USD80 per barel dan 2010
sebesar USD60 per barel. Sedangkan untuk RAPBN 2011 target harga minyak adalah sebesar USD75-90 per barel
yang merupakan area aman pergerakan harga minyak dunia selama setahun ke depan.

Foreign investors’ confidence was also seen from the upgrade of Indonesia’s rating by International
rating agency, Standard Poor’s to BB with positive outlook. The grade led Indonesia move ten steps
higher to 44 from 144 in Global Competitiveness Report.
Conducive national economy and financial stability as well as pro-business government’s policies are
expected to transfer positive impact in the next year. With this, we expect investment to enter Indonesia,
particularly related to oil and gas industry.
Global Crude Price
The year of 2009 was a returning point of the global crude price, after picking up since 2006 and reaching
its peak in 2008 when it touched USD99.57 per barrel. In January 2009, the crude price declined to USD43.44
per barrel and started to climb until early 2010 when it was traded at USD76.17 per barrel and Indonesian
Crude Price ICP was set at USD77.54 per barrel.
The average ICP price in 2009 was USD61.60 per barrel and in December 2010 it was USD91.29 per barrel.
If compared to the assumption in Financial Note and Indonesian Budget Plan RAPBN by government, the
oil price for 2009 was USD80 per barrel and revised down to USD60 per barrel in 2010. Whereas for 2011
State RAPBN, the target of oil price is at USD75-90 per barrel which is considered the comfortable zone
of world’s oil price for one year ahead.

Pergerakan harga minyak dunia dipengaruhi oleh pasokan dan permintaan komoditas minyak di pasar primer
maupun sekunder. Untuk pasar Indonesia, diperkirakan produksi minyak akan terus meningkat sampai tahun 2012
dan menurun kedepannya sedangkan permintaan terus meningkat. Hal ini menimbulkan over demand terhadap
minyak yang mengakibatkan kemungkinan naiknya harga minyak dunia di kemudian hari.
Sesuai dengan data harga minyak rata-rata sampai dengan tahun 2010, terlihat bahwa harga minyak mengalami tren
naik setiap tahunnya. Kenaikan harga minyak ini dipicu oleh tingginya permintaan sebagai imbas dari proses
pemulihan ekonomi di sejumlah negara konsumen minyak industri, sementara kondisi pasokan terganggu seiring
dengan turunnya produksi minyak dunia. Peningkatan harga minyak ini tidak sejalan dengan aktivitas eksplorasi
dan produksi di Indonesia yang cenderung turun. Hal ini terlihat dari penurunan anggaran eksplorasi dan produksi
yang dilakukan oleh operator minyak asing. Hal tersebut berdampak pada penurunan kinerja perusahaan jasa hulu
migas secara umum, baik di Indonesia maupun regional.
INDUSTRI HULU MIGAS 2010
Indonesia merupakan negara yang memiliki berbagai sumber energi termasuk minyak dan gas. Menurut BP
Statistical Review, Indonesia masih cukup diperhitungkan
sebagai negara yang memiliki cadangan migas di dunia.

Indonesia memiliki cadangan minyak sebesar 7.998 MMTSB dengan 54 sudah terbukti dan 46 sisanya
bersifat potensial. Sebagian besar cadangan minyak nasional berada di wilayah barat Indonesia, oleh karena itu
Pemerintah terus berupaya mengembangkan eksplorasi dan ekploitasi minyak di wilayah timur Indonesia. Untuk
tahun 2010 hasil produksi minyak indonesia mencapai 954 MBOPD atau 1,1 dibawah target pemerintah
yaitu sebesar 965 MBOPD, namun hasil produksi ini meningkat sebesar 0,55 jika dibandingkan periode
yang sama pada tahun sebelumnya.
TINJAUAN UMUM GENERAL REVIEW
The world’s crude price was influenced by supply and demand of oil commodity at both primary and
secondary markets. For Indonesia’s market, the oil production is predicted to rise until 2012 and then
decline on years ahead although the demand will keep rising. This will lead to over demand of oil which may
trigger increasing oil price some day.
Referring to the average crude oil price until 2010, the oil price has showed an upward trend in every year.
The price hike was due to the high demand in response to the economic recovery in some high industrial oil
consuming countries while supply was disrupted following the decline in world’s oil production. The oil
price hike was not in line with the exploration and production activities in Indonesia which are likely to
fall. This can be seen from the decline in exploration and production budget by foreign oil operators. The
situation had led to the decline in the performance of oil and gas companies in general, operating both
locally and regionally.
UPSTREAM OIL AND GAS INDUSTRY 2010
Indonesia has outstanding energy resources including oil and gas. According to BP Statistical Review,
Indonesia is counted as one country in the world that has oil and gas reserves.

Data from BP Migas showed that in January 2009, Indonesia has 7,998 MMTSB oil reserve, of which
54 has been proven and the rest 46 is still a potential reserve. Most of national oil reserve is at
western part of Indonesia, and thus the government has made effort to develop oil exploration and
exploitation in the eastern part of Indonesia. In 2010, Indonesia’s oil lifting was 954 MBOPD or 1.1 below
the lifting target of the government, 965 MBOPD, but it was an increase of 0.55 compared to same period
last year.

Tidak tercapainya produksi nasional disebabkan oleh faktor teknis dan non teknis. Secara teknis, adanya unplanned
shutdown akibat dari kecelakaan kerja, bocornya pipa,
permasalahan subsurface, kegagalan pengambilan minyak dari beberapa off taker dan perpanjangan planned shutdown
menjadi permasalahan. Secara non teknis diakibatkan oleh izin lintas departemen yang tidak harmonis, ganti rugi
lahan yang tidak mulus dan sering terlalu mahal, tumpang tindih lahan perhutanan dan pertambangan, bermacam-
macam Perda dan Iuran, terbatasnya rig dan peralatan rig karena Indonesia tidak pernah memproduksi sendiri dan
masih mahalnya proses Improved Oil Recovery IOR atau Enhanced Oil Recovery
EOR. Cadangan gas nasional adalah sebesar 159,64 TSCF dengan
cadangan yang terbukti sebesar 67 dan sisanya merupakan cadangan potensial. Sebaran cadangan gas nasional
cukup merata antara wilayah barat dan timur Indonesia seiring ditemukannya beberapa cadangan gas di wilayah
Papua. Produksi gas nasional pada tahun 2010 mencapai 8.888 MMScfd atau meningkat sebesar 11,6 dari tahun
sebelumnya. Sehingga secara keseluruhan produksi minyak dan gas nasional nasional mencapai 2.530 BOEPD atau
mengalami peningkatan sebesar 7 pada tahun 2010 dikarenakan dari peningkatan produksi gas nasional.
Untuk sumber energi lainnya, Indonesia memiliki cadangan Geothermal terbesar di dunia, kurang lebih sebesar 43
cadangan dunia dengan kemampuan produksi saat ini sebesar 8.514 Gwh dengan 96 produksi di wilayah barat
Indonesia. Sedangkan untuk Coal Bed Methane CBM, kapasitas produksi nasional saat ini sekitar 453 TCF.
The failure to achieve national production was due to both technical and non-technical factors. Technically,
there were factors like unplanned shutdown due to working accident, pipe leakage, subsurface problem,
failure in oil procurement from some off-takers and the extension of planned sutdown. Non-technically, the
factors included dissynchronized permit issuance by departments, the problematic and too-expensive land
compensation, as well as overlapping in forestry and mining areas, various local regulations and fees, limited
rig and rig equipment, as Indonesia never produces by its own and the expensive process of Improved Oil
recovery IOR or Enhanced Oil Recovery EOR.
National gas reserve is 159.64 TSCF with 67 proven reserve and the rest is the potential reserve. The gas
reserve is widely spread from west to east of Indonesia in line with the discovery of gas reserve in Papua.
National gas production in 2010 was 8,888 MMScfd or rose by 11.6 from the previous year. Thus, in whole,
national oil and gas production reached 2,530 BOEPD or rose by 7 in 2010 due to the hike in national gas
production.
Aside of that, Indonesia also has the biggest geothermal reserve in the world, about 43 of the world’s reserve,
with production capacity currently at 8,514 Gwh, of which 96 is in western part of Indonesia. Whereas,
national production of Coal Bed Methane CBM is now about 453 TCF.

Besarnya potensi minyak dan gas di Indonesia menggambarkan peluang yang sangat lebar terhadap
jasa yang ditawarkan oleh perusahaan ke depannya, terlebih lagi setelah bergabungnya Perseroan ke dalam
“Pertamina Incorporated” semakin mempermudah jalan bagi Perseroan untuk terus berkembang.
Regulasi
Kebijakan pemerintah mengenai Tingkat Komponen Dalam Negeri TKDN dalam industri migas adalah
sebagai salah satu upaya pemerintah dalam melindungi dan memajukan industri migas dalam negeri yang diatur
dalam PTK 007 revisi tentang pedoman pengelolaan rantai pasok Kontraktor Kontrak Kerja Sama KKKS.
Komponen kerja yang dikenai persyaratan TKDN termasuk alat kerja, barang dan sumber daya manusia.
Untuk seluruh pengadaan barang dan jasa yang memiliki nilai kontrak lebih dari USD100.000 harus bersedia
memberikan janjikomitmen pencapaian TKDN minimal 35 dari nilai total proyek.
Dengan semangat yang sama dalam peningkatan partisipasi dalam negeri, pemerintah menerapkan
azas cabotage dalam seluruh bisnis yang berkaitan dengan transportasi barang, penumpang serta jasa
dengan menggunakan sarana angkutan air dengan menggunakan sarana pengangkutan berbendera
negara asal. Pada intinya seluruh aktivitas di perairan Indonesia harus menggunakan kapal yang kepemilikan
Indonesia, berbendera Indonesia dan diawaki oleh orang Indonesia selama beroperasi di wilayah
kekuasaan Indonesia. Peraturan ini mulai berlaku untuk seluruh aktivitas di laut Indonesia pada bulan Mei 2011.
Seiring dengan implementasi otonomi daerah, maka penerimaan negara dari sumber daya alam sektor
pertambangan minyak dan gas harus dibagi antara pusat dan daerah. Untuk hasil kekayaan minyak
bumi, komposisi pembagian pendapatan 85 untuk pemerintah pusat dan 15 untuk daerah, sedangkan
untuk hasil kekayaan gas, komposisi pembagian pendapatan 70 untuk pemerintah pusat dan 30
untuk pemerintah daerah.
Namun demikian, terdapat juga beberapa regulasi yang justru menjadi salah satu penghambat dalam realisasi
dari program eksplorasi dan produksi. Kendala-kendala yang berhubungan dengan regulasi diantaranya adalah
lamanya proses perizinan untuk melakukan program, tumpang tindihnya lahan untuk dilakukan eksplorasi dan
tidak kondusifnya beberapa regulasi seperti otonomi daerah, insentif perpajakan, tata ruang, energi, dan

TINJAUAN UMUM GENERAL REVIEW
The huge potential oil and gas in Indonesia represents wide opportunities for the Company to offer its services
in the coming years, even after the Company joined in ‘Pertamina Incorporated’, offering more opportunities
to develop.
Regulations
Government policies on Local Content in oil and gas industry is one way to protect and support the
development of local oil and gas industry as regulated in PTK 007 revised about the guideline for supply
chain management for Production Sharing Contractors PSC. Component mentioned in the requirements of
Local Content includes working equipment, goods and human resources. For goods and service procurement
of more than USD100,000 contract value shall provide commitment at least 35 of total project value to meet
Local Content requirement.
In the effort to enhance local participation, the government applies cabotage principle at all businesses
relating to transportation of goods, people and services using water transportation facility raising the flag of
origin country. The point is the whole activities on Indonesian offshore required to use Indonesia’s ships
with Indonesia’s flag and employ Indonesian crews during its operation on Indonesian offshore area.
The regulation will be effective for all activities on Indonesia’s sea as of May 2011.
With the implementation of regional autonomy, state revenues from natural resources particularly oil and gas
mining sector, shall be divided into central and local portions. For oil revenues, the composition is 85 for
the central and 15 for local, while for gas, the central government has 70 and local has 30.
However, there are also some regulations that would be obstacles in the realization of exploration and production
program. The constraints associated with the regulation of which is the long-duration of the permitting process
to conduct the program, the overlapping of land for exploration and some inconducive regulations such as
regional autonomy, tax incentives, land use, energy, and calculation of cost recovery.

Pada tahun 2010 ini telah ditandatangani 21 Kontrak Kerja Sama KKS Migas dari 43 Wilayah Kerja WK Migas yang
ditawarkan, 4 KKS Migas perpanjangan dan 3 KKS Coal Bed Methane CBM, dengan total komitmen eksplorasi
dan investasi sebesar USD265,34 juta dan signature bonus sebesar USD37,8 juta. 50 WK yang terjual merupakan
pasar yang besar bagi Perseroan untuk mengembangkan jasanya. Hal tersebut ditambah lagi dengan rencana
pemerintah pada tahun 2011 ini untuk meningkatkan
jumlah blok eksploitasi dan eksplorasi seperti berikut: Pada tahun 2011 mendatang jumlah WK yang ditawarkan
meningkat sebanyak 18 serta peningkatan Work Program Budget
WPB sebesar 20,6. WK yang ditawarkan pada tahun 2011 adalah 39 melalui reguler tender dan 11
melalui direct offer, dan 10 wilayah kerja baru CBM. Dengan adanya peningkatan jumlah blok eksploitasi
serta banyaknya WK yang ditawarkan meningkatkan optimisme pemerintah dalam memenuhi target produksi
minyak yang diperkirakan akan naik sebesar 5 MBOPD menjadi 970 MBOPD dan produksi gas naik menjadi
7.768,99 BBTUD. Peningkatan target ini dinilai realistis seiring dengan ditemukannya beberapa cadangan migas
baru pada tahun 2010 yang mempunyai cadangan minyak sekitar 230 MMBO dan 2,8 TSCF dari 9 WK produksi.
Komponen biaya pada Work Program Budget WPB 2011 sebesar 9,04 digunakan untuk kegiatan
eksplorasi, 21,17 untuk kegiatan pengembangan dan sisanya untuk kegiatan produksi dan umum. Sebagai
perusahaan yang bergerak di bidang jasa hulu migas, maka Perseroan memiliki potensi bisnis yang cukup
besar pada kegiatan eksplorasi dengan porsi kegiatan survei dan drilling mencapai 85 dari total WPB
Eksplorasi. Peningkatan anggaran KKKS untuk tahun 2011 mendatang yang terlihat dari peningkatan WPB
ini juga merupakan efek positif dari perbaikan setelah terjadi krisis global sejak tahun 2008. Peningkatan
WPB ini seiring dengan program pemerintah untuk meningkatkan kualitas dan ketersediaan data geoscience
untuk meningkatkan daya tarik WK yang ditawarkan dan eksplorasi serta mengubah beberapa perjanjian migas
sehingga lebih atraktif lagi bagi para investor. In 2010, about 21 Production Sharing Contracts PSC in
oil and gas from 43 Oil and Gas Working Areas offered were signed, of which 4 contracts were extension and
3 PSC agreements were on Coal Bed Methane CBM, with total exploration and investment commitment of
USD265.34 million and signature bonus of USD37.8 million. About 50 of sold Working Areas represented
huge market for the Company to develop its services. That was added by government’s plan in 2011 to increase
the total exploitation and exploration blocks, as follows: In 2011 total offered Working Areas increased by 18
while the hike in Work Program Budget WPB was 20.6. There are 39 Working Areas offered in
2011 through reguler tender and 11 areas through direct offer, as well as 10 new CBM working areas.
With the increase in the number of exploration blocks and of the offered Working Areas raise optimism of the
government over target of oil lifting which is expected to increase by 5 MBOPD to 970 MBOPD while gas
production will reach 7,768.99 BBTUD. The increased targets are realistic after the discovery of new oil and
gas reserves in 2010 of 230 MMBO and 2.8 TSCF, respectively, in 9 production Working Areas.
Cost component in 2011 in the Work Program Budget WPB which is 9.04 is used for exploration
activity, 21.17 for development activity and the rest for production and general affairs. As a company
operating in upstream oil and gas business, the Company has huge opportunity in exploration activity,
in which portions of survey and drilling activities reach 85 of total WPB for exploration. The increase of
PSC budget in 2011 can be seen from the increase of WPB which resulted from the positive effect of
improvement post global crisis in 2008. The increased WPB is in line with the government’s program to
improve quality and availability of geoscience data to boost attractivenes of the offered Working Areas and
exploration while revising some oil and gas contracts to make them more attractive to investors.

INTEGRATED UPSTREAM OIL GAS SERVICES
The core and backbone businesses of the Company’s operation is the Integrated Upstream Oil and Gas
Services which consist of three main divisions operating in geoscience services, drilling services, and oilfield
services. The three divisions are all integrated and then become the competitive benefits of the Company that
differ from the other competitors.
Geoscience Services Division GSC
GSC Division provides Integrated Geophysical Data service that able to provide service on seismic dan non
seismic acquisition particularly in the land and transition zone and marine, as well as geodata processing
geology geophysics reservoir service.
JASA HULU MIGAS TERINTEGRASI
Bisnis inti dan backbone operasi Perseroan adalah pada Jasa Hulu Migas Terintegrasi yang di dalamnya terdiri
dari 3 divisi utama yang bergerak masing-masing pada bidang jasa pemetaan data dengan seismik geoscience
services
, jasa pemboran drilling services dan jasa- jasa pendukung untuk pemeliharaan dan pengelolaan
lapangan migas oilfield services. Ketiga divisi tersebut terintegrasi dan kemudian menjadi ciri keunggulan
Perseroan dibandingkan dengan kompetitor lainnya.

Selain mengerjakan beberapa proyek yang merupakan lanjutan dari tahun 2009, selama tahun 2010 GSC telah
memenangkan beberapa proyek besar diantaranya sebagai berikut:
Besides some carry-over projects from 2009, GSC won several big projects in 2010, i.e.:
Most of GSC’s big projects are on the land and conducted by Geodata Land Seismic GDL unit.
Yet, due to unconditional weather and complicated operation approval, has made some GDL projects
delayed. This low utilization was also caused by other macro issues, making some big targeted projects
of the Company cancelled. Meanwhile, Transition Zone Marine Seismic GDM business unit has
been carried out in the form of Joint Operation with foreign partners. The transition zone project was in
collaboration with CGGVeritas-France whereas for marine projects, the Company partnered with Nordic
Maritime Pte. Ltd.-Singapore. This year, the Company succeeded to develop GDM competence so that the
operation of the business unit rose significantly.
The big projects that were done using equipment capacity of GSC included:
Proyek utama GSC sebagian besar dilakukan di darat oleh unit usaha Geodata Land Seismic GDL. Namun dikarenakan
cuaca yang kurang mendukung serta sulitnya perizinan operasi menyebabkan beberapa proyek GDL mengalami
penundaan. Tingkat utilitas GDL yang tidak terlalu tinggi ini juga disebabkan beberapa kendala makro lainnya, sehingga
terdapat beberapa proyek besar yang telah diproyeksikan Perseroan mengalami pembatalan oleh perusahaan migas.
Sedangkan untuk pekerjaan Transition Zone Marine Seismic
GDM selama ini dilaksanakan melalui kerjasama dalam bentuk Joint Operation dengan partner kerja asing.
Pada pekerjaan transition zone bekerjasama dengan CGGVeritas-Perancis sedangkan untuk pekerjaan marine
bekerja sama dengan Nordic Maritime Pte. Ltd.-Singapura. Pada tahun ini, Perseroan telah berhasil mengembangkan
kompetensi GDM tersebut sehingga kinerja operasional unit usaha ini meningkat cukup signifikan.
Proyek-proyek besar yang disampaikan diatas dikerjakan dengan menggunakan kapasitas alat yang dimiliki GSC
sebagai berikut:

Divisi Drilling Service EDS
EDS memberikan jasa layanan terintegrasi dibidang drilling services
maupun drilling support services sehingga mampu memberikan solusi yang lengkap
dengan harga optimal. Yang menjadi layanan jasa andalan EDS adalah Modular Rig 1500 HP yang pada
tahun ini berhasil melakukan pemboran sebanyak 12 sumur sesuai dengan target yang ditetapkan klien,
dan Wireline logging services yang juga memberikan kinerja operasional yang memuaskan dengan tingkat
utilisasi yang tinggi. Jasa layanan lain yang ada pada drilling support services
adalah Cementing service, Well Testing services, Mud Logging services, H2S
Monitoring Services dan Mud Engineering.

operational result at high utilization rate. Other services included in drilling support services are
Cementing service, Well testing services, Mud logging services, H2S Monitoring Services and Mud

Tingkat utilisasi unit bisnis drilling services pada tahun 2010 ini memang cenderung rendah, selain modular rig
yang telah dijelaskan diatas, conventional rig lainnya juga belum optimal karena memang pangsa pasar dari jenis
rig yang dimiliki sudah sangat jenuh, sehingga tingkat kompetisi semakin tinggi dan sulit mendapatkan proyek.
Disamping itu, dikarenakan perlunya perawatan dan perbaikan untuk memaksimalkan kapasitas, maka masih
terdapat satu buah rig yang belum dapat dipergunakan. With the service ability, in 2010 EDS secured prime

EDS performance was supported by equipment capacity, namely:
Utilization rate of drilling services unit in 2010 tends to decrease, besides the modular rig factor, other
conventional rigs were not working at optimum level since the market share of the type of rigs was already
ample, making it difficult to work in high competition and to gain project. Aside of that, 1 rig was idle since it
required maintenance and refurbishment to maximize the capacity.

OFS provides well services WST consist of hydraulic Workover HWOsnubbing services, wirelineslickline
services, coiled tubbing services pumping services as well as Production Enhancement Facilities PEF
comprised of Production facilities and Production enhancement services. The core competence of
OFS is on Hydraulic workoverSnubbing services and WirelineSlickline services, whereas PEF is under
development phase and therefore has not much contributed to this division.
Most OFS projects are long term projects with prime customers namely Total EP Indonesie, Pertamina
and Chevron.

Pada tahun 2010 ini, OFS mendapatkan 3 penghargaan dari Total EP Indonesie berkaitan dengan kinerja
proyek yang menggunakan salah satu slickline boat, snubbing barge
dan snubbing unit. Dalam rangka meningkatkan kinerja operasi dan daya
saing Perseroan, sepanjang tahun 2010 ini Perseroan melakukan berbagai perbaikan baik dari aspek
organisasi, operasi, sistem dan lainnya. Perseroan telah mendapatkan pembelajaran yang amat berharga untuk
dapat meningkatkan tingkat utilisasi peralatan operasi dengan restrukturisasi organisasi dengan membentuk
Divisi Marketing untuk mengembangkan strategi-strategi penjualan yang terintegrasi dan fokus pada pencapaian
perolehan target proyek, mengoptimalisasikan Divisi Pengembangan Usaha untuk mencari mitra strategis
untuk kerjasama operasi, meningkatkan monitoring pergerakan peralatan operasi mulai dari tahap persiapan
sampai dengan tahap akhir proyek. Di samping itu, juga harus dilakukan peningkatan project management dalam
rangka fokus pada deployment untuk merealisasikan proyek yang telah didapat.

one of slickline boat, snubbing barge and snubbing unit.
To boost the operation and competitiveness of the Company, in 2010 the Company managed a series
of improvements in terms of organizational aspect, operation, system, and others. The Company took
valuable lessons regarding the utilization improvement of operational equipment through organizational
restructuring by establishing Marketing Division to develop an integrated and focused marketing
strategy to meet the project acquisition target, the optimization of Business Development Division to
seek for strategic partner for a joint operation and the enhancement of monitoring over the movement of
operational equipment from the preparation level to project completion phase. In addition, there was an
improvement in project management in order to focus on deployment to realize the projects obtained.

Untuk menunjang aktivitas operasional, saat ini Perseroan telah memiliki 6 buah warehouse yang tersebar di hampir
seluruh wilayah kerja operasi Perseroan di Indonesia. Warehouse
yang terakhir diresmikan Perseroan pada tanggal 22 Desember 2010 berlokasi di Sentul City.
Warehouse ini memiliki fasilitas terpadu dan efektif

storage, preventive maintenance, project preparation, innovation, testing, labs, workshops, training, including
Elnusa Petroleum School Activities. With the total land area of 17,587 m

Produk Data dari PND yang disebut INAMETA, telah mendapatkan pengakuan dari industri di dalam maupun
di luar negeri, ditunjukkan dengan makin banyak penggunanya. Teknik produk ini telah mendapatkan
pengakuan dan penghargaan Merit Best Industrial Application Indonesian ICT Awards
2002 dan Merit Best Industrial Application Asia Pasific ICT Awards
2002 . Selama 2dua tahun terakhir ini, PND juga mulai
mengembangkan software dan perbaikan versi untuk software DAVAL, pembuatan software DTSS
untuk pemantauan speculative survey dan perbaikan INAMETA. PND juga meningkatkan jumlah koleksi
data dari pengalihan data terbuka pemerintah yang berada di Pertamina dan data-data terbuka dari
proses relinquishment serta terminasi KKKS. Dengan peningkatan koleksi data yang dikelola maka PND
membantu pemerintah dalam kegiatan pemasyaratakan dan pemanfaatan data.

During 2010, the operational performance of PND could be explained in brief as follows:
PND’s data product called INAMETA, has attained wide recognition from domestic and international industries
as indicated from the growing number of users. The product technics has achieved acknowledgment
and award such as Merit Best Industrial Application Indonesian ICT Awards 2002 and Merit Best Industrial
Application Asia Pasific ICT Awards 2002 .
In the last two years, PND has started software development and upgrade on the version of DAVAL
software, the making of DTSS software for monitoring speculative survey and improvement of INAMETA.
PND also increased the number of collected data from the shift of government’s open data stored in
Pertamina and open data from relinquishment process and termination of PSC. With the increased collected
data, PND has helped the government in socialization activity and data usage.

Based on the Deed No. 12 dated December 22, 2010 and Decree of the Minister of Justice and Human
Rights dated January 21, 2011, PBN changed its name into PT Elnusa Fabrikasi Konstruksi EFK.

The Company dominated 97.35 shares in EFK which serves threading and trading of casing pipe OCTG and
fabrication located in Batam Island. Threading process in EFK is conducted by using threading machine,
managing annual production capacity of 60,000 MT in 2009. Yet in 2010, the production capacity of threading

di tahun 2010 kapasitas produksi mesin-mesin pengulir mengalami penurunan menjadi 40.000 MT per tahun akibat
kondisi beberapa mesin yang memerlukan peremajaan. EFK saat ini dilengkapi dengan 2 mesin ulir baru.
Mesin-mesin pengulir tersebut dapat memproduksi ulir dari ukuran terkecil 2 38” sampai ukuran terbesar 30”.
Terkait dengan hal tersebut EFK masih menjadi pemain unggulan terutama untuk pipa low grade dan dalam hal
penyediaan connection pipa big size 16”. EFK memiliki plant
dan yard seluas 3ha berada di lokasi ideal yaitu waterfront
Batam. Kapasitas operasi EFK di tahun 2010 adalah sebagai berikut:

Pencapaian kinerja operasi EFK pada tahun ini menurun cukup signifikan, selain karena tingkat kompetisi yang semakin
tinggi, juga disebabkan tertahannya lisensi Angka Pengenal Impor-Produsen API-P EFK selama 6 bulan sejak April sampai
dengan November 2010. Sedangkan unit bisnis fabrikasi sampai akhir tahun masih dalam tahap pengembangan,
sehingga belum memberikan kontribusi yang signifikan.

The threading machines are able to product thread of smallest size 2 38” to the biggest size 30”. Related
to that, EFK is still the leading player for low grade pipe and in big size connection pipe 16”. EFK has
plant and 3-ha yard in waterfront Batam.
EFK’s operation capacity in 2010 is reported as follows:
The achievement of EFK’s operational performance this year significantly declined, due to higher competition
and retained license for Import Identification Number- Producer API-P EFK in 6 months since April until
November 2010. Whereas, fabrication business unit until end of the year was still under development phase,
so that it could not yet contributed significantly.

PKM memiliki dua layanan utama, yang pertama adalah penyedia jasa jaringan telekomunikasi dan yang kedua
adalah penyedia jasa instalasi. Pada tahun 2010, realisasi jumlah node stasiun bumi yang dioperasikan sebanyak
1.444 node untuk melayani sektor Telekomunikasi Telkom Group dan beberapa operator lainnya, Industri
Perminyakan Pertamina beserta Anak Perusahaan dan KPS, sektor Perbankan BRI, BTN dan Bank Sulut, sektor
Swasta Kompas dan beberapa pelanggan lainnya dan sektor Pemerintah Departemen dan Pemda.
Untuk pengembangan usaha, PKM mulai pemanfaatan teknologi kompresi dan modulasi pada produk SCPC
khususnya link DS-3 Tsel, optimalisasi penggunaan HUB I Direct dan Shiron dalam penyelenggaran layanan VSAT-
IP serta penggunaan router dalam penyediaan layanan akses internet bagi pelanggan ritel seperti Kentucky Fried

PKM manages
two main
services, namely
telecommunication network service and installation service provider. In 2010, the realization of earth
station node being operated was 1,444 nodes to serve telecommunication sector Telkom Group dan
some other operators, oil industry Pertamina and its subsidiaries and KPS, banking sector BRO, BTN,
and Bank Sulut, private sector Kompas and other clients and government sector Department and
Local Governments.
For business development, PKM started using compression and modulation technologies on SCPC
product particularly DS-3 Tsel link, optimation of the use of HUB I Direct and Shiron in providing VSAT-IP
service as well as router use in providing internet access to retail customers like Kentucky Fried Chicken
KFC.
Its telecommunication service comes from the operation of earth station node which the realization
in 2010 were as follows :

In term of service realibility, PKM can reach service availability up to 99.89, slightly above service
availability offered to customers at 99.65 and in line with ISO standard at 99.7. Below is the service

EPN bergerak di bidang penyediaan, pemasaran, penyimpanan dan distribusi khususnya untuk produk
dan jasa minyak dan gas di Indonesia. Dalam bisnis transportasi EPN menjadi pemain utama dengan Patra
Niaga sebagai kompetitor, memiliki wilayah operasi di luar Pulau Jawa dengan market share EPN sebesar 45.
Pada bulan Oktober 2010, EPN ditunjuk oleh Pertamina menjadi pengelola Agen Premium Minyak Solar APMS untuk seluruh
wilayah Kalimantan. EPN juga telah mengimplementasikan program SAP Module Sales Distribution pada unit usaha
Niaga BBM Industri Marine 2010. Selama tahun 2010, EPN melaksanakan program apresiasi terhadap 100 orang awak
mobil tangki seluruh Indonesia sebagai komitmen EPN untuk memberikan penghargaan atas kinerja terbaik karyawannya.
EPN operates in provision, marketing, storage and distribution particularly oil and gas product and service in
Indonesia. In the transportation business, EPN becomes the main player with Patra Niaga as competitor, and has
operational area outside Java Island with market share of 45.
In October 2010, EPN was appointed by Pertamina as operator of Diesel Fuel Premium Agent APMS for
Kalimantan area. EPN has also implemented SAP Module for Sales Distribution in Commercial Marine fuel
industry in 2010. During 2010, EPN has implemented appreciation program to 100 crews of oil tank trucks in
Indonesia as part of EPN’s commitment to give award for the best performing employees.

Pada tahun 2010, EPN menjadi operator 6 unit dari 654 unit milik swasta yaitu SPBU Tendean, Bintaro, Fatmawati,
Sunter, Cisalam dan Ancol. SPBU Ancol adalah SPBU yang baru dikelola pada Triwulan II tahun 2010 sedangkan
SPBU Sepatan dan Tambun tidak diperpanjang kontraknya. Disamping SPBU, EPN juga mengelola 1 SPDN lokasi Labuan
dan 1 SPBN lokasi Pacitan. EPN juga memiliki SPBU sendiri lokasi Dawuan-Cikampek dan Sunter. Target berikutnya EPN
akan menambah SPBU kelola yaitu di lokasi TB Simatupang dan Cempaka Hijau. Strategi bisnis SPBU akan fokus pada
pengelolaan SPBU di Jabodetabek.
Unit usaha trading meliputi BBM Industri, Specialty Chemical bahan kimia khusus dan Commodity Chemical non-bahan
kimia khusus. Khusus bisnis BBM industri, konsumsi BBM secara ekonomi adalah 21 juta KL dengan komposisi 19,95
juta KL untuk BBM Pertamina dan 1,05 juta KL adalah BBM Non-Pertamina dipasok oleh Shell, Petronas dan AKR. EPN
bersama dengan Patra Niaga merupakan agen yang ditunjuk oleh Pertamina. Bisnis Trading BBM Industri akan fokus pada
pelanggan Industri dan Marine diwilayah Indonesia bagian Barat Sumatera, Jabodetabek, Jabar, Tengah Jateng, Jatim,
Balinus dan Timur Kalimantan, Sulawesi, Ambon, Papua.
Sejak tahun 2009 EPN juga mulai menjalankan bisnis pengelolaan depot swasta sebagai handling agent.
Pengelolaan depot swasta ini dijalankan dengan sistem VHS Vendor Held Stock. EPN mengelola 5 depot
dengan total throughput 20,700 KLbulan. Operasi yang dilakukan selama tahun 2010 adalah sebagai
berikut : In 2010, EPN has become the operator for 6 of 654 privately
owned units, such as Gas Stations of Tendean, Bintaro, Fatmawati, Sunter
, Cisalam and Ancol. Ancol is a gas station
which was commenced in second quarter of 2010 while contracts of Sepatan and Tambun Gas Stations were not
extended. Besides SPBU, EPN has managed one SPDN in Labuan and one SPBN in Pacitan. EPN also managed its
own gas stations in Dawuan-Cikampek and Sunter. The next target will be that EPN will add gas stations at TB Simatupang
and Cempaka Hijau. The strategy of gas station business will focus on management of gas station in Jabodetabek.
Trading business unit consists of Industrial fuel, Specialty Chemical and Commodity Chemical. For industrial fuel,
economically fuel consumption is 21 million KL with composition of 19.95 million KL for Pertamina’s fuel and
1.05 million KL is Non-Pertamina’s fuel supplied from Shell, Petronas and AKR. EPN together with Patra Niaga is
an agent of Pertamina. Industrial fuel trading business will focus on industrial and marine customers in the west part of
Indonesia Sumatera, Jabodetabek, West Java, Central part Central Java, East Java, Balinus and East part of Indonesia
Kalimantan, Sulawesi, Ambon, Papua.
In 2009 EPN started the private Depot management business as handling agent. Private depot management
was running using Vendor Held Stock VHS system. EPN managed 5 depots with total throughput 20.700
KLmonth. The operations in 2010 were:

Sejak 1 Juli 2005, EPR sudah tidak lagi melakukan kegiatan usaha sebagai pengelola SPBU. Pengelolaan
SPBU seluruhnya telah diserahkan kepada EPN. Aset EPR berupa SPBU di Cikampek telah dibeli EPN untuk
kemudian menjaminkan aset tersebut kepada Bank BNI Syariah pada September 2010.
PENGELOLAAN LAPANGAN MIGAS
Perseroan mempunyai kepemilikan tidak langsung melalui EPR pada Elnusa Chariot International, Ltd. ECI
yang didirikan di Belize tanggal 12 Oktober 2010 sebesar 100 saham. ECI mempunyai kepemilikan 11 working
interest
pada Blok Bangkanai. Pada tanggal 11 November 2010, Perseroan menjual 100
saham Perseroan di EBE kepada Salamander Energy Group Ltd. Salamander dengan harga jual sebesar USD 11,2 juta
dan telah efektif berdasarkan Closing Statement tanggal 18 November 2010. Dalam perjanjian ini dinyatakan bahwa
EBE setuju untuk menanggung porsi ECI sebesar 5 atas seluruh biaya yang timbul selama masa eksplorasi.
Since July 1, 2005, EPR has not been active in handling gas station management business. The gas
station management business is now managed by EPN. EPR’s Assets like gas station in Cikampek were
acquired by EPN and secured to Bank BNI Syariah in September 2010.
OIL AND GAS FIELD ASSET MANAGEMENT
The Company has indirect ownership as much as 100 through EPR in Elnusa Chariot International,
Ltd ECI which was established in Belize on October 12, 2010. ECI has 11 working interest in Bangkanai
Block.
On November 11, 2010, the Company released 100 shares in EBE to Salamander Energy Group Ltd.
Salamander for USD11.2 million and was effective based on Closing Statement dated November 18,
2010. Under this agreement, EBE agreed to take over ECI’s portion of 5 upon the whole costs emerging
during the exploration period.

Pembahasan dan analisis berikut mengacu pada Laporan Keuangan Konsolidasi Perseroan hasil dari proses audit
yang dilakukan oleh Konsultan Akuntan Publik Purwantono, Suherman Surja sesuai Laporannya tanggal 28 Februari
2011 No. RPC-580PSS2011 untuk tahun yang berakhir pada tanggal 31 Desember 2009 dan 2010 yang disajikan
dalam buku Laporan Tahun ini. Laporan keuangan konsolidasian ini disajikan berdasarkan prinsip akuntansi
yang berlaku umum PSAK Indonesia dan peraturan BAPEPAM-LK No. VIII.G.7 tentang pedoman Penyajian

Selama tahun 2010, Perseroan berhasil membukukan peningkatan pendapatan usaha konsolidasi sebesar
15 pada akhir tahun 2010 dari Rp3,6 triliun menjadi Rp4,21 triliun. Pendapatan ini berasal dari tiga kelompok
usaha yaitu Jasa Hulu Migas Terintegrasi, Jasa Hilir Migas serta Jasa Penunjang Hulu Migas. Komposisi
pendapatan terbesar tahun 2010 berasal dari sektor Jasa Hulu Migas Terintegrasi yang merupakan bisnis inti
Perseroan dengan kontribusi sebesar 52, kemudian Jasa Hilir Migas memberikan kontribusi sebesar 44
dan diikuti oleh Jasa Penunjang Hulu Migas yang terdiri dari tiga anak perusahan menyumbang 4 dari total
pendapatan konsolidasi Perseroan. Selain itu, terjadi peningkatan pendapatan usaha antar segmen dari
Rp65,6 miliar di tahun 2009 menjadi Rp140,6 miliar di tahun 2010. Pendapatan usaha antar segmen ini yang
kemudian dieliminasi pada total pendapatan konsolidasi Perseroan.

the results of the audit process undertaken by Public Accountant Consultant, Purwantono, Suherman Surja,
in accordance with its report dated on February 28, 2011, No. RPC-580PSS2011 for the year ended on December
31, 2009 and 2010, which are presented in this Annual Report. The consolidated financial statements are
presented under Indonesia’s general accepted accounting principles Indonesia GAAP and BAPEPAM-LK Regulation
No. VIII.G.7 on the guidelines of Presentation of Financial Statements. Currency of the consolidated financial
statement report is denominated in millions IDR.
PROFIT AND LOSS PERFORMANCE
Operating Revenues
During 2010, the Company booked an increase of 15 in consolidated operating revenues at the end of 2010
from IDR3.6 trillion to IDR4.21 trillion. The revenues were derived from the three business groups namely
Integrated Upstream Oil and Gas Services , Downstream Oil and Gas Services and Oil Gas Support Services. The
composition of the biggest revenue in 2010 was derived from the Integrated Upstream Oil Gas Services sector
as the core business of the Company with a contribution of 52, subsequently the Downstream Oil Gas
Services contributed as much as 44, followed by the Upstream Oil Gas Support Services that comprised of
three subsidiaries which accounted for 4 of the total consolidated revenue. In addition, there was an increase
in inter-segment revenues from IDR65.6 billion in 2009 to IDR140.6 billion in 2010. Operating revenues from this
inter-segments were then eliminated in the Companys total consolidated revenue.

Kelompok ini terdiri dari 3 tiga divisi operasi yaitu Divisi Geoscience Service
GSC, Divisi Drilling Service EDS dan Divisi Oilfield Service OFS. GSC sebagai divisi yang
menangani pekerjaan seismik memberikan kontribusi pendapatan sebesar 60 dari seluruh pendapatan
Jasa Hulu Migas Terintegrasi atau menyumbang 31 dari keseluruhan pendapatan Konsolidasi Perseroan.
Seperti yang telah disampaikan pada Pembahasan atas Kinerja Operasi, peningkatan pendapatan GSC
tersebut disumbang oleh peningkatan yang signifikan atas kinerja unit usaha GDM, sedangkan unit usaha
GDL mengalami penurunan signifikan karena utilisasi rendah akibat pembatalan dan penundaan beberapa
proyek. Sementara itu, EDS yang merupakan divisi yang bergerak di bidang drilling services maupun drilling
support services
berkontribusi sebesar 21 terhadap total pendapatan Jasa Hulu Migas Terintegrasi. Pada
EDS, pendapatan banyak dikontribusi dari unit usaha drilling services
khususnya modular rig dan unit usaha drilling support services
khususnya wireline logging. Sedangkan kinerja pendapatan OFS didominasi oleh
unit usaha well services dan menyumbangkan 18 dari total pendapatan Jasa Hulu Migas Terintegrasi.
Selain pendapatan dari ketiga divisi operasi tersebut, ada pula pendapatan dari pengelolaan asset property
milik Perseroan yang dilakukan oleh Elnusa Building Management
EBM, salah satunya adalah gedung Graha Elnusa di Jalan TB Simatupang Kav. 1B Jakarta.
Pada tahun 2010, pendapatan pengelolaan gedung ini cukup meningkat 5 terutama yang didapat dari sewa
kepada pihak ketiga.

Income from Integrated Upstream Oil and Gas Services
This group comprises of 3 three operating divisions, namely Geoscience Services Division GSC, Drilling
Services EDS Division and Oilfield Services Division OFS. GSC as a division that handles seismic work contributed
60 to the total Upstream Oil and Gas Integrated Services revenues or contributed 31 to the total revenues in the
Consolidated Financial Statement of the Company. As noted in the discussion on the Performance of Operations, the
increase of GSC revenue was contributed by a significant improvement over the performance of GDM business
unit, while GDL unit has decreased sharply because low utilization due to the cancellation and postponement of
some projects. Meanwhile, EDS is a division engaged in drilling services and drilling support services which
contributed 21 to the total Integrated Upstream Oil Gas Services revenue. At EDS, the income was dominantly
contributed by drilling service unit, particularly modular drilling rig and drilling support business units, in particular
wireline logging. Whereas, the revenue performance of OFS was dominated by well services business unit and
contributed 18 to the total Integrated Upstream Oil Gas Services revenue.
In addition to revenue from the three operating divisions, there were also revenues from the management of
property assets owned by the Company under the Elnusa Building Management EBM, one of which was
Graha Elnusa building at Jalan TB Simatupang Kav. 1B Jakarta. In 2010, the building management revenue
increased 5, especially that derived from the lease to third parties.

Kelompok jasa penunjang hulu migas terdiri dari 3 tiga anak perusahaan yaitu PT Patra Nusa Data
PND, PT Sigma Cipta Utama SCU dan PT Elnusa Fabrikasi dan Konstruksi EFK atau dahulu bernama
PT Purna Bina Nusa PBN. Pada tahun 2010 ini terjadi perubahan
komposisi penyumbang
pendapatan terbesar dimana pada tahun sebelumnya sumbangan
terbesar datang dari EFK dengan 46,2 menjadi SCU dengan menyumbang 45,5 dari total komposisi
pendapatan Jasa Penunjang Hulu Migas seiring dengan proses restrukturisasi bisnis SCU.
Pada tahun 2010 kelompok Jasa Penunjang Hulu Migas banyak menghadapi berbagai tantangan strategis yang
mempengaruhi kinerja operasional Perseroan, baik pendapatan maupun profitabilitas, sebagai contoh pada
EFK yang mengalami penurunan pendapatan usaha yang cukup tinggi akibat kendala perizinan operasi.

Kelompok Jasa Hilir Migas terdiri dari 2 dua anak perusahaan yaitu PT Elnusa Petrofin EPN dan

yang memiliki 11 working interest di Blok Bangkanai. Kinerja Jasa Hilir Migas pada tahun 2010 mengalami
peningkatan pendapatan usaha sebesar 80, hal ini terjadi seiring dengan perubahan fokus bisnis secara
bertahap sejak tahun 2008 yang semula fokus pada bisnis pengelolaan SPBU menjadi bisnis trading BBM
industri, transportasi dan pengelolaan depot.

Komposisi pendapatan Perseroan secara keseluruhan pada tahun 2010 yang terbesar berasal dari kontrak
bagi hasil sebesar Rp1,7 triliun dan perusahaan swasta sebesar Rp1,5 triliun dengan komposisi sumbangan
pendapatan sebesar 41,3 dan 37,7.
Income from Upstream Oil and Gas Support Services
Upstream Oil and Gas Support Services group consists of 3 three subsidiaries namely PT Patra Nusa Data PND,
PT Sigma Cipta Utama SCU and PT Elnusa Fabrikasi and Konstruksi EFK or formerly called PT Purna Bina Nusa
PBN. In the year 2010, there was a change whereby the composition of the largest revenue contributors in the prior
year which came from PBN with 46.2, was replaced by SCU with 45.5 contribution to the total composition
of the Upstream Oil and Gas Support Services revenues following the business restructuring process in SCU.
In 2010, the group of Upstream Oil and Gas Support Services faced many strategic challenges that affected
the operational performance of the Company, both in revenues and profitability, for example, in EFK which
experienced a significant decrease in operating revenues due to the constraints in obtaining operational license.
Revenues from Downstream Oil and Gas Services
Downstream Oil and Gas Services Group consists of 2 two subsidiaries namely PT Elnusa Petrofin EPN and
PT Elnusa Patra Retail EPR that currently owns 100 shares in Elnusa Chariot Indonesia ECI, a company
which has 11 working interest in Bangkanai Block. Downstream Oil and Gas Service Performance in 2010
saw an increase in operating revenues by 80, due to gradual changes in business focus since 2008, which
originally focused on business management of gas station into industry fuel trading, transportation and
depot management business.
Composition of the Company’s Revenues Based on Customer Type
The composition of the Companys overall revenues in 2010 came from profit sharing contracts of IDR1.7
trillion, and private companies amounting IDR1.5 trillion with composition of revenue contribution of 41.3 and
37.7 respectively.

Pertamina Group yang merupakan salah satu pemegang saham mayoritas Perseroan pada tahun 2009
memberikan sumbangan 42 dari total pendapatan atau sekitar Rp1,58 triliun dan menurun pada tahun
2010 menjadi Rp865 miliar atau sebesar 20.
Beban Pokok Pendapatan
Beban Pokok Pendapatan Usaha Konsolidasi berasal dari usaha perdagangan dan distribusi, usaha manufaktur dan
usaha jasa. Beban pokok penjualan dari usaha perdagangan dan distribusi merupakan beban yang berasal dari anak
perusahaan EPN untuk penjualan produk bahan bakar minyak dan bahan kimia. Seiring dengan peningkatan pendapatan
dari perdagangan dan distribusi sebesar 101, maka beban pokoknya juga mengalami peningkatan dari semula sebesar
Rp762 miliar menjadi Rp1,55 triliun atau meningkat sebesar 103. Untuk beban pokok penjualan manufaktur berasal
dari anak perusahaan EFK yaitu dari aktivitas penguliran pipa dan penjualannya. Oleh karena pendapatan dari EFK
menurun sebesar 83 dari tahun 2009, maka beban pokok penjualan manufaktur juga mengalami penurunan dari
Rp146,4 miliar di tahun 2009 menjadi Rp22,1 miliar di tahun 2010. Beban pokok pendapatan jasa berasal dari aktivitas di
Jasa Hulu Migas, anak perusahaan SCU dan PND, serta jasa transportir dan pengelolaan depot pada anak perusahaan
EPN. Sejalan dengan penurunan pendapatan dari aktivitas jasa sebesar 1, maka beban pokok pendapatan jasa juga
turun sebesar 1 dari Rp2,21 miliar di tahun 2009 menjadi Rp2,23 miliar di tahun 2010. Penurunan aktivitas terbesar
adalah pada anak perusahaan SCU dan PND dikarenakan penurunan aktivitas migas di Indonesia di tahun 2010.
Jika dilihat dari komposisinya, beban pokok pendapatan jasa sebesar Rp2,2 triliun merupakan beban yang
mendominasi 53,1 dari seluruh beban pokok pendapatan Rp3,8 triliun.

Pertamina Group which is one of the major shareholders in the Company, in 2009 contributed 42 to total
revenues, or about IDR1.58 trillion, but declined in 2010 to IDR865 billion or 20.
Cost of Operating Revenues
Consolidated Cost of Operating Revenues were derived from the trade and distribution, manufacturing
operations and contractual services. Cost of sales from trading and distribution operations came from oil fuel
and chemical products sales by subsidiares, EPN. Along with increased revenue from trading and distribution
of 101, then the cost of operating revenues also increased from the beginning of IDR762 billion to
IDR1.55 trillion or an increase of 103. The cost of goods sold from manufacturing operations were
derived from a subsidiary, EFK, from pipe threading and trading activities. Because of EFK income decreased
by 83 from the year 2009, the cost of goods sold from manufacturing operations also declined from
IDR146.4 billion in 2009 to IDR22.1 billion in 2010. Cost of contractual service rendered derived from activities
in the Upstream Oil and Gas Services, SCU and PND, as well as transporting and managing services depot in
EPN. In line with the decline in revenues from service activities at 1, then the cost of contractual services
rendered also decreased by 1 from IDR2.21 billion in 2009 to IDR2.23 billion in 2010. The largest declined
activities were in subsidiaries SCU and PND due to decrease in oil and gas activities in Indonesia in 2010.
As seen in the composition, the cost of contractual services rendered amounting IDR2.2 trilion, was
a cost dominated 53.1 the whole cost of sales IDR3.8 trilion.

Beban Usaha
Di tengah peningkatan beban pokok usaha Perseroan, beban penjualan Perseroan menurun sebesar 20 dari Rp9,26
miliar pada tahun 2009 menjadi Rp7,36 miliar pada tahun 2010. Dengan segala upaya untuk terus mengembangkan
proses promosi dan iklan yang efektif serta mengurangi beban yang tidak berguna sehingga mampu menekan beban
usaha yang semula sebesar 0,25 dari pendapatan pada tahun lalu, menjadi 0,17 pada tahun 2010. Peningkatan
beban penjualan hanya terjadi pada beban transportasi dan perjalanan dinas yang berasal dari peningkatan aktivitas
penjualan di anak perusahaan seperti PND, SCU dan EFK.

Upaya efisiensi kerja juga terlihat pada pengurangan komposisi beban umum dan administrasi dimana
pada tahun 2009 sebesar 7 dari total pendapatan menjadi 6,4 pada tahun 2010, meskipun secara
nilai nominal mengalami peningkatan sebesar 4 dari tahun sebelumnya. Hal ini tercapai dengan melakukan
berbagai pembenahan internal mulai dari pengembangan prosedur kerja yang efektif serta optimalisasi kegiatan
pengadaan dan maintenance di perusahaan.

Operating Expenses
Amid the increasing cost of operating revenues, the Company’s selling expenses decreased by 20 from
IDR9.26 billion in 2009 to IDR7.36 billion by 2010. With regard to all efforts of developing effective process of
promotion and ads as well as reducing the ineffective cost in order to be able to reduce operating expenses, from
0.25 of total revenue last year to 0.17 in 2010. The increase of selling expenses only occur in transportation
and travel expenses arising from increased activity in sales of subsidiaries such as PND, SCU and EFK.
Efforts on work efficiency was also seen from the decline in the composition of general and administrative
expenses in 2009 which was at 7 of total revenue to 6.4 in 2010, although the nominal value increased
by 4 from the previous year. This was achieved by performing a variety of internal improvements from
the development of effective work procedures and optimization of the procurement and maintenance
activities at the Company.

Komponen gaji, upah dan kesejahteraan karyawan masih merupakan komponen beban umum dan administrasi
terbesar yaitu 3. Sedangkan peningkatan pengeluaran terbesar digunakan untuk penyisihan persediaan usang
inventory obsolence, pelatihan dan seminar dan sewa dengan persentase peningkatan sebesar 3.813,
156 dan 109. Peningkatan penyisihan persediaan usang sebagian besar berasal dari penyisihan
persediaan bergerak lambat di Divisi GSC Rp1,4 miliar untuk persediaan yang terkait dengan aset, pada tahun
2010 aset tersebut tidak lagi digunakan. Peningkatan beban sewa dipicu oleh peningkatan biaya outsourcing
sebesar Rp5,8 miliar, peningkatan sewa kendaraan sebesar Rp2 miliar dan tambahan sewa warehouse di
Sentul sebesar Rp1,3 miliar.
Selain itu, ada juga biaya yang tidak ada di tahun sebelumnya yaitu penurunan nilai uang muka sebesar
Rp4,47 miliar. Nilai tersebut merupakan cadangan yang dilakukan atas transaksi pembelian lapangan
TAC Ramok Senabing oleh EPR sebesar USD500 ribu, dimana uang muka yang sudah dibayarkan oleh EPR
sebesar USD2 juta belum dikembalikan oleh penjual dan berdasarkan kesepakatan pada Agustus 2010
harga pembelian telah disepakati sebesar USD6 juta. Oleh karena adanya kurang bayar sebesar USD4 juta
maka EPR berencana untuk bermitra dengan investor. Sehubungan semakin pendeknya waktu berakhirnya
TAC Ramok Senabing maka EPR melakukan pencadangan penurunan nilai uang muka sebesar USD500 ribu.
Pada pertengahan tahun 2010, seiring dengan menurunnya kinerja keuangan, Perseroan juga mengimplementasikan
Holistic Productivity Improvement Program HPIP
yang bertujuan untuk meningkatkan profitabilitas dan produktivitas serta untuk mengoptimalkan penggunaan
aset operasi dan pengelolaan proyek secara efisien. Namun demikian, hasil dari implementasi program ini
belum dapat terlihat jelas di tahun 2010.
Laba Usaha dan Marjin Usaha
Secara umum, Perseroan sedang mengalami masa transformasi tingkat persaingan pasar yang tinggi.
Peningkatan pendapatan yang didorong oleh kinerja operasional kelompok Jasa Hulu Migas Terintegrasi
terutama unit usaha GDM maupun kelompok Hilir Migas belum mampu menutup peningkatan beban
usaha akibat kendala-kendala strategis baik eksternal maupun internal yang dihadapi operasional Perseroan
pada tahun 2010 ini. Hal ini tercermin pada peningkatan porsi beban pokok pendapatan usaha dan beban
usaha perusahaan, sehingga menurunkan Laba usaha Perseroan yang semula Rp276 miliar pada tahun 2009
Salaries, wages, and employees’ benefits were still the highest component of general and administrative
expenses with 3 contribution. Whereas, the largest increase in expenses was used for provision of
inventory obsolescence, training and seminars and rent with the increase percentage of 3,813, 156
and 109, respectively. The increase in provision for inventory obsolescence was mostly came from slow
moving inventory at GSC Division IDR1,4 billion for supplies related to the assets, in 2010 the assets were
no longer used. Increase in rental expenses triggered by the increased cost of outsourcing of IDR5.8 billion,
an increase of IDR2 billion vehicle rental and additional leasing of warehouse in Sentul of IDR1.3 billion.
In addition, there were also costs that did not exist in the previous year, such as impairement of advances
of IDR4.47 billion. That amount was a provision which was set for a purchase transaction in the
acquisition of TAC Ramok Senabing field by EPR for USD500 thousand of which USD2 million was paid in
advance by EPR, has not been refunded by the seller, and based on the agreement in August 2010, the
purchase price was agreed at USD6 million. Because of the underpayment of USD4 million, then EPR was
planning to find partner or investors. In relation to the shortening of the expiration of TAC Ramok Senabing,
EPR made such provision of the impairment in payment in advance amounting USD500 thousand.
In mid-2010, along with the declining financial performance, the Company also implemented a
Holistic Productivity Improvement Program HPIP which aimed to improve profitability and productivity
and to optimize the use of the operating assets and managing projects efficiently. However, the results of
the implementation of this program could not be seen clearly in the year 2010.
Operating Income and Operating Margin
In general, the Company was experiencing a transformation of high-level market competition.
The revenues driven by operational performance of Integrated Upstream Oil and Gas Services group
particularly GDM business unit and Downstream Oil and Gas Services have not been able to cover
the increase of operating expenses due to both in external and internal strategic constraints faced by
the Companys operations in 2010. This was reflected in the increasing portion of cost of operating revenues
and operating expenses of the Company, thereby reducing the Companys operating income from

menjadi Rp134 miliar pada tahun 2010, atau terjadi penurunan sebesar 52. Dengan demikian, marjin
usaha secara konsolidasi juga turun dari 7,5 di tahun 2009 menjadi 3,2 pada tahun ini.

Pendapatan beban lain-lain menurun dari keuntungan sebesar Rp392 miliar menjadi kerugian sebesar Rp39,9
miliar atau terjadi penurunan sebesar 110. Pendapatan lain-lain pada tahun 2009 berasal dari laba penjualan
penyertaan saham, bagian laba bersih dari perusahaan asosiasi, penghasilan bunga dan laba selisih kurs.
Untuk tahun 2010, pendapatan lain-lain berasal dari laba penjualan penyertaan saham, bagian laba bersih dari
perusahaan asosiasi, dan penghasilan bunga.
Penurunan terbesar pendapatan lain-lain adalah pada laba penjualan penyertaan saham, dimana pada tahun 2009
Perseroan mendapat laba penjualan penyertaan saham sebesar Rp437 miliar yang merupakan hasil penjualan
penyertaan saham di PT Infomedia Nusantara dan PT Jabar Energi. Untuk tahun 2010, Perseroan
mendapatkan laba penjualan penyertaan saham sebesar Rp43,8 miliar yang berasal dari pelepasan kepemilikan
100 saham di Elnusa Bangkanai Energy, Ltd. EBE kepada Salamander Energy Group, Ltd. dengan harga
jual sebesar USD11,2 juta. Selain itu, Perseroan juga melepas kepemilikan 25 saham di Elnusa Tristar
Ramba, Ltd. kepada Eurorich Group, Ltd. dengan harga jual sebesar USD1 juta dan laba penjualan sebesar
Rp2,3 miliar.
Selain itu, pendapatan lain-lain yang diperoleh dari bagian laba bersih perusahaan asosiasi didapat dari:
IDR276 billion in 2009 to IDR134 billion by 2010, or a decrease of 52. Thus, a consolidated operating
margin decreased from 7.5 in 2009 to 3.2 this year.
Other Income Charges - Net
Other incomes charges decreased from IDR392 billion profit to IDR39.9 billion loss or a decrease of
110. Other income in 2009 came from gain on sale of invesment in shares of stock, equity in net earnings
of associated companies, interest income and foreign exchange earnings. For the year 2010, other income
derived from gain on sale of investments in shares of stock, equity in net earnings of associated companies
and interest income.
The largest decrease was in profit on sale of investment in shares of stock, which In 2009 the
Company obtained gain on sale of investment in shares of stock of IDR437 billion which was the result
of the sale of investment in PT Infomedia Nusantara and PT Jabar Energi. For the year 2010, the Company
gained IDR43.8 billion for the sale of investments in shares of stock which came from the released of
100 share ownership in Elnusa Bangkanai Energy, Ltd. EBE to Salamander Energy Group, Ltd. with the
sale valued of USD11.2 million, besides, the Company also released 25 ownership in Elnusa Tristar Ramba,
Ltd. to Eurorich Group, Ltd. for USD1 million and gain on sale of IDR2.3 billion.

Komponen lain yang terbesar perubahannya adalah selisih kurs. Perseroan mengalami laba selisih kurs
bersih pada tahun 2009 sebesar Rp43 miliar dan menurun di tahun 2010 dengan kerugian sebesar
Rp8,2 miliar. Laba selisih kurs bersih terutama berasal dari translasi aset dan kewajiban dalam mata uang
asing ke Rupiah dan transaksi dari kegiatan usaha perusahaan yang menggunakan mata uang asing. Nilai
tukar USD pada tanggal 31 Desember 2009 adalah sebesar Rp9.400 per USD dan seiring perbaikan
ekonomi Indonesia dan global nilai tukar USD per tanggal 31 Desember 2010 adalah sebesar Rp8.991per
USD. Penguatan nilai tukar USD terhadap nilai Rupiah seharusnya dapat memberikan laba pada selisih kurs,
namun jumlah kewajiban bersih Perseroan dalam mata uang asing meningkat seiring penambahan pinjaman
jangka panjang Perseroan sehingga total selisih kurs- bersih bernilai negatif atau rugi catatan 2.p. atas
laporan keuangan konsolidasi.
Untuk beban lain-lain di tahun 2009 terdiri dari beban keuangan, beban pajak, rugi atas penjualan aktiva tetap
dan rupa-rupa bersih. Sedangkan di tahun 2010, beban lain-lain terdiri dari beban keuangan beban pajak, rugi
selisih kurs dan rupa-rupa bersih.
Beban keuangan mengalami perbaikan dari Rp92,9 miliar di tahun 2009 menjadi Rp79,6 miliar di tahun
2010. Hal ini sebagai akibat dari penurunan kewajiban berbunga Perseroan akibat penurunan aktivitas operasi
dan investasi.
Laba Sebelum Pajak dan Marjin Laba Sebelum Pajak
Laba sebelum pajak Perseroan menurun dari Rp668 miliar di tahun 2009 dan menjadi Rp94 miliar di tahun 2010.
Tingginya laba Perseroan pada tahun 2009 disebabkan adanya laba penjualan penyertaan saham sebesar Rp437
miliar. Jika laba tersebut dikeluarkan maka laba sebelum pajak adalah sebesar Rp231 miliar atau sekitar 6,3
pendapatan usaha, dan laba sebelum pajak pada tahun 2010 adalah sebesar 2,4 atau lebih kecil 3,9 dari
tahun sebelumnya.
Beban Pajak Penghasilan
Beban pajak penghasilan pada tahun 2010 adalah sebesar Rp30 miliar atau turun sebesar 85 dari
tahun sebelumnya yang berjumlah Rp199 miliar. Hal ini terjadi seiring dengan menurunnya laba sebelum pajak
Perseroan. The other biggest change was gain loss in foreign
exchange. The Company experienced a gain in net foreign exchange in 2009 amounted IDR43 billion and
it declined in 2010 with IDR8.2 billion loss. Net foreign exchange gain was mainly driven from the translation
of assets and liabilities denominated in foreign currency to IDR and the transaction of the business
activities that use foreign currency. USD exchange rate at December 31, 2009 was IDR9,400 per USD
and as the global economic recovery of Indonesia and the USD exchange rate as of December 31,
2010 which strengthened to IDR8,991 per USD. The strengthening USD exchange rate against IDR should
be able to provide earnings in foreign exchange, but the number of its net liabilities denominated in foreign
currencies increased as the addition of long-term debt so that the total net gain or loss on foreign exchange
was negative or loss notes 2.p on the consolidated financial statement.
For other expenses in 2009 consisted of the financing costs, tax expenses, loss on sale of fixed assets and
other charges. Meanwhile, in 2010, other expenses consist of the financial burden the tax burden, foreign
exchange losses and other charges.
Financing costs also improved from IDR92.9 billion in 2009 to IDR79.6 billion in 2010. This was a result
of the decline in interest bearing liabilities due to decrease in operation and investment activities.
Earnings Before Tax and Profit Margin Before Tax
The Companys earnings before tax declined from IDR668 billion in 2009 to IDR94 billion in 2010. The
high profit of the Company in 2009 was driven by the gain on sale of investments amounting IDR437
billion. If the income was released, then the earnings before tax will be amounted to IDR231 billion, or
approximately 6.3 of operating revenues, and earnings before tax in 2010 reached 2.4 or 3.9
lower than the previous year.
Income Tax Expense
Income tax expense of the Company in 2010 was IDR30 billion, or a decrease of 85 from the previous
year which amounted to IDR199 billion. This was happened in line with the decline in income before
tax of the Company.

Hak Minoritas Atas Laba Bersih Anak Perusahaan Dikonsolidasi
Hak minoritas atas laba bersih anak perusahaan dikonsolidasi menurun sebesar 97 dari yang semula
pada tahun 2009 senilai Rp3,2 miliar menjadi hanya Rp98 juta pada tahun 2010. Hal ini sejalan dengan
peningkatan penyertaan pada EFK.
Laba Bersih dan Marjin Laba Bersih
Dengan komposisi pendapatan dan pengeluaran yang ada, maka mengakumulasikan nilai laba bersih
Perseroan sebesar Rp63,9 miliar atau sebesar 1,5 dari total pendapatan Perseroan pada tahun 2010.
Marjin laba bersih ini turun dari tahun 2009 sebesar 12,7 menjadi 1,5 pada tahun 2010.

Di tahun 2010 Perseroan tidak memiliki transaksi yang mengandung kejadian yang sifatnya luar biasa dan
jarang terjadi. Aksi korporasi yang berupa divestasi anak perusahaan dan perusahaan portofolio bukan
merupakan transaksi material dan luar biasa. Hal tersebut telah kami sampaikan dalam bagian Ringkasan
Aksi Korporasi.
Dampak Perubahan Harga Terhadap Kinerja Perseroan
Selama tahun 2010 tidak terdapat perubahan harga yang signifikan yang telah mempengaruhi kinerja Perseroan
termasuk penjualan, pendapatan bersih maupun laba operasi Perusahaan.
Minority Interest in Consolidated Net Income of Subsidiaries
Minority interests in consolidated net income of the subsidiaries decreased by 97 from IDR3.2 billion in
2009 to IDR98 million in 2010. This was in line with increased investment in EFK.
Net Income and Net Profit Margin
With the composition of existing revenues and expenses, then accumulating value of the Companys
net profit IDR63.9 billion or 1.5 of total Company’s revenue in 2010. Net profit margin was down from
2009 by 12.7 to 1.5 in 2010.
Financial information which has reported as an extraordinary and rare event
In 2010 the Company had no transactions that contain events that classified as extraordinary and rare.
Corporate actions taken in the form of divestment of subsidiaries and portfolio companies were not material
and extraordinary transactions. These have been presented in the Summary of Corporate Actions.
Price Change Impacts on Company Performance.
During the year 2010 there were no significant changes in prices that has affected the performance
of the Company, including sales, net revenues and operating profit of the Company.

Aktiva lancar Perseroan turun sebesar 20 dari yang semula pada tahun 2009 sebesar Rp2,55 triliun
menjadi Rp2,04 triliun pada tahun 2010. Hal ini terjadi terutama dikarenakan adanya penurunan nilai pada kas
dan setara kas dan uang muka.
Komposisi kas Perseroan terdiri dari tiga mata uang yaitu Rupiah, USD dan Dolar Singapura. Jumlah kas dan
bank adalah sebesar Rp389 miliar, dimana Rp336 miliar dalam bentuk setara kas yaitu deposito berjangka dengan
jangka waktu 3 tiga bulan atau kurang sejak tanggal penempatan dan tidak digunakan sebagai jaminan.
Komposisi kas dan setara kas ini adalah 60 Rupiah dan 40 USD. Total piutang Perseroan berasal dari dua pihak
yaitu pihak ketiga dan pihak yang mempunyai hubungan istimewa catatan 7 laporan keuangan.

ASSETS PERFORMANCE
The Company’s total assets in 2010 was IDR3.67 trillion, 55.5 of which was in the form of current
assets and the remaining 44.5 was non-current assets. The figure decreased compared to that of 2009
which was IDR4.2 trillion. Current assets contributed more to the decline in total assets by plunging 20,
while fixed assets dropped by only 1.
The Company’s current assets declined by 20 from IDR2.55 trillion in 2009 to IDR2.04 trillion in 2010. It
was caused by declining cash, cash equivalent and payment in advance.
The Company’s cash was denominated in three currencies, i.e. IDR, USD and Singapore Dollar SGD.
The total cash and bank deposits were IDR389 billion, IDR336 billion of which included in cash equivalent,
i.e. time deposits maturing in three months or less and not used as collateral. Cash and cash equivalent
was denominated in IDR 60 and USD 40. The Company’s total trade receivables came from two
sources, i.e. the third party and related parties notes 7 on financial reports.

Piutang usaha bersih Perseroan merupakan komponen terbesar pada aktiva lancar, pada tahun 2010 terjadi
peningkatan pada piutang usaha 31 - 60 hari sebesar 141. Jika dibandingkan pada tahun 2009, komposisi
piutang usaha terbesar kurang dari 31 hari.
Berdasarkan penelaahan atas keadaan akun masing- masing piutang pada akhir tahun, Manajemen
berpendapat bahwa cadangan penurunan nilai sebesar Rp50 miliar pada tahun 2010 yang turun 4 dibandingkan
tahun lalu adalah cukup untuk menutup kemungkinan kerugian atas tidak tertagihnya piutang usaha. Piutang
usaha ini juga digunakan oleh Perseroan sebagai jaminan atas fasilitas kredit yang diperoleh dari beberapa bank.
Aktiva tidak lancar Perseroan tidak banyak bergerak, yaitu hanya turun sebesar 1 menjadi Rp1,63 triliun pada
tahun 2010, hal ini terjadi karena adanya penurunan nilai aset tetap perusahaan yang semula Rp1,33 triliun menjadi

The Company’s net trade receivables is the biggest component in current assets. In 2010, the trade
receivables maturing in 31-60 days increased by 141. In 2010 the trade receivables maturing in less
than 31 days remained the biggest contributor.
Considering the review over each account at the end of the year, the Management viewed that the
provision for impairment was IDR50 billion in 2010, which decreased 4 compared to that of the
previous year, was sufficient to cover the possible loss for uncollected trade receivables. The Company
also used the trade receivables as corrateral to obtain credit facilities from several banks.
The Company’s non-current assets moved slightly, decreasing by not more than 1 to IDR1.63 trillion in
2010, as the Company’s property and equipment fell by 2 to IDR1.30 trillion from IDR1.33 trillion.

Perseroan membukukan total kewajiban pada akhir tahun 2010 sebesar Rp1,73 triliun dengan jumlah
kewajiban lancar sebesar 74, dan kewajiban tidak lancar sebesar 26. Nilai total kewajiban Perseroan
tahun 2010 turun sebesar 24 dari tahun sebelumnya yang berjumlah Rp2,28 triliun. Penurunan kewajiban
terbesar berasal dari penurunan pinjaman jangka pendek, hutang pajak dan kewajiban tidak lancar
lainnya yaitu penurunan hutang pihak yang mempunyai hubungan istimewa yang merupakan pembayaran
dividen kas interim tahun buku 2009.

Komposisi pinjaman Perseroan sebagian besar terdiri dari USD dengan proporsi untuk hutang jangka pendek sebesar
+- 20 dan jangka panjang sebesar +- 80. Pada tahun 2010 komposisi hutang jangka panjang dalam bentuk mata
uang Rupiah meningkat sebesar 380, hal ini dikarenakan fasilitas pinjaman jangka pendek dari PT Bank Negara
Indonesia Persero, Tbk. - Divisi Usaha Syariah milik EPN diubah menjadi jangka panjang. Meskipun demikian, secara
keseluruhan saldo hutang Perseroan masih tergolong sehat, dengan tingkat leverage yang masih konservatif dan
arus kas yang masih cukup memadai.
Dari keseluruhan pinjaman jangka panjang tahun 2010, pembayaran yang dijadwalkan pada tahun 2011,
2012, 2013, 2014 dan 2015 adalah masing-masing sebesar Rp236,9 miliar, Rp240,7 miliar, Rp165,9 miliar,
Rp18,6 miliar dan Rp567 juta.

The Company recorded IDR1.73 trillion total liabilities in 2010 which the current liabilities was 74 and
non-current liabilities reached 26. The total liabilities slipped by 24 compared to the previous year at
IDR2.28 trillion. Such drop was contributed by the declining of short-term loan, taxes payable and other
non-current liabilities such as the decreasing payables of related parties, served as the interim cash dividend
payment for the year book of 2009.
The composition of the company’s loan was mainly consisted of US Dollar-denominated loan which the short-
term loan accounted for approximately 20 and the long-term loan was approximately 80. In 2010, Rupiah-
denominated long-term debts composition surged by 380 since the short-term loan facility from PT Bank
Negara Indonesia Persero Tbk.-Sharia Division of EPN was changed into the long-term debts facility. However, in
overall, the Company’s debt balance was still considered acceptable particularly with conservative leverage level
and sufficient cash flow.
Of the entire long-term debts in 2010, the payment is scheduled to be settled in 2011, 2012, 2013, 2014
and 2015 as much as IDR236.9 billion, IDR240.7 billion, IDR165.9 billion, IDR18.6 billion and IDR567
million respectively.

Perseroan yang pembagian dividen sebesar Rp36 miliar. Dividen tersebut berasal dari pembagian dividen
kas final dari laba bersih tahun buku 2009 berdasarkan RUPS Tahunan yang diaktakan dengan Akta Notaris
Aulia Taufani, SH pengganti Notaris Sutjipto, SH, MKn, No. 142 tanggal 21 Juni 2010.
Modal Kerja
Modal kerja bersih merupakan selisih antara aktiva lancar dengan kewajiban lancar, dimana pada tahun
2009 modal kerja bersih sebesar Rp887 miliar, turun 13 di tahun 2010 menjadi sebesar Rp768 miliar.
Penurunan ini dipicu penurunan pada kas dan setara kas, sehingga penurunan kewajiban lancar turun 23
lebih besar dari penurunan aktiva lancar turun 20.
Likuiditas dan Sumber Pendanaan
Berdasarkan analisis risiko yang yang dilakukan terhadap Perseroan, maka dalam hal likuiditas ditentukan oleh
jenis proyek yang berjalan, perputaran hutang dan piutang, dan kondisi pasar keuangan untuk mencari
inisiatif penggalangan dana, termasuk hutang bank dan pasar modal.
Untuk menjaga likuiditasnya, Perseroan terus menerus mengevaluasi proyeksi arus kas untuk ketersediaan kas
internal dan memperhatikan kondisi pasar keuangan untuk dukungan pendanaan eksternal.
Tingkat kemampuan Perseroan dalam membayar utang dan kewajiban yang dimiliki dapat diukur
dengan menggunakan rasio likuiditas. Berdasarkan The new interest-bearing liabilities in 2010 was derived
from The Bank of Tokyo-Mitsubishi UFJ, Ltd. merely to settle the financing facilities from Sharia Division
of PT Bank Danamon Indonesia and to finance EPN’s tank truck from PT Bank Syariah Mandiri.
Following is the Company’s liabilities per segment:
The total equity rose by 1 to IDR1.94 billion in 2010 particularly due to the declining net income where the
dividend distribution was IDR36 billion. Such dividend was generated from final cash dividend payment
derived from the net income in the year book of 2009, referring to the Annual General Meeting of
Shareholders that was noted in Notary Deed of Aulia Taufani, SH substitute Notary of Notary Sutjipto, SH,
MKn, No. 142, dated 21 June 2010.
Working Capital
Working capital is the difference between current assets and current liabilities. The company’s net working capital in
2009 was IDR887 billion while in 2010 it dropped by 13 to IDR768 billion. This decline was triggered by the declining
cash and cash equivalents, making the current liabilities’ drop 23 higher than the decrease of current assets 20.
Liquidity and Source of Fund
Based on the risk analysis upon the Company’s performance, liquidity is determined by the types of
ongoing projects, turnover of trade payables and trade receivables and the condition of financial market merely
to seek fund raising initiatives, including from bank loan and capital market.
In order to maintain its liquidity, the Company continues to evaluate cash inflow outlook for internal cash availability
as it also monitors the condition of financial market to support the external financing.
The Companys ability to pay debts and liabilities can be measured by using the liquidity ratio. Based on
liquidity ratio at December 31, 2010, the Company still

rasio likuiditas pada kondisi 31 desember 2010, maka Perseroan masih memiliki kemampuan yang kuat
untuk memenuhi kewajiban jangka pendeknya, yaitu pinjaman yang diterima Perseroan untuk meningkatkan
kinerja Perseroan. Dapat dilihat bahwa rasio lancar Perseroan masih berada pada level industri yakni
sebesar 1,6 kali.
Tingkat kolektibilitas piutang Perseroan cukup optimal dimana rata-rata hari penjualan yang tertanam pada
piutang usaha adalah pada level 66 hari atau masih di bawah kebijakan Perseroan dimana perputaran piutang
tidak lebih dari 150 hari. Hal ini menunjukan bahwa Perseroan cukup efisien dalam hal pengunaan dana
pada tagihan.
Jika dilihat dari dari sumber pendanaan dan rasio hutang berbunga terhadap ekuitas yang masih rendah yakni
pada level 0,43 kali pada kondisi 31 Desember 2010, maka Perseroan masih memiliki ruang yang cukup
untuk memperoleh tambahan pinjaman, baik untuk barang modal maupun modal kerja. Namun demikian,
hal tersebut dilakukan dengan prinsip kehati-hatian.
Sumber pendanaan Perseroan tahun 2010 ini berasal dari:
1. Kas yang berasal dari operasi sebesar Rp348,7 miliar
2. Penerimaan dividen dari perusahaan asosisasi sebesar Rp2,8 miliar
3. Penerimaan atas penjualan penyertaan saham sebear Rp9,6 miliar
4. Pencairan investasi jangka pendek sebesar Rp66,7 miliar
5. Penerimaan hutang bank sebesar Rp423,2 miliar 6. Penerimaan piutang dan hutang hubungan istimewa
sebesar Rp13,1 miliar. Untuk mengoptimalkan struktur permodalan yang
ada, maka Perseroan mempunyai beberapa kebijakan, yaitu:

It can be seen that the Companys current ratio remained at the industry level of 1.6 times.
The collectability rate of the Companys receivables were optimal for which the average days of sales in account
receivable was at the level of 66 days or still under the Companys policy in which the receivable turnover is not
more than 150 days. This indicates that the Company is quite efficient in the use of fund.
Seeing from the sources of fund and interest bearing debt to equity ratio as per 31 December 2010, which was
still low, at the level of 0.43 times, then the Company still has sufficient space to earn additional loan, either
for capital expenditure or working capital. Nevertheless, this particular measure must be conducted in a prudent
manner.
The Company’s capital structure in 2010 was derived from:

Arus Kas dari Aktivitas Operasi
Penerimaan kas bersih dari aktivitas operasi turun sebesar 88 dari Rp288 miliar di tahun 2009 menjadi
Rp34 miliar di tahun 2010. Penyebab penurunan kas tersebut karena adanya peningkatan pembayaran pada
pemasok sebesar 34 yang dipicu dari meningkatnya komposisi bisnis perdagangan di Jasa Hilir Migas.
Arus Kas dari Aktivitas Investasi
Untuk arus kas dari aktivitas investasi, penurunan terjadi pada penerimaan dividen sebesar 91 dikarenakan
pada tahun 2010, Perseroan hanya menerima dividen dari PT Patra Telekomunikasi Indonesia PKM sebesar
Rp2,8 miliar.
Cash Flows from Operating Activities
Net cash provided by operating activities dropped by 88 from IDR288 billion in 2009 to IDR34
billion in 2010 merely due to rising the cash paid to suppliers by 34 that was triggered by the rising
trading business composition in Downstream Service.
Cash Flows from Investing Activities
Regarding to the cash flow from investing activities, there was 91 drop over the proceeds from cash dividend
in 2010. Such drop occurred since the Company only derived cash dividend from PT Patra Telekomunikasi
Indonesia PKM as much as IDR2.8 billion.

There was also 25 decline over the acquisition of fixed assets in 2010, attributed by the implementation of
prudence principle as a result of the declining operating activities in Oil and Gas Upstream Service. Following is
the summary of the company’s capital expenditure in each business segments :
Pembelian aset tetap di tahun 2010 untuk Jasa Hulu Migas berupa peralatan seismik untuk Divisi GSC
sekitar Rp32 miliar, peralatan pendukung modular rig, peralatan pendukung cementing dan perbaikan
rig untuk Divisi EDS sekitar Rp105 miliar, sedangkan sisanya adalah aset yang masih dalam penyelesaian
berbentuk penambahan dan perbaikan mesin dan peralatan dalam bentuk barge dan pompa untuk
Divisi OFS sekitar Rp28 miliar. Belanja modal untuk Jasa Hilir Migas diperuntukkan bagi peningkatan
kapasitas usaha transportasi, sedangkan untuk Jasa Penunjang Hulu Migas adalah untuk peningkatan
kapasitas operasinya melalui pembelian prasarana operasi dan peralatannya.
Selain pengeluaran, Perseroan pada tahun 2010 juga menerima dana dari penjualan aktiva sebesar Rp9,6
miliar yang merupakan penerimaan penjualan Elnusa Tristar Ramba, Ltd.
Arus Kas dari Aktivitas Pendanaan
Pada arus kas aktivitas pendanaan, sebagian besar kas Perseroan digunakan untuk pembayaran hutang yang
telah jatuh tempo, sehingga pengeluaran meningkat 104 dari sebelumnya Rp288 miliar menjadi Rp589
miliar di tahun 2010. Arus kas yang dipergunakan untuk pembayaran hutang diimbangi dengan penerimaan
hutang dari bank sebesar Rp432,2 miliar dan penerimaan piutang dan hutang pihak yang mempunyai hubungan
istimewa sebesar Rp13,1 miliar.
Peningkatan pengeluaran dari aktivitas pendanaan lainnya adalah untuk pembayaran dividen kas sebesar
Rp180 miliar, yang merupakan pembayaran dividen dari hasil laba bersih tahun buku 2009 sejumlah Rp36 miliar
dan dividen kas interim berdasarkan Rapat Direksi dan Komisaris sebesar Rp143,9 miliar.
Acquisition of fixed assets in 2010 for Upstream Oil and Gas Services included seismic equipments for GSC
Division amounting IDR32 billion, supporting equipments of modular rig, supporting equipments of cementing and rig
refurbishment for EDS Division as much as IDR105 billion, while the remaining was construction-in-progress consisted
of the acquisition and refurbishment of machine and equipment in the form of barge and pump equipments for
OFS Division amounting IDR28 billion. Capital expenditure for Downstream Oil and Gas Services was aimed to escalate
the capacity of transportation business while the capital expenditure for Upstream Oil and Gas Support Services
was channeled to increase the operational capacity through the purchase of operating facilities and its equipment.
Aside of the spending, in 2010 the Company also earned IDR9.6 billion from assets sales which came from the
proceeds of Elnusa Tristar Ramba, Ltd divestment.
Cash Flows from Financing Activities
Regarding to the Company’s cash flow from financing activities, most of the Company’s cash was used to
settle its matured debt, raising the Company’s spending by 104 from IDR288 billion to IDR589 billion in 2010.
The cash flow to settle the debt was offset by the proceeds from bank loan, valuing IDR432.2 billion and
proceeds of due from and due to related parties as much as IDR13.1 billion.
The rising spending from other financing activities was attributed by the cash dividend payment as much as
IDR180 billion, to be the dividend payment from the net income in the year book 2009 as much as IDR36 billion
and interim cash dividend based on the Meeting of Directors and Commissioners, valuing IDR143.9 billion.

REALISASI PENGUNAAN DAN HASIL PENAWARAN UMUM
Dana hasil Penawaran Umum Perdana Saham atau Initial Public Offering
IPO yang dilakukan pada awal tahun 2008 senilai Rp566,30 miliar bersih telah
seluruhnya habis dipergunakan sesuai dengan rencana penggunaan dana dalam prospektus Perseroan. Hal
tersebut juga telah dilaporkan kepada Bapepam-LK dan Bursa Efek Indonesia per 30 Maret 2009.

IDR566.30 billion net proceeds from Initial Public Offering IPO of the Company which was conducted

IKATAN MATERIAL UNTUK INVESTASI BARANG MODAL
1. Perjanjian pemberian fasilitas kredit dalam Dolar AS secara Sindikasi dengan PT Bank Central Asia Tbk.,
PT Bank Chinatrust Indonesia, PT Bank International Indonesias Tbk, PT Bank Mizuho Indonesia dan PT
Bank Rabobank International Indonesia, dengan BCA sebagai agen fasilitas, penjaminan dan penampungan
serta arranger pada tanggal 16 Juli 2008. Perjanjian tersebut dijaminkan dengan tanah, jaminan fidusia
atas mesin dan peratalan dan pengalihan secara bersyarat hak atas rekening operasional dan rekening
penampungan.
2. Perjanjian perolehan fasilitas kredit dalam Dolar AS dari The Bank of Tokyo-Mitsubishi UFJ, Ltd. untuk
melunasi fasilitas pembiayaan dari Bank Danamon pada tanggal 30 Maret 2010 dengan fasilitas selama
4 tahun. Perjanjian ini dijaminkan dengan akta pengalihan semua kontrak VICO, akta fidusia atas
rig dan piutang dari kontrak VICO, akta pemberian jaminan atas semua rekening terkait fasilitas ini dan
akta pengalihan atas klaim asuransi atas rig yang dijaminkan.
3. Perjanjian perolehan fasilitas kredit dalam Dolar AS dari Natixis Perancis untuk pembelian peralatan seismik
dari Sercel SA pemasok pada tanggal 29 Juli 2008 dan 5 September 2008 dengan fasilitas kredit selama
5 tahun. Perjanjian tersebut membuat Perseroan menjaminkan aset yang berkaitan dengan perjanjian
kredit ini
4. Perjanjian perolehan fasilitas pinjaman modal kerja dan kredit dalam Dolar AS dari Bank Chinatrust pada
bulan Juni 2007 kepada EFK dan berjangka waktu 5 tahun, dijaminkan dengan tanah dan bangunan milik
EFK, mesin-mesin yang dibiayai dengan fasilitas kredit tersebut dan deposito berjangka.
5. Perjanjian perolehan fasilitas pembiayaan musyarakah sampai dengan 4 Juni 2010 dan murabahah Juni
2007 s.d. September 2012 dalam Rupiah dari PT Bank Negara Indonesia Persero Tbk Divisi Syariah kepada
EPN dengan jaminan aset kendaraan 7 truk tangki dan 3 truk yang dibiayai dengan fasilitas murabahah,
tanah dengan SHGB No. 280 dan 281 atas nama EPR, tanah Perseroan, piutang dan persediaan. Pada tanggal
1 Juni 2010m EPN dan BNI sepakat untuk mengubah fasilitas pembiayaan musyarakah ini menjadi pinjaman
jangka panjang dengan jangka waktu 3 tahun.
6. Perjanjian perolehan fasilitas pembiayaan murabahah dalam Rupiah dari PT Bank Muamalat Indonesia Tbk
pada bulan Desember 2009 untuk pembiayaan modal kerja dalam rangka memperoleh 10 unit truk tangki
LPG. Fasilitas ini dijaminkan dengan aset tersebut diatas dan piutang sehubungan dengan penyewaan
truk tangki tersebut.
MATERIAL COMMITMENTS RELATED TO CAPITAL GOODS INVESTMENTS
1. The agreement in US Dollar-denominated loan
syndication involving PT Bank Central Asia Tbk., PT Bank Chinatrust Indonesia, PT Bank International
Indonesia Tbk, PT Bank Mizuho Indonesia and PT Bank Rabobank International Indonesia where
BCA served as the facility, security and collecting agent as well as the arranger on 16 July 2008. The
agreement obtained collaterals in the forms of land, fiduciary guarantee on machine and equipments
and fiduciary transfer of balance in operational and escrow account.
2. The agreement on US Dollar-denominated loan facility
from The Bank of Tokyo-Mitsubishi UFJ, Ltd to settle the financing facility from Bank Danamon on 30 March
2010, payable in 4 years. This particular agreement was guaranteed by the deed of assignments of all
VICO’s contract, the deed of fiduciary security over rig and receivables from VICO’s contract,the deed of
pledge of the Company’s accounts related to this loan facility and the deed of assignments over insurance
claim over the guaranteed rig.
3. The agreement on US Dollar-denominated loan facility from Natixis France to purchase seismic
equipment from Sercel SA supplier on 29 July 2008 and 5 September 2008 with 5-year loan
facility. This agreement caused the Company to guarantee all the assets related to this loan
facility agreement.
4. The loan agreement on working capital and credit in US Dollar from Bank Chinatrust in June 2007
to EFK, maturing in five years. The collateral included land and buildings owned by EFK as
well as machines financed by the loan facility and time deposits.
5. The agreement on musharaka financing facility
until 4 June 2010 and Murabahah denominated in Rupiah financing facility June 2007- September
2012 from Sharia division of PT Bank Negara Indonesia Persero Tbk to EPN with vehicles as the
collateral 7 tank trucks and 3 trucks, being financed by murabaha facility, land owned by EPR with SHGB
No. 280 and 281, the Company’s land, receivables and inventories. On 1 June 2010, EPN and BNI
agreed to change this musharaka financing facility to become long-term loan, maturing in 3 years.
6. The agreement
on Rupiah-denominated
Murabaha loan facility from PT Bank Muamalat Indonesia Tbk in December 2009 to finance the
working capital merely to acquire 10 units of LPG tank truck. This facility was guaranteed by those
previously stated assets and any trade receivables related to the leasing of such tank trucks.

7. Perjanjian perolehan faslitas pembiayaan murabahah dalam Rupiah dari PT Bank Syariah Mandiri kepada
EPN untuk pembiayaan perolehan 11 unit truk tangki dengan jaminan aset yang dibiayai dari fasilitas
pembiayaan tersebut dan piutang usaha sebesar Rp2 miliar.
8. Perjanjian sewa pembiayaan dengan PT Hewlett- Packard Finance Indonesia untuk pembelian mesin
dan peralatan dengan jangka waktu sewa 4 tahun dan dijamin dengan aset sewa terkait.
