Ministerial Regulation No. 172010 Pada tanggal 23 September 2010, Menteri Energi dan Sumber Daya Mineral mengeluarkan Peraturan Menteri No. 172010 yang diantaranya menjelaskan mekanisme untuk menentukan Indonesian Minerals and Coal Benchmark Price IMCBP, sebagai salah satu peraturan pelaksana Undang- Undang Pertambangan No.42009. Peraturan ini berlaku efektif pada tanggal 23 September 2010. On 23 September 2010, the Minister of Energy and Mineral Resources issued Ministerial Regulation No. 172010 which amongst other matters outlines the mechanism for determining the Indonesian Minerals and Coal Benchmark Price “IMCBP”, as one of the implementing regulations to the Mining Law No.42009. It is effective on 23 September 2010. Royalti dan iuran eksploitasi akan dihitung berdasarkan harga jual aktual tertinggi dan IMCBP, seperti yang dijelaskan lebih lanjut dalam Peraturan Menteri No. 172010 Royalties and exploitation fees will be calculated based on the higher of the actual sales price and the IMCBP as further explained in Ministerial Regulation No. 172010. Peraturan Menteri No. 172010 memberikan masa transisi untuk merubah kontrak spot penjualan sampai dengan 22 Maret 2011 dan kontrak penjualan jangka panjang sampai dengan 22 September 2011 jika diperlukan. Grup sedang mempertimbangkan dampak dari perkembangan di atas terhadap operasi Grup. Ministerial Regulation No. 172010 provides a transition period until 22 March 2011 for spot sales contracts and 22 September 2011 for long-term sales contracts to be amended where necessary. The Group is considering the impact of the above development on its operations.

y. Acquisition of new companies

Pada tanggal 28 Desember 2010, Perusahaan dan salah satu anak perusahaannya mengadakan Perjanjian Jual Beli Saham “PJBS” untuk membeli 100 ekuitas dari 9 perusahaan pemegang KP dan IUP dan berbagai aset yang berlokasi di area tersebut transaksi IBU. PJBS tersebut masih bergantung pada penyelesaian proses due diligence dan persetujuan pemegang saham dan peraturan terkait. On 28 December 2010, the Company and one of the subsidiaries entered into Share Sale and Purchase Agreements “SSPA” to purchase 100 of the equity of 9 companies holding KPs and IUPs and various assets located in these licence areas the IBU transaction. The SSPAs are conditional on the completion of due diligence and shareholders and any regulatory approvals. Pada tanggal yang sama, Perusahaan juga mengadakan Perjanjian Jual Beli “PJB” untuk menjual 100 ekuitas dari 9 perusahaan tersebut bersama dengan aset-aset terkaitnya kepada Kangoroo Resources Limited “KRL” sebagai ganti atas pengendali ekuitas Perusahaa terhadap KRL, sebuah perusahan yang terdaftar dalam Bursa Efek Australia. PJB tersebut masih bergantung pada penyelesaian proses due diligence, persetujuan pemegang saham dan peraturan terkait. Sampai dengan tanggal pelaporan keuangan konsolidasian ini, proses persetujuan untuk kedua transaksi IBU dan KRL tersebut masih belum selesai, sehingga persyaratan- persyaratan tertentu yang harus dipenuhi sehubungan dengan transaksi jual beli tersebut belum terpenuhi. On the same date the Company also entered into a Sale and Purchase Agreements “SPA” to sell 100 of the equity in the 9 concessions along with the related assets to Kangaroo Resources Limited “KRL” in exchange for a controlling equity stake in KRL, a company listed on the Australian Stock Exchange. The SPA is conditional on the completion of the due diligence, shareholders and any regulatory approvals. As of the date of these consolidated financial statements, the approval process for both the IBU and KRL transactions have not been completed, and therefore the conditions precedent to the sale and purchase have not yet been satisfied. 168 PT BAYAN RESOURCES Tbk.
