Pedoman dan Tata Tertib kerja direksi
Direksi telah memiliki Pedoman dan Tata Tertib Kerja yang diatur dalam Pedoman Kebijakan Perusahaan Nomor 0007.01.1
tanggal 20 Januari 2010. Pedoman dan Tata Tertib Kerja Direksi mengatur etika kerja, waktu kerja, serta pelaksanaan rapat.
Segala keputusan yang diambil sesuai dengan Pedoman dan Tata Tertib Kerja mengikat dan menjadi tanggung jawab seluruh
anggota Direksi. Pedoman dan Tata Tertib Kerja Direksi disusun berdasarkan peraturan yang berlaku khususnya peraturan
mengenai Good Corporate Governance, dan akan ditinjau ulang secara berkala.

Direksi dibantu oleh Komite yang bertugas memberi saran dan rekomendasi terkait dengan kebijakan dan pengelolaan
Bank. Komposisi keanggotaan komite disusun sesuai dengan kompleksitas tugas dan tanggung jawab komite. Rekomendasi
dari masing-masing komite dijadikan acuan oleh Direksi dalam mengambil keputusan. Komite-komite tersebut adalah:
1. Komite Kredit 2. Komite Aset-Kewajiban ALCO
3. Komite Manajemen Risiko 4. Komite Pengarah Teknologi Informasi
1. komite kredit
Komite Kredit dibentuk untuk membantu Direksi dalam menetapkan arah kebijakan perkreditan Bank Artha Graha
Internasional sekaligus mengevaluasi danatau memberikan keputusan kredit sesuai dengan batas wewenang yang
ditetapkan Direksi dengan memperhatikan pengembangan bisnis tanpa meninggalkan prinsip kehati-hatian.
2. komite Aset-kewajiban AlCo
Komite Aset-Kewajiban berfungsi antara lain untuk menetapkan
kebijakan dan
strategi pengelolaan
likuiditas untuk memenuhi kebutuhan likuiditas Bank dan meminimalisasi idle funds. Komite Aset-Kewajiban
menetapkan kebijakan dan strategi yang berkaitan dengan risiko pasar, strategi harga, strategi dalam pengelolaan
portofolio investasi, dan strategi penataan struktur neraca melalui antisipasi perubahan suku bunga, sehingga dapat
dicapai tingkat net interest margin yang optimum.
Guidelines and Work Procedure of the Board of Directors
The Board of Directors has the Guidelines and Work Procedure speciied in the Guidelines of Company Policy No. 0007.01.1
dated 20 January 2010. The Guidelines and Work Procedure of the Board of Directors provide for work ethics, work hours, and
meeting arrangement. Any decision taken pursuant the Guidelines and Work Procedure is binding and for the responsibility of all
members of the Board of Directors. The Guidelines and Work Procedure are prepared under the effective regulation, particularly
the regulation on Good Corporate Governance, and reviewed on periodic basis.
Committees responsible to the Board of Directors
The Board of Directors is assisted by committees having the duty to provide advice and recommendation related to the Bank’s policy
and management. Composition of committee’s membership is prepared according to the complexity of its task and responsibility.
Recommendation from the respective committee is for reference to the Board of Directors in making decision. The committees are as follows:
1. Credit Committee 2. Assets-Liabilities Committee ALCO
3. Risk Management Committee 4. Information Technology Steering Committee
1. Credit Committee
Credit Committee is established to assist the Board of Directors in determining the direction of credit policy of Bank Artha Graha
Internasional, at the same time evaluating andor making credit decision pursuant to the authority limit as determined by the
Board of Directors, in observance of the business development without prejudice to prudential principles.
2. Assets-Liabilities Committee ALCO
Assets-Liabilities Committee has the function, among others, to determine the policy and strategy of liquidity management
in order to meet the Bank’s liquidity requirement and to minimize any idle funds. Assets-Liabilities Committee
determines the policy and strategy related to market risk, price strategy, and the strategy in managing investment portfolio
and the strategy in structuring balance in anticipation of interest rate changes, in order to achieve the maximum level
of net interest margin.
Pertemuan Komite Aset-Kewajiban dilakukan secara periodik setiap bulan atau dapat dilakukan beberapa kali
dalam sebulan bila diperlukan, dengan mempertimbangkan kebutuhan keputusan strategis dalam operasional Bank,
adanya perubahan perekonomian, dan proil risiko suku bunga dan risiko likuiditas.
3. komite manajemen risiko
Komite Manajemen Risiko dibentuk untuk menyusun kebijakan, strategi, dan pedoman penerapan manajemen
risiko, serta menyempurnakan pelaksanaan manajemen risiko berdasarkan hasil evaluasi pelaksanaan proses dan
sistem manajemen risiko yang efektif dan menetapkan hal- hal yang terkait dengan keputusan bisnis yang menyimpang
dari prosedur normal irregularities.
Komite Manajemen Risiko beranggotakan seluruh anggota Direksi, Kepala SKAI, serta seluruh Kepala Biro dan Kepala
Divisi yang diketuai oleh Direktur Kepatuhan.
Komite Manajemen Risiko melakukan pengawasan risiko Bank melalui proil yang disusun oleh Divisi Kepatuhan dan
Manajemen Risiko secara periodik melalui memo internal Bank serta pertemuan manajemen risiko secara insidentil.
4. komite Pengarah Teknologi Informasi
Dalam rangka memastikan penyelenggaraan Teknologi Informasi telah berjalan dengan baik, maka Komite Pengarah
Teknologi Informasi bertugas dan bertanggung jawab untuk: a.
Merumuskan rencana Teknologi Informasi jangka pendek dan jangka panjang serta anggaran yang perlu
dialokasikan. b.
Menetapkan prioritas dan memantau status proyek-proyek strategis Teknologi Informasi.
c. Merumuskan dan memantau efektivitas pelaksanaan
kebijakan-kebijakan Teknologi Informasi. d.
Memantau eisiensi layanan Teknologi Informasi secara menyeluruh.
e. Mengkaji anggaran dan belanja model Teknologi
Informasi. f.
Mengkaji efektivitas upaya meminimalkan risiko investasi Teknologi Informasi.
g. Mengkaji masalah-masalah Teknologi Informasi.
h. Mengkaji dan mengevaluasi kegiatan Business Continuity
Plan BCP dan Disaster Recovery Plan DRP.
i. Mengkaji dan memutuskan usulan proses infrastruktur
Teknologi Informasi yang baru. Assets-Liabilities Committee meeting is made periodically
every month or several times in a month when necessary, in consideration of the need for strategic decision for the Bank’s
operation, economic changes, and interest rate risk and liquidity risk proiles.
3. Risk Management Committee
Risk Management Committee is established to prepare the policy, strategy and guidelines for risk management
application, and to perfect the implementation of risk management based on the evaluation result of effective risk
management process and system and to determine matters related to business decision in deviation from normal
procedure irregularities. Members of the Risk Management Committee are all
members of the Board of Directors, Head of Internal Audit Unit SKAI, and all Heads of Bureaus and Divisions that are
headed by Compliance Director. Risk Management Committee supervises the Bank’s risk
through the proile prepared by Compliance and Risk Management Division on periodic basis through the Bank’s
internal memo and incidental risk management meeting.
4. Information Technology Steering Committee
In order to ensure the good implementation of information technology, Information Technology Steering Committee has
the duty and responsibility to: a. Formulate the short term and long term plans of
information technology including the budget to be allocated.
b. Determine the priority and monitor the status of strategic project of Information Technology.
c. Formulate and monitor the effectiveness of implementation of Information Technology policies.
d. Monitor the eficiency of Information Technology services as a whole.
e. Study the budget and expense of Information Technology model.
f. Study the effective effort in order to minimize the risk of Information Technology investment.
g. Study the problems in Information Technology. h. Study and evaluate the activities of Business Continuity
Plan BCP and Disaster Recovery Plan DRP. i. Study and decide the proposed infrastructure process for
new Information Technology.

Fungsi kepatuhan
Pengelolaan risiko kepatuhan penting dilakukan Bank Artha Graha Internasional guna mengantisipasi segala bentuk
kerugian dan ketidakpatuhan atas ketentuan yang mungkin terjadi.
Terhadap pelaksanaan fungsi kepatuhan di Bank Artha Graha Internasional, disampaikan laporan pelaksanaan fungsi
kepatuhan kepada Direktur Utama dengan tembusan Dewan Komisaris dan Komite Pemantau Risiko.
Fungsi kepatuhan bersifat mencegah untuk memastikan bahwa kebijakan, ketentuan, sistem dan prosedur serta kegiatan
usaha Perseroan telah sesuai dengan ketentuan Bank Indonesia dan ketentuan perundang-undangan yang berlaku. Fungsi ini
dilakukan melalui suatu program yang mencakup sosialisasi dan edukasi untuk meningkatkan kesadaran terhadap kepatuhan,
pengujian kepatuhan, monitor kepatuhan dan komitmen serta pelaporan status kepatuhan.
Selain melaksanakan fungsi yang berhubungan dengan kepatuhan, Divisi Kepatuhan dan Manajemen Risiko juga
diberikan tanggung jawab terhadap pelaksanaan Program Anti Pencucian Uang dan Pencegahan Pendanaan Terorisme. Bank
Artha Graha Internasional secara berkesinambungan berupaya meningkatkan kualitas penerapan program tersebut, antara
lain melalui penyempurnaan kebijakan, kunjungan ke kantor cabang, penyelenggaraan program pelatihan dan sosialisasi
kepada karyawan maupun inisiatif-inisiatif lainnya.
Perkembangan Penerapan Program Anti Pencucian uang dan Pencegahan
Pendanaan Terorisme APu dan PPT
Sehubungan dengan Peraturan Bank Indonesia Nomor 1128 PBI2009 mengenai Penerapan Program Anti Pencucian Uang
dan Pencegahan Pendanaan Terorisme yang berlaku sejak tanggal 1 Juli 2009, Bank Artha Graha Internasional telah
melakukan penerapan APU dan PPT sesuai dengan action plan yang telah disampaikan dalam laporan pelaksanaan tugas
Direktorat Kepatuhan bulan Desember 2010.
Untuk peningkatan kualitas sumber daya manusia, pelatihan APU dan PPT terus dilakukan dan dapat dilihat pada tabel
berikut ini.
Penerapan Fungsi Kepatuhan, Fungsi Audit Intern, Fungsi Audit Ekstern, dan Fungsi Sekretaris Perusahaan
Application of Compliance Function, Internal Audit Function, external Audit Function, and Corporate secretary Function
Compliance Function
The management of compliance risk is important for Bank Artha Graha Internasional in anticipation of any kind of loss
and non-compliance with any provision that might take place. For the implementation of compliance function in Bank Artha
Graha Internasional, report on the implementation of compliance function is submitted to the President Director with copies to the
Board of Commissioners and Risk Monitoring Committee. Compliance function is for prevention in nature to ensure that
the policy, provision, system and procedure as well as business activity of the Company have been conformed to the provisions
of Bank Indonesia and the effective rules and regulations. The function is exercised through a program covering the
socialization and education to improve the awareness of compliance, compliance test, compliance monitoring and
commitment as well as reporting the compliance status. Other than implementing the function related to compliance,
Compliance and Risk Management Division is also given the responsibility for the implementation of Anti Money Laundering
and Funding Terrorism Prevention. On continuous basis Bank Artha Graha Internasional tries to improve the quality of
such program application, among others by perfecting the policies, visits to branch ofice, holding training programs and
socialization to employees and any other initiatives.
Development of Anti Money Laundering and Funding Terrorism Prevention APU
and PPT Program Application
In relation to Bank Indonesia Regulation No. 1128PBI2009 regarding Application of Anti Money Laundering and Funding
Terrorism Prevention Program that has been effective since 1 July 2009, Bank Artha Graha Internasional has applied the
APU and PPT program pursuant to the action plan submitted in the report of task implementation of Compliance Director of
December 2010. For improving human resources quality, APU and PPT training
keeps on arranged and provided in the following table:
