Penetapan pembagian tugas dan pelimpahan wewenang Direksi telah ditetapkan berdasarkan SK Komisaris No. 09DK-BAXII2010 tanggal 28 Desember 2010, yaitu : • Direktur Utama mempunyai tugas mengelola dan menyelenggarakan koordinasi dalam pelaksanaan tugas antara anggota Direksi serta melakukan pembinaan dan pengendalian atas Divisi Perencanaan, Satuan Kerja Audit Intern SKAISPI dan Corporate Secretary. • Direktur Umum mempunyai tugas mengelola, membina dan melakukan pengendalian atas Divisi Operasional, Divisi Informasi Tekhnologi, dan Divisi Umum. • Direktur Pemasaran mempunyai tugas melakukan pembinaan dan pengendalian atas Divisi Kredit, Divisi Penyelesaian kredit dan Divisi Treasury. • Direktur Kepatuhan mempunyai tugas melakukan pembinaan dan pengendalian Divisi Kepatuhan, Divisi Sumber Daya Manusia dan Divisi Manajemen Resiko. • Direktur Syariah mempunyai tugas melakukan pembinaan dan pengendalian Unit Usaha Syariah. Sesuai dengan anggaran dasar perusahaan, ketentuan perundang- undangan dan peraturan yang berlaku, tugas dan tanggung jawab Direksi, yaitu : 1. Direksi bertanggung jawab penuh atas pelaksanaan kepengurusan Bank; 2. In accordance with the articles of associa- tion of the company, statutory provisions and regulations, duties and responsibili- ties of the Board of Directors, namely: 1. Directors are fully responsible for the implementation of the Bank’s man- agement; 2. Direksi menyampaikan laporan tahunan kepada Rapat Umum Pemegang Saham untuk mendapatkan persetujuan sebagai bentuk pertanggungjawaban pelaksanaan tugas Direksi kepada Pemegang Saham; 4. Direksi melaksanakan prinsip-prinsip GCG dalam setiap kegiatan usaha Bank pada seluruh tingkatan atau jenjang organisasi; 5. Direksi menindaklanjuti temuan audit dan rekomendasi dari Satuan Kerja Audit Intern SKAI, auditor eksternal, hasil audit Bank Indonesia dan atau hasil audit otoritas lain; 6. Direksi menyusun kebijakan dan strategi manajemen risiko bank dan bertanggung jawab atas pelaksanaan kebijakan dan strategi manajemen risiko bank; 7. Direksi mempunyai tanggung jawab menciptakan dan memelihara sistem pengendalian intern yang efektif serta memastikan bahwa sistem tersebut berjalan dengan lancar dan sehat; 8. Direksi menyediakan atau memberikan data dan informasi yang akurat, relevan dan tepat waktu kepada Dewan Komisaris. c. Rapat Direksi Dalam Tahun 2012, Direksi telah melaksanakan rapat rutin Direksi, rapat Direksi dengan Komisaris, rapat ALCO, komite-komite di bawah Direksi dan rapat Direksi dengan Divisi tertentu.

1 Komite Manajemen Risiko Komite Manajemen Risiko dibentuk dengan SK Direksi Nomor 15DIRBA III2012 tanggal 20 Maret 2012. Adapun tugas, Tanggung Jawab dan Wewenang Komite Manajemen Risiko meliputi: 3. Directors provide or given data and information that is accurate, relevant and timely to the Board of Commis- sioners. c. Directors Meeting In the year 2012, the Directors has con- ducted regular Director meetings, the BOC meeting, ALCO meeting, commit- tees under the Directors and Directors meetings with certain Division.

1 Risk Management Committee The Risk Management Committee was established by Directors Decree No. 15 DIRBAIII2012 dated March 20, 2012. Penyusunan kebijakan Manajemen Risiko serta perubahannya, termasuk Strategi Manajemen risiko, tingkat risiko yang diambil dan toleransi risiko, kerangka manajemen risiko serta rencana kontijensi untuk mengantisipasi terjadinya kondisi tidak normal. 2. Penyempurnaan Proses manajemen risiko secara berkala maupun bersifat insidentil sebagai akibat dari suatu perubahan kondisi eksternal bank yang mempengaruhi kecukupan permodalan dan profil risiko bank dan hasil evaluasi terhadap efektifitas penerapan manajemen risiko. 3. Menetapkan hal-hal terkait dengan keputusan bisnis yang menyimpang dari prosedur normal seperti keputusan pelampauan ekspansi usaha yang signifikan dibandingkan dengan rencana bisnis bank yang telah ditetap sebelum atau pengambilan posisieksposur risiko yang melampaui limit yang telah ditetapkan berdasarkan suatu pertimbangan bisnis dan hasil analisis yang terkait dengan transaksi atau kegiatan usaha bank tertentu sehingga memerlukan adanya penyimpangan terhadap prosedur yang telah ditetapkan bank.. Dalam tahun 2012 Komite Manajemen Risiko telah mengadakan rapat sebanyak 4 empat kali. Susunan Komite Manajemen Risiko sebagai berikut : 1. Risk Management policy develop- ment and changes, including risk management strategies, the level of risk taken and risk tolerance, risk management framework as well as contingency plans to anticipate the occurrence of abnormal conditions. 2. Completion of the risk management process is periodic and incidental as a result of a change in external con- ditions affecting the bank’s capital adequacy and risk profile of the bank and the evaluation of the effective- ness of risk management. 3. Define the matters related to busi- ness decisions that deviate from nor- mal procedures such as business expansion decision is significant compared to the business plan of the bank which had been instituted before or a position risk exposures exceed established limits based on a consideration of the business and the analysis of related with bank transactions or business activities that require a certain deviation from the established procedure bank ..
