Dasar penetapan Remunerasi Dewan Komisaris Perseroan tahun 2016 adalah Hasil Keputusan RUPS Tahunan pada tanggal 27 Mei 2016 sebagaimana dinyatakan dalam akta RUPS No. 70. bahwa Remunerasi Dewan Komisaris dan Direksi maksimal AS7,2 juta.c. Struktur remunerasi

Merujuk kepada hasil Keputusan RUPS Tahunan pada tanggal 27 Mei 2016, Perseroan telah memberikan total remunerasi Dewan Komisaris untuk tahun 2016 sebesar AS 1.559.802. Kebijakan Rapat Dewan Komisaris dan Gabungan Anggaran Dasar Perseroan dan Pedoman Dewan Komisaris mengatur kebijakan rapat Dewan Komisaris dan rapat gabungan sebagai berikut: a. Frekuensi rapat Dewan Komisaris dan rapat gabungan antara Dewan Komisaris dengan Direksi dilaksanakan sekurang-kurangnya 6 dan 3 kali dalam setahun, namun tidak menutup kemungkinan rapat tambahan apabila dianggap penting oleh Dewan Komisaris. b. Rapat Dewan Komisaris dan Gabungan dapat dilaksanakan dengan video dan atau call conference apabila ada anggota Dewan Komisaris dan Direksi yang berhalangan hadir di lokasi meeting. c. Setiap Rapat harus di dokumentasikan berupa Risalah Rapat yang dibuat dalam Bahasa Indonesia atau Inggris. d. Rapat dinyatakan korum apabila dihadiri lebih dari 50 dari jumlah Dewan Komisaris danatau gabungan antara Dewan Komisaris dan Direksi Perseroan. Formulate the amount of remuneration by considering the performances of the members of the Board of Commissioners, Company performances, and Short and Long Term Work Plans, which include Company income, assets, inancial conditions and capacities, as well as other factors related to Company business and prevailing laws and regulations and national economics. 3.
