C. Remuneration and Nomination Committee
In general, the Remuneration and Nomination Committee has performed their duties to assist
the BOC in accordance with prevailing regulations. The Remuneration and Nomination Committee’s
tasks include to: i.
Evaluate the remuneration policy for: a The Board of Commissioners and the
Board of Directors which is submitted to the General Meeting of Shareholders; and
b Executive Oficers and employees which is submitted to the Board of Directors.
ii. Evaluate the suitability of the remuneration policies with the implementation of such
policies; iii. Provide recommendations to the Board of
Commissioners on the remuneration policy for the Board of Commissioners, Board

Komite Remunerasi dan Nominasi secara umum telah melaksanakan tugasnya membantu Dewan
Komisaris sesuai ketentuan yang berlaku. Tugas Komite Remunerasi dan Nominasi meliputi:
i. Melakukan evaluasi kebijakan remunerasi bagi:
a Dewan Komisaris dan Direksi dan telah disampaikan kepada RUPS; dan
b Pejabat Eksekutif dan pegawai dan telah disampaikan kepada Direksi.
ii. Melakukan evaluasi terhadap kesesuaian antara kebijakan remunerasi dengan
pelaksanaan kebijakan tersebut; iii. Memberikan rekomendasi kepada Dewan
Komisaris mengenai kebijakan remunerasi bagi Dewan Komisaris, Direksi, Dewan

of Directors, Sharia Supervisory Board, Executive Oficers and overall employees.
iv. Consider the inancial performance, individual performance, the reasonableness of the peer
group, and the Bank’s long-term goals and strategies, in relation to the remuneration
policy v. Provide recommendations for prospective
members of the Board of Commissioners and or Board of Directors to be submitted to the
General Meeting of Shareholders; and vi. Provide recommendations on the candidates
of Independent Party to be members of the Committee to the Board of Commissioners
vii. Develop the system and procedures and or replacement of the members of the Board of
Commissioners and Board of Directors to be submitted to the GMS.
SHARIA SUPERVISORY BOARD DPS
As a sharia bank, BRISyariah has a Sharia Supervisory Board DPS. The DPS is independent and has the
duty to supervise the activities of the Bank, as well as ensure that the business activities and operations of
the Bank comply with sharia principles. Members of the DPS are designated by the National
Sharia Board of the Indonesian Ulema Council DSN- MUI with the approval of Bank Indonesia Financial
Services Authority OJK. In performing its duties during the period of 2015,
the DPS not only provided opinions related to new products and activities of BRISyariah, but also
performed assurance on the implementation of sharia principles in the business activities and operations
of the Bank by performing coordination with and assistance to the relevant work units within the Bank.
In terms of the implementation of supervisory duties, the DPS works together with the Compliance Unit and
Internal Audit Unit to ensure the Bank’s compliance to sharia principles.
In 2015, the DPS issued 23 sharia opinions in order to ascertain compliance of the Bank’s activities and
products with sharia principles.

iv. Mempertimbangkan kinerja keuangan,
prestasi kerja individual, kewajaran dengan peer group, dan sasaran dan strategi jangka
panjang Bank, sehubungan dengan kebijakan remunerasi.
v. Menyusun sistem, serta prosedur pemilihan danatau penggantian anggota Dewan
Komisaris dan Direksi untuk disampaikan kepada RUPS.
vi. Memberikan rekomendasi calon anggota Dewan Komisaris danatau Direksi untuk
disampaikan kepada RUPS; dan vii.
Memberikan rekomendasi calon Pihak Independen yang dapat menjadi anggota
Komite kepada Dewan Komisaris.
DEWAN PENGAWAS SYARIAH DPS
Sebagai bank syariah, BRISyariah memiliki Dewan Pengawas Syariah DPS. DPS bersifat independen
dan bertugas untuk mengawasi kegiatan Bank, serta memastikan kepatuhan kegiatan bisnis dan
operasional bank agar sesuai dengan Prinsip Syariah. Anggota DPS ditetapkan oleh Dewan Syariah
Nasional Majelis Ulama Indonesia DSN-MUI dengan persetujuan Bank IndonesiaOtoritas Jasa Keuangan
OJK. Dalam pelaksanaan tugasnya selama periode tahun
2015, DPS tidak hanya melakukan pemberian opini kepada produk dan aktivitas baru BRISyariah, namun
DPS juga melakukan pemastian terhadap pelaksanaan prinsip syariah dalam kegiatan bisnis dan operasional
Bank dengan melakukan koordinasi dan asistensi kepada unit-unit kerja terkait dalam Bank. Dalam
hal pelaksanaan tugas pengawasan, DPS bekerja sama dengan Satuan Kerja Kepatuhan dan Satuan
Kerja Audit Intenal untuk memastikan pelaksanaan kepatuhan bank terhadap prinsip syariah.
Pada periode tahun 2015 DPS telah mengeluarkan 48 opini syariah dalam rangka pemastian aktivitas dan
produk bank sesuai dengan prinsip syariah.
