Composition of the committees’ membership is prepared in accordance with the complexity of the task and responsibility of each committee. Recommendations from the respective committee are made as reference by the Board of Directors in making decision. The committees are as follows: 1. Credit Committee 2. Assets-Liabilities Committee ALCO 3. Risk Management Committee 4. Information Technology Steering Committee

1. Credit Committee

Credit Committee is established to assist the Board of Directors in determining the direction of credit policy of the Company, at the same time devaluating and or rendering credit decision pursuant to the limit of authority set up by the Board of Directors with attention to the Bank’s business development and prudential principles. The main function of Credit Committee is: a. To give direction when an in-depth and more comprehensive credit analysis is required. b. To give decision or recommendation for loan application submitted.

2. Assets-Liabilities Committee ALCO

Assets-Liabilities Committee functions, among others, to determine the policy and strategy for liquidity management in order to meet the Company’s requirement for liquidity and to minimize any idle funds. Assets-Liabilities Committee determines the • Jumlah, komposisi, kriteria dan independensi anggota Dewan Komisaris dan Direksi; • Tugas dan tanggung jawab Dewan Komisaris dan Direksi; dan • Rekomendasi Dewan Komisaris KOMITE YANG BERTANGGUNG JAWAB KEPADA DIREKSI Direksi dibantu oleh Komite yang bertugas memberi saran dan rekomendasi terkait dengan kebijakan dan pengelolaan Perseroan. Komposisi keanggotaan komite disusun sesuai dengan kompleksitas tugas dan tanggung jawab komite. Rekomendasi dari masing- masing komite dijadikan acuan oleh Direksi dalam mengambil keputusan. Komite-komite tersebut adalah: 1. Komite Kredit 2. Komite Aset-Kewajiban ALCO 3. Komite Manajemen Risiko 4. Komite Pengarah Teknologi Informasi

1. Komite Kredit Komite Kredit dibentuk untuk membantu Direksi

dalam menetapkan arah kebijakan perkreditan Perseroan sekaligus mengevaluasi danatau memberikan keputusan kredit sesuai dengan batas wewenang yang ditetapkan Direksi dengan memperhatikan pengembangan bisnis tanpa meninggalkan prinsip kehati-hatian. Fungsi pokok Komite Kredit adalah: a. Memberikan pengarahan apabila perlu dilakukan analisis kredit yang lebih mendalam dan komprehensif. b. Memberikan keputusan atau rekomendasi atas permohonan kredit yang diajukan.

2. Komite Aset-Kewajiban ALCO

Komite Aset-Kewajiban berfungsi antara lain menetapkan kebijakan dan strategi pengelolaan likuiditas untuk memenuhi kebutuhan likuiditas Perseroan dan meminimalisasi idle funds. Komite Aset-Kewajiban menetapkan kebijakan dan strategi 2014 ANNUAL REPORT | PT BANK ARTHA GRAHA INTERNASIONAL Tbk 239 Tata Kelola Perusahaan Good Corporate Governance policy and strategy related to market risk, pricing strategy, investment portfolio management strategy, and structuring strategy for balance sheet structure through anticipated change of interest rate, in order to achieve an optimum level of net interest margin. Assets-Liabilities Committee’s meeting is arranged periodically every month or several times a month when it is deemed necessary, in consideration of the need for strategic decision in the Company’s operations, economic change, and interest rate risk profi le as well as liquidity risk.
