Berdasarkan Akta No. 211 tanggal 20 Desember 2006 dibuat dihadapan Sutjipto, S.H, M.Kn., Notaris di Jakarta,
PT GLD Properti , Entitas Anak membeli 44.970 saham PT Nusadua Graha International NGI dari PT Global
Mediacom Tbk sebesar Rp 9.500.000.000. Pada Agustus 2007, PT GLD Properti memutuskan untuk melakukan
penurunan nilai investasi ini sebesar Rp 8.2 miliar sehubungan penurunan nilai wajar investasi NGI pada saat
akuisisi PT GLD Properti oleh Perusahaan. Based on Notarial Deed No. 211 dated December 20,
2006 of Sutjipto, SH, M.Kn., notary in Jakarta, a Subsidiaries purchased 44,970 shares of PT Nusa Dua
Graha International NGI in the amount of Rp 9,500,000,000 from PT Global Mediacom Tbk. In
August 2007, PT GLD Property decided to make impairment of investment amount totalling Rp 8,2 billion
due to decrease in investment fair value of NGI when PT GLD Property was acquired by the Company.
Selanjutnya, pada 27 Nopember 2007, PT GLD Properti membeli 7.913 saham atau 4,85 kepemilikan saham NGI
dari Pacific Petroleum Trading Co., Ltd, Jepang dengan biaya perolehan Rp 2.934.773.440. Perolehan saham
tersebut meningkatkan kepemilikan saham PT GLD Properti pada NGI dari 27,59 menjadi 32,44. Bagian PT GLD
Properti atas aset bersih NGI adalah Rp 206.606.294, sehingga menghasilkan goodwill positif sebesar Rp
2.728.167.146. Subsequently, on November 27, 2007, PT GLD Property
purchased 7.913 shares or 4.85 share ownership in NGI from Pacific Petroleum Trading Co., Ltd, Japan for
Rp 2,934,773,440. The acquisition has increased PT GLD Propert‘s share ownership in NGI from 27.59 to 32.44.
PT GLD Property’s interest in net assets of NGI amounted to Rp 206,606,294, resulting in a positive goodwill of
Rp 2,728,167,146.
Selanjutnya, pada 16 Mei 2008, PT GLD Properti membeli 18.841 saham atau 2,89 kepemilikan saham NGI
sehubungan dengan peningkatan modal disetor NGI dengan biaya perolehan USD 2.826.150 atau ekuivalen
dengan Rp 26.322.761.100. Perolehan saham tersebut meningkatkan kepemilikan saham PT GLD Properti pada
NGI dari 32,44 menjadi 35,33. Subsequently, on May 16, 2008, PT GLD Property
purchased 18,841 shares or 2.89 share ownership in NGI in connection with increase in NGI paid-in capital for USD
2,826,150 or equivalent of Rp 26,322,761,100. The acquisition has increased PT GLD Property’s share
ownership in NGI from 32.44 to 35.33.
