Shareholder Composition Position of the Shareholders

Represents the Owners of the Business Entity that determines direction of the Company. Ministry of SOEs acts as the shareholder and can provide the authority of Substitution Rights to individuals or legal entity to represent it in the GMOS. 3

3. Interests of the Shareholders

One of the interests of the Shareholders is to increase the value of the Company and to gain profit.

4. Obligation of the Shareholders, comply with the:

a. Articles of Association; b. GMOS resolutions; and c. Prevailing legislation.

5. Responsibility of the Shareholders

4 Minority shareholders have the same responsibility as the majority shareholders. Shareholders must not misuse their rights and be in accordance with the legislation and the Articles of Association of the Company.

6. Rights of the Shareholders

Shareholder rights that must be protected, among others are: 5 a. Attending and voting in GMOS with the provisions of one share entitles its holder to cast one vote. b. Obtaining reliable material information concerning the Company in an accurate, timely, measurable and orderly manner. c. Receiving profit distribution from the Company that is intended for the shareholders in the form of dividends and remaining assets of liquidation proceeds proportionately to the number of shares owned. d. 7. Fair Treatment for the Shareholders

a. The Shareholders must be treated fairly, therefore the shareholders have the freedom to perform their rights and obligations. b. The Shareholders are entitled for the statements and the disclosure from the Board of Directors and the Board of Commissioners on any transaction that contains conflict of interest and matters that significantly affect the Company.

8. Registration of the Shareholders

6 The Company shall have the Shareholders List of the Company, which is kept and maintained in the Company by the Corporate Secretariat Division.

B. THE GENERAL MEETING OF SHAREHOLDERS GMOS

1. Types of the GMOS

a. Annual GMOS is the General Meeting of Shareholders GMOS,

which is held every year, includes: approval of annual report and approval of the Company’s Work Plan and Budget.

b. Extraordinary GMOS is all GMOS which is held at any time based

on the needs for the interest of the Company.

2. Agenda and Timing of Conducting the GMOS

a. Annual GMOS to approve the annual report is held no later than in the month of June after closure of the concerned fiscal year 7 . b. Annual GMOS to approve the Company’s Work Plan and Budget is held no later than thirty 30 days after the fiscal year begins Fiscal Year of Work and Budget Plan of the Company 8 c.
