8. Information Technology Governance IT Governance

Management of Information Technology IT at the Company is intended as the basis of an application that is able to create the communication and information that support the business needs of the Company. The reliability of information technology can provide services and facility that are able to compete in the future. The application of information technology governance is developed with competent resources owned by the Company. Policies in Implementing information Technology Governance: a. Provide and develop an IT system, which secure communication and information within the Company or other parties outside the Company effectively, efficiently and in accordance with the prevailing legislation. b. Prepare IT Master Plan for a period of 3 - 5 years that is aligned with the Company Long-term Plan and support the strategy and objectives of the Company and further elaboration of the Master Plan. c. Conduct monitoring and evaluation of the implementation of IT to find out the successful achievement of the IT implementation, results and objectives that are planned including periodic audit. d. Adjust the IT to anticipate changes in development of information technology and business needs of the Company.

9. Legal

The Company performs the legal process to ensure the legality, compliance of the Companys business to the prevailing legislation and to ensure the continuity of the Companys business. Legal reference that is used by the Company is legislation issued by the Government as well as other regulators that is applicable either in the territory of the Republic of Indonesia or international. Policy in the legal process requires the following things: a. Secured documentation and transparent reporting by keep maintaining confidentiality aspect so that the decisions taken can be justified. 1 66 66 b. Clear accountability for all employees, who have the tasks associated with the legal process of the Company, in accordance with their respective designated authority. c. All employees, who are involved in the legal process of the Company, should be free from any potential conflict of interest and keep prioritizing the interests of the Company. d. Provide services that can meet the needs of shareholders, the Board of Commissioners, Board of Directors, the Companys stakeholders in a fairly manner. e. Legal proceedings undertaken by the Company is in line with the implementation of the corporate strategy, which guarantee that the entire legal risk is under the supervision of the Board of Directors. f. Clear arrangement on the legal advices to the Board of Commissioners, the Board of Directors and Employees in order to perform their duties in compliance with the prevailing legislation. g. Clear recommendation on all legal implications of any contractsagreements with other parties within the corridor of legal risk management legal risk tolerance and be ackknowledged by the Board of Commissioners and Board of Directors, according to their respective authority, as prescribed in the Articles of Association and the prevailing legislation. h. If there is a summon from the court andor from other law enforcement agencies, either as a witness or to provide information in a matter relating to the Company, it should have been well- coordinated. i.
