1 14 with the dismissal reason. 15 The dismissal decision is taken after the concerned member is given a chance to defend himself. b. In the event that the dismissal is conducted outside of the GMOS, then the defense is communicated in writing to the Shareholders within a period of fourteen 14 days from notification to the member of the Board of Directors concerned. 16 c. Reasons for dismissal as stated in point a is carried out if based on the fact the member of the Board of Directors concerned among others: 17 1 Unable to meet its obligations which have been agreed upon in management contract, 2 Unable to perform hisher job properly, 3 Not implement the legislation andor the provisions of the Articles of Association, 4 Involved in actions that are detrimental to the Company andor the State, 5 Performed actions that violate the ethics andor appropriateness that have to be respected as a member of the Board of Directors of the Company, 6 Found guilty by the court ruling that has permanent legal force, 7 Resigning, 8 Other reasons which are deemed appropriate by the GMOS for the interests and objectives of the Company. d. Dismissal of member of the Board of Directors is effective as of the closing of the GMOS as stated in point a or any other date set by the GMOS. 18 e. The member of Board of Directors, who is dismissed, is stiil accountable from the beginning of the fiscal year up to the effective date of the dismissal, as long as the action of the Board members is reflected in the Annual Report of the fiscal year concerned. f. The GMOS may appoint other person to fill in the position of the member of the Board of Directors, who was dismissed, and the GMOS can appoint a person as a member of the Board of Directors to fill in the vacant position. 8. Temporary Dismissal of Members of the Board of Directors

19 a. The member of the Board of Directors can be dismissed temporarily by the Board of Commissioners, if: 1 Not act in accordance with the Articles of Association, or 2 There is an indication of performing detriment to the Company, or 3 Neglecting his obligations or there is an urgent reason for the Company. b. The temporary disimissal must be notified in writing to the concerned member accompanied with reasons of such action, with copy to the shareholders and Board of Directors. c. The noticification should be delivered in at least 2 two days after the determination of the temporary dismissal. d. Member of the Board of Directors who has been suspended is not authorized to carry out management of the Company and represent the Company both inside and outside the court. e. For a period of no later than 30 thirty days after the suspension, the Board of Commissioners must convene a GMOS that will decide whether to revoke or confirm the suspension decision. f. In the GMOS as stated in point e, the concerned Board of Directors member is given the opportunity to defend himself. g. If the Board of Commissioner does not conduct the GMOS within the period of 30 thirty days or GMOS cannot take a decision, then the temporary dismissal becomes void and the concerned Board member should carry out his tasks again as it should be. h. 9. Resignation of Members of the Board of Directors

20 a. A member of the Board of Directors reserves the right to resign from his position by informing in writing regarding such intention to the Company with a copy to the Shareholders, Board of Commissioners, and other members of the Board of Directors at least 30 thirty days before the date of hisher resignation. b. If the effective date mentioned in the resignation letter is less than 30 thirty days from the date when the letter is received, then it is considered not mentioning the effective date of the resignation. c. The Company is obliged to conduct GMOS to decide the resignation of the member of the Board of Directors in a period of no later than 30 thirty days after the resignation letter is received. d. If within a period of 30 thirty days from the receipt date of the resignation letter in the case that the effective date of resignation is not mentioned, there is no GMOS decision is made, then the member of the Board of Direcctors automatically resigns on the requested date or with the passage of of 30 thirty days time from the date of the resignation letter, without requiring the approval of the GMOS. e. Before the resignation is effective, the member of the Board of Directors remains obligated to carry out his duties and responsibilities in accordance with the Articles of Assoiation and the prevailing legislation. f. Resignation, which is caused by double post holding that is not in accordance with the prevailing legislation, the concerned member of the Board members is no longer allowed to carry out his responsibilities and duties until his resignation is determined by the GMOS. g. The discharge of duties and responsibilities of member of the Board of Directors who resigned is given after the GMOS release it, starting from the effective date of his resignation. h.
