Temporary Transfer of Duties of The Board of Directors Members

In the event that a member of the Board of Directors is absent for a period of more than thirty 30 days, the Acting Alternate Director, which is derived from other existing Board of Directors members, shall be appointed by the Board of Commissioners to perform the functions of the Director. In such temporary transfer of Duty: the Acting PJS Alternate Director only performs Director function without any power of attorney to attend the meetings of the Board of Directors. Arrangement related to the temporary transfer of duties of member of the Board of Directors is stipulated in the Decree of the Board of Directors of the Company.

13. Temporary Subtitute of the Board of Directors Members

In the event that there is a member of the Board of Directors is absent due to named a suspect, who is arrested physically for more than 90 ninety days, or prolonged aching for more than 180 one hundred eighty days, the Temporary Substitute PGS is appointed to run the functions of the Director under the condition that the appointment of Temporary Substitute is in accordance with the decision of the BOC. In the event of such temporary transfer of duties: The Temporary Substitute PGS runs Director function temporarily in addition to his ongoing duties as Member of the BOD, and has 2 two votes rights, which are as his current Director and as a Temporary Subsitute of Director, to attend and take decisions in the BOD meetings. B. INDUCTION AND CAPABILITY ENHANCEMENT PROGRAMS 1. Induction Program 27 The Board of Directors member who is appointed for the first time must be provided with an Induction Program regarding the Company. The provision of the introduction program includes the following matters: a. The newly appointed Director is obliged to be provided with the induction program regarding the Company b. The responsibility to organize the introduction programme is held by the Corporate Secretary or anyone who performs the function as the Corporate Secretary. c. The Induction Program, which is arranged for the Director, among others, will include the following things: 1 Implementation of the principles of Good Corporate Governance by the Company. 2 Overview about the Company which relates to the history, objectives, nature, CompanyCorporate culture, scope of activities, the financial performance and operations, strategy, short-term and long-term business plan, competitive positions, risks, internal control and other strategic issues. 3 Description relating to delegated authority, internal and external auditing, internal control systems and policies of the Company. 4 Description on the duties and responsibilities of the Board of Commissioners and Board of Directors as well as matters that are not allowed. 5 Team building, which includes the Board of Directors, either who newly serve or those who had served previously. d. The Induction Program can be in the form of presentations, meetings, visits to the Company facilities andor other programs. The Induction Program is conducted not later than 90 ninety calendar days after the GMOS determined the appointment of new member of the Board of Directors.

2. Capability Enhancement Program

The Company enforces provisions of the capability enchancement program for the Board of Directors as follows: a. Capability enhancement program is implemented in order to improve the effectiveness of the working of the Board of Directors. 20
