2. Proses Pemberhentian Direksi
Pada dasarnya masa jabatan anggota Direksi ditetapkan 5 lima tahun dan dapat
diangkat kembali untuk 1 satu kali masa jabatan. Namun demikian RUPS dapat
memberhentikan para anggota Direksi sewaktu-waktu dengan menyebutkan
alasannya yaitu :

Tidak dapat memenuhi kewajibannya yang telah disepakati dalam kontrak
manajemen ; Tidak dapat melaksanakan tugasnya
dengan baik ; Tidak melaksanakan ketentuan peraturan
perundang-undangan danatau ketentuan Anggaran Dasar;
Terlibat dalam tindakan yang merugikan Perseroan danatau Negara ;
Melakukan tindakan yang melanggar etika danatau kepatutan yang seharusnya
dihormati sebagai anggota Direksi Badan Usaha Milik Negara.
Dinyatakan bersalah dengan putusan pengadilan yang mempunyai kekuatan
hukum yang tetap. Mengundurkan diri.
Alasan lainnya yang dinilai tepat oleh Rapat Umum Pemegang Saham demi
kepentingan dan tujuan Perseroan.
2. Board of Directors Dismissal Process
Basically the tenure of a member of the Board of Directors is 5 fi ve years and heshe can be
re-appointed for an additional 1 one period. However, RUPS has the privilege of dismissing
the member anytime by mentioning any of the following reasons:

is against etiquette andor appropriateness which should otherwise be respected by
himher as a member of a state-owned company’s Board of Directors
Heshe is found guilty according to the jury’s verdict
Heshe resigns at hisher will Some other reasons which are considered
proper by the RUPS for the sake of the corporation’s interest and goals
Keputusan pemberhentian diambil setelah yang bersangkutan diberi kesempatan membela
diri. Rencana pemberhentian sewaktu-waktu anggota diberitahukan kepada anggota Direksi
yang bersangkutan secara lisan atau tertulis oleh Pemegang Saham.
A decision to dismiss a member is made after he she has been given a chance to defend himself
herself. The plan for dismissal is conveyed by the shareholders to the member beforehand either
verbally or in writing.

Antar para anggota Direksi dan antara anggota Direksi dengan anggota Dewan Komisaris tidak
memiliki hubungan keluarga sampai dengan derajat ketiga, baik menurut garis lurus maupun
garis ke samping, termasuk hubungan yang timbul karena perkawinan.
