5. Risiko Hukum
Pelaksanaan identiikasi, pengukuran, dan pemantauan terhadap potensi risiko hukum dilaksanakan terhadap seluruh aktivitas Bank, terutama kegiatan operasional Bank dengan melibatkan pihak ketiga yang memiliki potensi benturan kepentingan atau gugatan hukum. Bank selalu memastikan apakah semua kegiatan dan hubungan antara Bank dengan pihak ketiga telah sesuai dengan ketentuan peraturan perundang- undangan yang berlaku serta tetap melindungi kepentingan Bank dari segi hukum. Pengelolaan risiko hukum di Bank dilaksanakan dibawah koordinasi Biro Hukum, Legal dan Remedial yang menjalankan fungsi hukum atau corporate legal. Biro Hukum, Legal dan Remedial bertindak sebagai “legal advisor” yang bertanggungjawab memberikan pendapat hukum sesuai dengan kebutuhan dan permintaan dari unit-unit kerja, berdasarkan ketentuan hukum dan peraturan yang berlaku. Selain memberikan pendapat hukum kepada unit- unit terkait, Biro Hukum, Legal dan Remedial juga membantu mempersiapkan dokumen-dokumen yang berkaitan dengan perjanjian antara Bank dan nasabahnya dan memastikan agar dokumen- dokumen tersebut mengikat dengan sempurna. Untuk memitigasi risiko hukum tersebut selama tahun 2015, Biro Hukum, Legal dan Remedial telah melakukan berbagai langkah, antara lain. a. Melakukan pengkajian atas dokumen-dokumen atau perjanjian-perjanjian guna mengamankan kepentingan hukum Bank. b. Membuat atau memperbaharui standar dokumenperjanjian agar sesuai dengan peraturan perundang-undangan dan ketentuan yang berlaku. c. Meningkatkan kemampuan dan pengetahuan sumber daya manusia serta pengkajian atas perkara litigasi yang telah terjadi. d. Memberikan analisis maupun advis hukum dan mempersiapkan langkah-langkah hukum terhadap permasalahan-permasalahan yang disampaikan oleh unit-unit terkait sehubungan dengan perjanjian yang sedang atau akan dijalankan. as early warning indicators. The legal risk management in the Bank is under the coordination of the Legal Bureau, Legal and Remedial having a corporate legal function. The Legal Bureau, Legal and Remedial acts as a legal advisor having responsibility for providing legal opinions as needed and requested by work units, pursuant to applicable laws and regulations. In addition to provide legal opinions to relevant units, the Legal Bureau, Legal and Remedial also helps preparing documents relating to agreements between the Bank and its customers and ensures that these documents are completely binding. To mitigate legal risks in 2015, the Legal Bureau, Legal and Remedial has conducted various measures, among others. a. Review documents or agreements to protect the Bank’s legal interest. b. Prepare or update documentagreement standards to comply with applicable laws and regulations. c. Build the capacity and knowledge of human resources and review the occurred litigation cases. d. Provide analysis, legal advice, and legal preparations to problems informed by relevant units in connection with ongoing or future agreements.Parts
