Tugas dan Tanggung Jawab Komite Remunerasi dan Nominasi bertugas antara lain untuk: 1. Terkait dengan kebijakan remunerasi a. Melakukan evaluasi terhadap kebijakan remunerasi; dan b. Memberikan rekomendasi kepada Dewan Komisaris mengenai: 1 Kebijakan remunerasi bagi Dewan Komisaris dan Direksi untuk disampaikan kepada Rapat Umum Pemegang Saham; 2 Kebijakan remunerasi bagi Pejabat Eksekutif dan pegawai secara keseluruhan untuk disampaikan kepada Direksi. 2. Terkait dengan kebijakan nominasi a. Menyusun dan memberikan rekomendasi mengenai sistem serta prosedur pemilihan dan atau penggantian anggota Dewan Komisaris dan Direksi kepada Dewan Komisaris untuk disampaikan kepada Rapat Umum Pemegang Saham; b. Merekomendasikan calon anggota Dewan Komisaris danatau Direksi kepada Dewan Komisaris untuk disampaikan kepada Rapat Umum Pemegang Saham; c. Merekomendasikan Pihak Independen yang akan menjadi anggota Komite Audit dan Komite Pemantau Risiko kepada Dewan Komisaris; d. Merekomendasikan usulan penggantian dan atau pengangkatan anggota Dewan Komisaris kepada Rapat Umum Pemegang Saham; e. Merekomendasikan usulan penggantian dan atau pengangkatan anggota Direksi oleh Dewan Komisaris kepada Rapat Umum Pemegang Saham. Dalam menjalankan tugas dan tanggung jawab terkait dengan kebijakan remunerasi, Komite Remunerasi dan Nominasi wajib memastikan bahwa kebijakan remunerasi sesuai dengan: 1. Kinerja keuangan dan pemenuhan cadangan sebagaimana diatur dalam peraturan perundang- undangan yang berlaku; 2. Prestasi kerja individual; 3. Kewajaran dengan peer group; dan 4. Pertimbangan dan strategi jangka panjang Bank. Rapat Komite Remunerasi dan Nominasi Dalam tahun 2012, Komite Remunerasi dan Nominasi telah menyelenggarakan 4 empat rapat. Kehadiran masing-masing anggota dalam rapat Komite adalah sebagai berikut: Duty and Responsibility Remuneration and Nomination Committee has the duties, among others, to: 1. Related to remuneration policy a. Evaluate remuneration policy; and b. Give recommendation to the Board of Commissioner regarding: 1 Remuneration policy for the Board of Commissioners and the Board of Directors for submission to General Meeting of Shareholders; 2 Remuneration policy for Executive Oficers and employees across the board for submission to the the Board of Directors. 2. Related to nomination policy a. Prepare and give recommendation on the system and procedure of selection and or substitution of members of the Board of Commissioners and the Board of Directors to the Board of Commissioners for submission to General Meeting of Shareholders; b. Recommend candidate member of the Board of Commissioners andor the Board of Directors to the Board of Commissioners for submission to General Meeting of Shareholders; c. Recommend Independent Party to become member of Audit Committee and Risk Monitoring Committee to the Board of Commissioners; d. Recommend the proposal for substitution andor appointment of members of the Board of Commissioners to General Meeting of Shareholders; e. Recommend the proposal for substitution and or appointment of members of the Board of Directors from the Board of Commissioners to General Meeting of Shareholders. In carrying out its duty and responsibility related to remuneration policy, the Committee is required to ensure that remuneration policy conforms to: 1. Financial performance and reserve fulillment as provided in the prevailing laws and regulations; 2. Individual work performance; 3. Fairness with peer group; and 4. Pedoman dan Tata Tertib Kerja Komite Remunerasi dan Nominasi Komite Remunerasi dan Nominasi memiliki Pedoman dan Tata Tertib Kerja yang diatur dalam Pedoman Kebijakan Perusahaan No. 0005.01.1 tanggal 22 April 2010. Pedoman tersebut mengatur hal-hal yang terkait dengan pelaksanaan tugas dan tanggung jawab serta etika anggota Komite Remunerasi dan Nominasi. Pedoman dan Tata Tertib Kerja Komite Remunerasi dan Nominasi disusun berdasarkan peraturan yang berlaku dan akan ditinjau ulang secara berkala. The Guidelines and Code of Conduct of Remuneration and Nomination Committee were prepared on the basis of the effective regulation and to be reviewed on periodic basis. The Board of Directors is also required to manage the Bank in reference to the Articles of Association, Law on Limited Liability Company, Bank Indonesia’s Regulation, Regulation of Capital Market and Financial Institutions Supervisory Board Bapepam and LK as well as other various related regulations. The Board of Directors is responsible for the structure of internal control, supervision of internal audit, application of risk management, and practices of good corporate governance. Structure, Composition, and Independency of the Board of Directors Members of the Board of Directors as of December 2012 consists of six 6 persons, those are one President Director and ive 5 Directors, one of them is Compliance Director. Pursuant to Bank Indonesia’s Regulation, President Director is originated form independent party against the controlling shareholder. All members of the Board of Directors are domiciled in Indonesia and experienced for more than ive 5 years in banking business. Each member of the Board of Directors does not have any familial relation to the second degree with other members of the Board of Directors nor the Board of Commissioners. In addition, all members of the Board of Directors, both individually or collectively, do not own the shares of Bank Artha Graha Internasional or any other company totaling more than 5 from paid up capital. Tugas dan Tanggung Jawab serta Kewenangan Direksi Direksi merupakan organ Bank yang berwenang dan bertanggungjawab penuh atas kepengurusan Bank serta mewakili Bank, baik di dalam maupun di luar pengadilan sesuai dengan Anggaran Dasar. Nangoi – Direktur Tugas utama: Mengkoordinir arah dan strategi yang tepat atas target funding serta pengembangan cross selling dalam rangka peningkatan jumlah nasabah dan jumlah rekening, dengan memimpin dan mengarahkan pengembangan serta penawaran produk-produk terbaik dan memastikan bahwa pengembangan serta penawaran tersebut merupakan produk yang berkualitas dan berdaya saing tinggi. Memimpin dan mengkoordinasikan implementasi dan kebijakan strategi yang berhubungan dengan treasury dan inancial institution, juga mengarahkan pengembangan serta penawaran produk-produk treasury. Alex Susanto – Direktur Tugas utama: Mengkoordinir penyusunan strategi dan memastikan pertumbuhan pemberian kredit berjalan efektif dan Duty, Responsibility and Authority of the Board of Directors The Board of Directors is an organ of the Bank that is authorized and fully responsible for the management of the Bank and to represent the Bank, both inside and outside the court pursuant to the Articles of Association. Consequently, the core duty of the Board of Directors is to head and manage the Bank in accordance with purpose and objective of the Bank; to control, maintain and manage the Bank’s assets for the interest of the Bank; and to set up the structure of internal control, to assure the performance of the company’s internal audit function at each level of management and to follow up internal audit indings according to the policy or directive provided by the Board of Commissioners. Fit and Proper Test All members of the Board of Directors of Bank Artha Graha Internasional have high inancial integrity, competency, reputation and experience, including various proiciencies, and all of them have passed the it and proper test of Bank Indonesia. Duty of the Respective Member of the Board of Directors Andy Kasih – President Director Main Duty: To determine the Company’s long term strategy and marketing strategy including productservice development in accordance with market demand and requirement for all business segments. Other than that, to give directive and guidance on policies for operating supports and banking services, information technology, system and procedure, legal aspect, inancial and human resources aspects, and ensuring compliance with all banking operations so that the Company has high ethical standard, complies with good corporate governance and prudential banking practices. Henny A. Nangoi – Director Main duty: To coordinate the correct direction and strategy on funding target and cross selling development in order to increase the number of customers and accounts, by leading and directing the development and quotation of the best products and to ensure that such development and quotation represent quality and high competitive products. To head and coordinate strategy implementation and policy in connection with treasury and inancial institution, as well as to direct the development and quotation of treasury products. Alex Susanto – Director Main duty: To coordinate strategy preparation and to ensure that the growth of loan distribution runs effectively sesuai dengan prinsip kehati-hatian prudent, sehingga tingkat Non Performing Loan NPL dapat selalu terjaga dibawah batas yang ditentukan Bank Indonesia. Menyusun langkah-langkah dalam mengoptimalkan potensi sumber daya manusia dan mencapai tingkat produktivitas yang diharapkan.

Komite yang bertanggung jawab kepada Direksi Direksi dibantu oleh Komite yang bertugas memberi saran dan rekomendasi terkait dengan kebijakan dan pengelolaan Bank. Komposisi keanggotaan komite disusun sesuai dengan kompleksitas tugas dan tanggung jawab komite. Rekomendasi dari masing-masing komite dijadikan acuan oleh Direksi dalam mengambil keputusan. 1. Komite Kredit

Komite Kredit dibentuk untuk membantu Direksi dalam menetapkan arah kebijakan perkreditan Bank Artha Graha Internasional sekaligus mengevaluasi danatau memberikan keputusan kredit sesuai dengan batas wewenang yang ditetapkan Direksi dengan memperhatikan pengembangan bisnis tanpa meninggalkan prinsip kehati- hatian. Fungsi pokok Komite Kredit adalah: a. Memberikan pengarahan apabila perlu dilakukan analisa kredit yang lebih mendalam dan komprehensif. b. Memberikan keputusan atau rekomendasi atas permohonan kredit yang diajukan. Guidelines and Code of Conduct of the Board of Directors The Board of Directors has the Guidelines and Code of Conduct specifying work ethics, work hours, and meeting implementation. In 2012, the Board of Directors improved the guidelines and code of conduct in the Company’s Policy Guidelines No. 0007.01.2 dated 29 June 2012. Any decision taken pursuant to the Guidelines and Code of Conduct shall bind and become the responsibility of all members of the Board of Directors. The Guidelines and Code of Conduct were prepared on the basis of the prevailing regulations particularly the regulation on Good Corporate Governance and to be reviewed on periodic basis. Committees responsible to the Board of Directors The Board of Directors is assisted by Committees that have the duty to give suggestion and recommendation related to the policy and management of the Bank. The composition of the committee’s membership are prepared in accordance with the complexity of the committee’s duty and responsibility. Recommendations from the respective committee are made as reference by the Board of Directors in making decision. The committees are: 1. Loan Committee 2. Assets-Liabilities Committee ALCO 3. Risk Management Committee 4. Information Technology Steering Committee

Loan Committee is established to assist the Board of Directors in determining the direction of loan policy of Bank Artha Graha Internasional, altogether evaluating andor giving loan decision pursuant to the limit of authority set up by the Board of Directors in observance of the business development and prudential principle. The main function of Loan Committee is: a. To give the directive when a deeper and more comprehensive loan analysis is required. b. To give decision or recommendation for the proposed loan application.
