PT Kereta
Api Persero
mengadakan perjanjian kerjasama dengan PT Prima Jaya
Mandiri yang berkenaan dengan penyewaan lahan milik PT Kereta Api Persero. Perjanjian
ditandatangani tanggal
1 Desember 2004
dengan Akta Notaris No. 1 yang dibuat dihadapan Notaris Surjadi Jasin, SH., yang
telah mengalami perubahan sesuai dengan Addendum tanggal 5 Juli 2007, dari notaris
yang
sama. Bentuk
perjanjian kerjasama
tersebut antara lain: PT
Kereta Api
Persero entered
into cooperative agreement with PT Prima Jaya
Mandiri relating to the lease of land owned by PT Kereta Api Persero. The agreement was
signed on December 1, 2004 by Notarial Deed No. 1 of Notary Surjadi Jasin, SH., which has
been amended in accordance with Addendum dated July 5, 2007, of the same notary. The
cooperative agreements include as follows:
PT Kereta Api Persero menyewakan lahan seluas ± 61.684 m² yang berlokasi di
Kawasan Emplasemen Stasiun Bandung, Bandung, kepada PT Prima Jaya Mandiri
Untuk dibangun gallery mall, shopping mall, hotel, serta bangunan lainnya dengan
jangka waktu 30 tiga puluh tahun. PT Kereta Api Persero leases the land
area of ± 61.684 m² of located in Bandung Station Emplacement area, Bandung, to
PT Prima Jaya Mandiri to be used as gallery mall, shopping mall, hotel and other
buildings for a period of 30 thirty years.

dengan rekomendasi PT Kereta Api Persero akan
mendapatkan Hak Guna Bangunan diatas Hak Pengolahan Lahan PT KAI Persero
atas lahan tersebut selama 30 tahun terhitung mulai 24 bulan sejak perjanjian
ditandatangani. PT
Prima Jaya
Mandiri with
the recommendations from PT Kereta Api
Persero will get the Rights to Build Hak Guna Bangunan or HGB on Rights to Use
Hak Pengelolaan Lahan or HPL of PT Kereta Api Persero land for a maximum
period of 30 years starting from 24 months since the agreement signing date.
PT Prima Jaya Mandiri diakhir perjanjian akan
menyerahkan kembali
lahan, bangunan berserta fasilitas didalamnya
yang telah dibangun kepada PT Kereta Api Persero dengan kondisi layak pakai.
PT Prima Jaya Mandiri at the end of agreement will hand back the land, building
along with its facilities which had been built by them to PT Kereta Api Persero with
decent condition of use.
Atas penggunaan
lahan tersebut
PT Kereta
Api Persero
mendapatkan kompensasi tunai dari PT PT Prima Jaya
Mandiri sebesar Rp.53.109.447.325, belum termasuk
PPN, yang
pembayarannya dilakukan secara bertahap dengan masa
pembayaran 10 tahun. For the use of the land, PT Kereta Api
Persero receives cash compensation from
PT Prima
Jaya Mandiri
of Rp.53.109.447.325, excluding VAT, which
is paid gradually with 10-years payment term.
Pembayaran kompensasi
akan dilaksanakan
dalam sebelas
tahap. Pembayaran
tahap pertama
sebesar Rp.4.610.600.000 dibayarkan pada saat
penandatanganan perjanjian. Pembayaran tahap kedua sebesar Rp.1.657.761.000,
setelah dikurangi
option fee
sebesar Rp.500.000.000, dibayarkan paling lambat
7 hari setelah penandatanganan adendum perjanjian.
Pembayaran tahap
ketiga sebesar
Rp.2.524.580.000 dan
Pembayaran goodwill sebesar 9,5 dari pembayaran
tahap ketiga
sebesar Rp.179.876.325 dibayarkan paling lambat
1 September 2007. Pembayaran tahap keempat
sebesar Rp.2.953.759.000
dibayarkan paling lambat 1 Desember 2007. Pembayaran tahap kelima sebesar
Rp.3.455.898.000 dibayarkan
paling lambat tanggal 1 Desember 2008.
Compensation payments will be made within eleventh stages. The first stage
payment amounting to Rp.4.610.600.000 to be paid at the agreement signing date.
The second stage payment amounting to Rp.1.657.761.000,
net of
option fee
amounting to Rp.500.000.000, to be paid no later than 7 days after the addendum
agreement signing date. The third stage payment amounting to Rp.2.524.580.000
and Goodwill payment of 9.5 from the third
stage payment
amounting to
Rp.179.876.325 to be paid no later than September 1, 2007. The fourth stage
payment amounting to Rp.2.953.759.000 to be paid no later than December 1, 2007.
The fifth stage payment amounting to Rp.3.455.898.000 to be paid no later than
December 1, 2008.
