1952, saat ini berusia 64 tahun.
Menyelesaikan pendidikan di Akademi Fakultas IPPS IKIP Bandung tahun 1980.
Meraih gelar Sarjana di bidang Hukum dari Universitas Islam Nusantara pada tahun
1987 dan memperoleh gelar Master of Science
MSI di bidang Administrasi Negara dari Universitas Garut pada tahun 2000.
Aktif mengikuti pelatihan diantaranya Membangun Key Performance Indicators
KPI Direksi-Komisaris dan Implementasi POJK No. 45POJK.032015, Seminar
BPDSI, International Risk Management Refreshment Program For Executives, dan
Seminar Prospek Perekonomian Nasional 2017 Peluang Dan Tantangan Industri
Perbankan.
Beliau menjabat sebagai Kepala Dinas Pendapatan dan Pengelolaan Keuangan
DPPK Daerah Kabupaten Bandung 2007-2010, dan Komisaris Utama di
PT Citra Bangun Selaras 2010-2011.
Diangkat sebagai Komisaris Independen Perseroan sejak 25 Juli 2011 berdasarkan
akta keputusan RUPS LB No 76 tahun 2011, kemudian diangkat kembali pada 31
Maret 2015 berdasarkan akta keputusan RUPS No 117,118,119 tahun 2015.
Citizen of Indonesia, domiciled in Bandung. Born in Garut on 5 August 1952, currently

He has previous experience as the Head of Financial Revenue and Management
Agency DPPK of Bandung Regency 2007-2010, and as a President
Commissioner at PT Citra Bangun Selaras 2010-2011.
He has been appointed as the Company’s Commissioner since 25 July 2011 based
on EGMS Deed of Resolution No.76 of 2011, and later was reappointed on
31 March 2015 based on GMS Deed of Resolution No.117, 118, 119 of 2015.

1966, saat ini berusia 50 tahun.
Menyelesaikan pendidikan Diploma IV dari Sekolah Tinggi Akuntansi Negara STAN
pada tahun 1994, memperoleh gelar sarjana di bidang Hukum dari Universitas
Krisna Dwipayana pada tahun 2012
dan gelar Magister Manajemen Bidang Studi Ekonomi Sumber Daya Manusia
di Universitas Krisna Dwipayana tahun 2012. Saat ini sedang menempuh program
Doktoral Ilmu Manajemen di Universitas Padjajaran. Aktif mengikuti pelatihan
diantaranya ASEAN Global Leadership Program di USA dan Seminar BPDSI.
Beliau pernah menduduki berbagai jabatan penting sebagai Komisaris Independen PT
Adhi Karya Persero Tbk 2006-2008 dan Ketua Komite Audit PT Adhi Karya Persero
Tbk 2006-2008.
Beliau pertama kali diangkat sebagai Komisaris Independen pada tahun 2008
sesuai dengan Akta keputusan RUPS LB nomor 14 tanggal 19 November tahun
2008. Diangkat kembali menjadi Komisaris Independen sesuai Akta Keputusan RUPS
LB nomor 76 tahun 2011 tanggal 25 Juli 2011 untuk periode 2011-2015. Diangkat
menjadi Komisaris Indepeden Pelaksana Tugas Komisaris Utama Perseroan sejak
tanggal 31 Maret 2015 berdasarkan akta keputusan RUPS nomor 117, 118, 119
tahun 2015. Indonesian citizen, domiciled in Jakarta.
Born in Sukoharjo on 23 May 1966, currently 50 years old.
Graduated Diploma IV in Indonesian State College of Accountancy STAN in
1994, earned his Bachelor’s degree in Law from Krisna Dwipayana University
in 2012, and Magister Management majoring Human Resources Economic at
Krisna Dwipayana University in 2012. He is currently pursuing Doctoral Degree in
Management at University Padjajaran. He attended several trainings, among others,
ASEAN Global Leadership Program in USA and BPDSI Seminar.
He had held various important positions, such as Independent Commissioner of
PT. Adhi Karya Persero Tbk 2006-2008 and Head of Audit Committee of PT. Adhi
Karya Persero Tbk 2006-2008.
He was first appointed as Independent Commissioner in 2008 based on EGMS
Deed of Resolution Number 14 dated 19 November 2008. Reappointed as
an Independent Commissioner based on EGMS Deed of Resolution No. 76 of
2011 dated 25 July 2011 for the period of 2011-2015. Has been appointed as
an Independent Commissioner Acting President Commissioner of the Company
since 31 March 2015 based on GMS Deed of Resolution Number 117, 118, and 119
of 2015.

Rudhyanto Mooduto
Warga negara Indonesia, berdomisili di DKI Jakarta. Lahir di Jakarta pada 4 Desember
1955, saat ini berusia 61 tahun.
Meraih gelar Sarjana di bidang Akuntansi dari Fakultas Ekonomi Universitas Trisakti
pada tahun 1984, dan memperoleh gelar Master of Business Administration
pada bidang Manajemen Jurusan Bisnis Internasional dari Georgia State University,
Atlanta, Amerika Serikat pada tahun 1990. Aktif mengikuti pelatihan diantaranya
ASEAN Global Leadership Program dan International Risk Management Refreshment
Program For Executives.
Beliau pernah menduduki berbagai jabatan penting di Bank Negara Indonesia,
kemudian Beliau menjabat sebagai Direktur Utama PT Asian Hybrid Seed
Technologies Indonesia 2010 dan pernah menjabat sebagai Direktur Utama PT
Persona Prima Utama 2011-2013.
Diangkat sebagai Komisaris Independen Perseroan sejak 27 September 2012
berdasarkan akta keputusan RUPS No 129,130 tahun 2012 dan diangkat kembali
untuk kedua kalinya pada 31 Maret 2015 berdasarkan akta keputusan RUPS No
117,118,119 tahun 2015. Citizen of Indonesia, domiciled in DKI
Jakarta. Born in Jakarta on 4 December 1955, currently 61 years old.
Obtained Bachelor degree in Accounting from Faculty of Economics, Trisakti
University in 1984 and Master of Business Administration in Management majoring
in International Business from Georgia State University, Atlanta, United States
of America in 1990. Actively participates in trainings, among others, ASEAN Global
Leadership Program and International Risk Management Refreshment Program
For Executives.
He has experience in many important positions at Bank Negara Indonesia. He
then became the President Director of PT Asian Hybrid Seed Technologies Indonesia
2010 and was the President Director of PT Persona Prima Utama 2011-2013.
He was appointed as the Company’s Independent Commissioner on 27

Desember 1971, saat ini berusia 45 tahun.
Beliau lulus dari Sekolah Tinggi Akuntansi Negara pada tahun 1994 dan Sarjana
EkonomiAkuntansi dari Universitas Satya Negara Indonesia pada tahun 1997.
Kemudian Beliau memperoleh gelar Sarjana di Bidang Hukum Bisnis pada tahun 2009
dan gelar Magister Hukum Bisnis dari Universitas Indonesia pada tahun 2006.
Saat ini sedang menempuh pendidikan Doktoral di bidang Manajemen Bisnis pada
Universitas Brawijaya.
Beliau pernah menduduki berbagai jabatan penting antara lain sebagai Direktur Utama
Best Parking 2009-2011, dan Komite Audit KSO Sucofindo Surveyor Indonesia
2010-2012. Saat ini beliau masih menjabat sebagai partner pada Jmt Law House sejak
2003.
Diangkat pertama kali sebagai Komisaris Independen pada pada tanggal 23 Maret
2016 berdasarkan akta keputusan RUPS nomor 60.

Warga negara Indonesia, berdomisili di Bandung Lahir tanggal 16 Juni 1969,
saat ini berusia 47 tahun. Diangkat sebagai anggota Komite Tata Kelola
Terintegrasi Perseroan sejak 3 Juni 2015 dan diperpanjang berdasarkan Surat
Keputusan Direksi Nomor 0771SKDIR- CS2016 tanggal 29 Agustus 2016.
Meraih gelar Sarjana di bidang Manajemen dari Universitas Riau tahun 1994,
Magister Manajemen dari Universitas Padjajaran tahun 2004, serta Doktor
di bidang Keuangan pada International Islamic University Malaysia tahun 2013
Beliau pernah menduduki berbagai jabatan penting, antara lain sebagai Dosen
dan Peneliti FEB UNPAD, Deputy Director for research and networking of Center for
Management and Business Studies, UNPAD, Expert Team UNPAD untuk DPRD Kota
Balikpapan. Indonesian citizen, domiciled in Bandung.
Born on June 16, 1969, currently 47 years old. Appointed as member of the
Integrated Governance Committee of the Company since June 3, 2015 by the Board
of Directors Decree and reappointed by No. 0771SKDIR-CS2016 dated August
29, 2016.
He holds a Bachelor degree in Management from the University of
Riau in 1994, Master of Management from Padjadjaran University in 2004,
and a Doctorate in Finance from the International Islamic University Malaysia
in 2013. He has held several important positions, among others as Lecturer
and Researcher of FEB UNPAD, Deputy Director for research and networking of
Center for Management and Business Studies, UNPAD, Expert Team of UNPAD
for Balikpapan City Council.

Ketentuan Rapat Komite Tata Kelola Terintegrasi diatur dalam Pedoman dan Tata Tertib Kerja Komite Tata Kelola Terintegrasi
adalah sebagai berikut: 1. Rapat Komite Tata Kelola Terintegrasi mengadakan rapat
sekurang-kurangnya 4 empat kali dalam 1 satu tahun, disesuaikan dengan kebutuhan Bank.
2. Rapat Komite Tata Kelola Terintegrasi membahas mengenai evaluasi kebijakan dan penerapan tata kelola terintegrasi
pada LJK. 3. Rapat Komite Tata Kelola Terintegrasi dapat dilaksanakan
melalui video conference. 4. Hasil rapat Komite Tata Kelola Terintegrasi dituangkan
dalam risalah rapat dan didokumentasikan secara baik.

Throughout 2016, the Integrated Corporate Governance Committee members participated in various programs to
increase their competence including training, workshops, conferences, seminars, as follows:

Provisions related to Integrated Corporate Governance Committee Meetings are set forth in the Integrated Governance
Committee Working Guidelines and Code of Conduct as follows: 1. Integrated Governance Committee meetings are held at
least 4 four times in one 1 year, tailored to their needs. 2. Integrated Governance Committee meetings evaluate
integrated corporate governance policies and implementation at LJK.
3. Integrated Governance Committee meetings may be conducted through video conference.
4. Integrated Governance Committee meeting results are noted in the minutes of the meetings and are documented properly

5. Perbedaan pendapat dissenting opinion yang terjadi dalam rapat Komite Tata Kelola Terintegrasi dicantumkan secara
jelas dalam risalah rapat beserta alasan perbedaan pendapat. 6. Rapat Komite Tata Kelola Terintegrasi dapat mengambil
keputusan apabila sekurang-kurangnya dihadiri oleh 51 lima puluh satu per seratus dari jumlah anggota termasuk
seorang Komisaris Independen. 7. Keputusan rapat Komite Tata Kelola Terintegrasi dilakukan
berdasarkan musyawarah mufakat. 8. Apabila dalam musyawarah tidak tercapai kata mufakat,
maka pengambilan keputusan dilakukan dengan cara pengambilan suara terbanyak pemungutan suara.
9. Sehubungan dengan pengambilan suara, maka setiap anggota Komite Tata Kelola Terintegrasi yang hadir berhak
memberikan 1 satu suara dan tambahan 1 satu suara untuk setiap anggota Komite Tata Kelola Terintegrasi yang
diwakilinya yang dilengkapi dengan surat kuasa.
10. Rapat Komite Tata Kelola Terintegrasi dipimpin oleh ketua Komite Tata Kelola Terintegrasi atau anggota Komite Tata
Kelola Terintegrasi yang berasal dari unsur Dewan Komisaris apabila ketua Komite Tata Kelola Terintegrasi berhalangan
hadir.
11. Jika dipandang perlu, Komite Tata Kelola Terintegrasi dapat mengundang pihak lain dari internal Bank yang terkait
dengan materi rapat dalam rapat Komite Tata Kelola Terintegrasi.

5. Dissenting opinions that occurred in the Integrated Governance Committee meetings shall be clearly stated in the minutes of
the meeting with the reasons for dissent. 6. Integrated Governance Committee meeting can make
decisions if attended by at least 51 fifty one percent of the members including an Independent Commissioner.
7. Integrated Governance Committee meeting decision are taken by consensus.
8. If a consensus is not reached, then the decision is taken by a majority vote polling.
9. Every of the Integrated Governance Committee member present is entitled to one 1 vote and an additional one 1
vote for each Integrated Governance Committee member equipped with a power of attorney.
10. The Integrated Governance Committee Meeting is chaired by the Integrated Corporate Governance Committee chairman

Komite Tata Kelola Terintegrasi telah melaksanakan tugas, baik yang bersifat rutin maupun yang non-rutin. Tugas tersebut
termasuk memantau dan mengevaluasi penerapan tata kelola terintegrasi, dengan rincian sebagai berikut:
1. Pengesahan pembentukan serta pedoman dan tata tertib
kerja Komite Tata Kelola Terintegrasi yang dituangkan dalam SK Dewan Komisaris No. 05SKDK2016 tanggal 31 Maret
2016 tentang Pembentukan Komite Tata Kelola Terintegrasi.
2. Menyusun matriks tindak lanjut pemenuhan POJK no. 18 POJK.032014 tanggal 19 November 2014 tentang Penerapan
Tata Kelola Terintegrasi Bagi Konglomerasi Keuangan dari matriks termaksud secara keseluruhan telah dilaksanakan.
3. Pada tahun 2016 Komite Tata Kelola Terintegrasi telah melaksanakan rapat baik rapat internal, rapat dengan anggota
Komite dari perusahaan anak dan rapat dengan Divisi Terkait yang membahas mengenai progress report penerapan tata
kelola terintegrasi di bank bjb.
4. Komite Tata Kelola Terintegrasi melaksanakan review dan pemantauan atas pelaksanaan penerapan tata kelola
terintegrasi di bank bjb.
5. Memberikan saran kepada satuan kerja manajemen risiko terintegrasi terkait penyusunan suatu media sebagai early warning
system kepada perusahaan anak sebagai bentuk pemantauan dan meningkatkan koordinasi dengan perusahaan anak.

The Integrated Governance Committee has done its duties, either the routine ones or non-routine ones. These duties
include monitoring and evaluating the integrated governance implementation, with details as follows:
1. Validation of the establishment and guidelines and work
procedure of Integrated Governance Committee is stipulated in Decree of Board of Commissioners No. 05SKDK2016
dated 31 March 2016 concerning Establishment of Integrated Governance Committee.
2. Preparing follow up matrix to fulfill POJK No. 18POJK.032014 dated 19 November 2014 concerning Implementation of
Integrated Governance for Financial Conglomerate, and from the said matrix in overall everything is already implemented.
3. In 2016, the Integrated Governance Committee has held meetings either internal, meetings with members of
Committee from subsidiary, or meeting with relevant Division discussing progress report of the implementation of integrated
governance at bank bjb.
4. The Integrated Governance Committee performs review and monitoring on the implementation of integrated governance
at bank bjb.
5. Provide suggestions to the integrated risk management work unit regarding preparing a media as an early warning system
to the subsidiaries as a form of monitoring and improve coordination with the subsidiaries.

The responsibilities of Business and Credit Monitoring Committee are as follows.
1. In performing its duties, KPBP is responsible to the Board of Commissioners.
2. KPBP Members must preserve the confidentiality of information obtained in accordance with the applicable regulations.
3. KPBP members in performing their duties must comply with Bank’s ethical standards and prohibited from taking personal

Warga negara Indonesia, berdomisili di DKI Jakarta. Lahir di Jakarta pada 4 Desember
1955, saat ini berusia 61 tahun.
Meraih gelar Sarjana di bidang Akuntansi dari Fakultas Ekonomi Universitas Trisakti
pada tahun 1984, dan memperoleh gelar Master of Business Administration
pada bidang Manajemen Jurusan Bisnis Internasional dari Georgia State University,
Atlanta, Amerika Serikat pada tahun 1990. Aktif mengikuti pelatihan diantaranya
ASEAN Global Leadership Program dan International Risk Management Refreshment
Program For Executives.
Beliau pernah menduduki berbagai jabatan penting di Bank Negara Indonesia,
kemudian Beliau menjabat sebagai Direktur Utama PT Asian Hybrid Seed
Technologies Indonesia 2010 dan pernah menjabat sebagai Direktur Utama PT
Persona Prima Utama 2011-2013.
Diangkat sebagai Komisaris Independen Perseroan sejak 27 September 2012
berdasarkan akta keputusan RUPS No 129,130 tahun 2012 dan diangkat kembali
untuk kedua kalinya pada 31 Maret 2015 berdasarkan akta keputusan RUPS No

Agustus 1954, saat ini berusia 62 tahun.
Meraih gelar Sarjana di bidang Teknik Geodesi dari Intitut Teknologi Bandung
pada tahun 1981 dan memperoleh gelar Master Science of Planing di Pascasarjana
di bidang Perencanaan wilayah dan kota dari Institut Teknologi Bandung pada
tahun 1990. Aktif mengikuti pelatihan diantaranya ASEAN Global Leadership
Program di USA dan Seminar BPDSI.
Beliau pernah menjabat sebagai Sekretaris Daerah Provinsi Banten 2008-2014.
Diangkat sebagai Komisaris Perseroan sejak 2008 berdasarkan akta keputusan
RUPS LB No. 14 tanggal 19 November 2008 dan diangkat kembali untuk
periode kedua 2011-2015 pada 25 Juli 2011 berdasarkan akta keputusan RUPS
No 74,75,78 tahun 2011, kemudian diangkat untuk ketiga kalinya pada 31
Maret 2015 berdasarkan akta keputusan RUPS No 117,118,119 tahun 2015.
Indonesian citizen, domiciled in Jakarta. Born in Boyolali on 5 August 1954,

Earned his Bachelor degree in Geodetic Engineering from Bandung Institute of
Technology ITB in 1981 and earned postgraduate degree, Master Science
of Planing, majoring in Regional and City Planning from Bandung Institute of
Technology ITB in 1990. He attended several trainings, such as ASEAN Global
Leadership Program in USA and BPDSI Seminar.
He has held as the Regional Secretary of Banten Province 2008-2014.
He has been appointed as the Company’s Commissioner since 2008 based on
EGMS Deed of Resolution No.14 dated 19 November 2008, reappointed for
the second period 2011-2015 on 25 July 2011 based on GMS Deed of
Resolution No.74, 75, 78 of 2011, and then reappointed for the third time on
31 March 2015 based on GMS Deed of Resolution No.117, 118, 119 of 2015.

Meraih gelar Sarjana di bidang Ekonomi Perusahaan dari Universitas Brawijaya tahun
1980 dan Magister Manajemen Agribisnis dari Institut Pertanian Bogor tahun 1997.
Beliau pernah menduduki berbagai jabatan penting, antara lain sebagai Pemasaran

Komite Pemantau Bisnis dan Perkreditan terhitung mulai tanggal 3 Maret 2015
dan diperpanjang berdasarkan Surat Keputusan Direksi Nomor 0432SKDIR-
CS2016 tanggal 10 Mei 2016.

Situbondo tahun 1986. Beliau pernah menduduki berbagai jabatan penting,

Ketentuan Rapat Komite Pemantau Bisnis dan Perkreditan berdasarkan Pedoman dan Tata Tertib Kerja Komite Pemantau
Bisnis dan Perkreditan, antara lain: 1. KPBP mengadakan rapat sekurang – kurangnnya 2 dua kali
dalam 1 satu bulan, atau disesuaikan dengan kebutuhan. 2. Rapat KPBP membahas mengenai kebijakan serta jalannya
bisnis dan perkreditan bank. 3. Rapat KPBP dapat mengambil keputusan apabila dihadiri
oleh sekurang – kurangnya 51 lima puluh satu per seratus dari jumlah anggota dan dipimpin oleh ketua. Apabila ketua
berhalangan hadir maka rapat dapat dipimpin oleh anggota yang berasal dari Komisaris Independen.
4. Keputusan rapat KPBP dilaksanakan berdasarkan musyawarah mufakat. Apabila musyawarah mufakat
tidak tercapai, maka pengambilan keputusan dilaksanakan dengan cara pengambilan suara terbanyak pemungutan
suara.
5. Dalam rangka pemungutan suara, maka setiap anggota KPBP yang hadir berhak memberikan 1 satu suara dan
tambahan 1 satu suara untuk setiap anggota KPBP yang diwakilinya dilengkapi dengan surat kuasa.
6. Setiap rapat KPBP dituangkan dalam risalah rapat dan didokumentasikan dengan baik.
7. Perbedaan pendapat dissenting opinions yang terjadi dalam rapat KPBP wajib dicantumkan dalam risalah rapat beserta
alasan perbedaan pendapat tersebut.

The meeting provision of the Business and Credit Monitoring Committee KPBP is based on the Guidelines and Work Procedure
of the Business and Credit Monitoring Committee, among others: 1. KPBP holds meeting at least 2 two times in 1 one month,
or as necessary. 2. KPBP meetings discuss about policies, business operations,
and bank credit. 3. KPBP meeting can make decision if the meeting is attended
by at least 51 fifty-one percent of the members and the head leads the meeting. If the head is absent, the meeting
will be chaired by members who is also an Independent Commissioners.
4. KPBP meeting decision is conducted based on deliberation. If deliberation is not achieved, decision making will be done
by voting.
5. In the event of voting, each attending KPBP member is entitled to give 1 one vote and extra 1 one vote for each
KPBP member represented by showing letter of power of attorney.
6. Each KPBP meeting is well documented with minutes of meetings.
7. Dissenting opinions that occurs in KPBP meeting must be stated in the minutes of meetings including the reason of
the dissenting opinions.

Sekretaris Perusahaan bertugas dan bertanggung jawab untuk: 1. Memformulasikan dan melaksanakan strategi humas
publik relationsinvestor relationskomunikasi promosi yang bertujuan meningkatkan citra dan reputasi Bank.
2. Merancang, mengembangkan dan melaksanakan strategi dan program kepedulian sosialCSR dengan
tepat sehingga dapat mengembangkan potensi yang ada dalam membangun reputasi di mata pihak eksternal dan
membangun komitmen serta motivasi para karyawannya secara internal.
3. Menyusun dan mengkoordinasikan konsep komunikasi promosi produk dan jasa layanan ke pihak eksternal, baik
melalui call center ataupun pihakmedia yang ditunjuk, dengan tujuan mendukung pertumbuhan bisnis.
4. Menyusun, merumuskan dan mengembangkan kebijakan bidang kesekretariatan.
5. Mengelola kegiatan kesekretariatan untuk Direksi dan Dewan Komisaris.
6. Memastikan agar catatan-catatan organisasi termasuk dokumen Anggaran Dasar Perseroan, daftar Direksi
dan Dewan Komisaris, notulen rapat-rapat Direksi dan Dewan Komisaris, laporan keuangan, serta catatan resmi
perusahaan lainnya tersimpan baik sesuai dengan tuntutan hukum yang berlaku, dan dapat disediakan pada saat
diminta oleh pihak yang berwenang di perusahaan.
7. Mengelola undangan rapat dan keluar masuknya informasi dari dan kepada Direksi dan Dewan Komisaris.
8. Mengkoordinasikan kegiatan rapat Direksi dan menjalankan fungsi sebagai notulis dalam rapat Direksi.
9. Mengelola penyusunan dan revisi atau pengembangan pedoman tugas Direksi dan Dewan Komisaris.
10. Mengelola kegiatan protokoler untuk Direksi dan Dewan Komisaris.
11. Mengelola Laporan Khusus Direksi danatau Dewan Komisaris kepada lembaga eksternal.

The duties and responsibilities of Corporate Secretary are: 1. Formulating and implementing public relationsinvestor
relations strategiescampaign communication aimed at improving the image and reputation of the Bank.
2. Designing, developing, and implementing social careCSR strategies and programs appropriately so as to develop
the existing potential in building a reputation in the eyes of external parties and building employees’ commitment
and motivation internally.
3. Preparing and coordinating communication concept for promotion of products and services to external parties,
both via call center or the partymedia appointed, which aim to support the business growth.
4. Preparing, formulating, and developing policies in secretarial sector.
5. Managing secretariat activities for the Directors and Board of Commissioners.
6. Ensuring that organizational records including Articles of Association, list of Directors and the Board of
Commissioners, minutes of meetings of the Directors and Board of Commissioners, financial statements, as well as
official records of other companies are stored in accordance with the demands of the applicable laws, and can be
supplied upon demand by the authorities in the company.
7. Administering meeting invitations and information from and to the Directors and Board of Commissioners.
8. Coordinating meeting activities of the Directors and carrying out the function as a note taker in Directors’ meeting.
9. Managing the preparation and revision or development of task guidelines of the Directors and Board of Commissioners.
10. Managing protocol activities for the Directors and Board of Commissioners.
11. Managing Special Reports for the Directors andor Board of Commissioners to external agencies.
12. Managing the administration of Bank shares. 13. Following the development of Capital Markets, especially
the applicable laws and regulations in Capital Market. 14. Assisting the Directors and Board of Commissioners in the
implementation of the company’s governance which includes: a. Transparency of information to public, including the
availability of information on Bank’s website; b. On time report submission to the Financial Services
Authority;

c. Penyelenggaraan dan dokumentasi Rapat Umum Pemegang Saham;
d. Penyelenggaraan dan dokumentasi Rapat Direksi dan atau Rapat Dewan Komisaris; dan
e. Pelaksanaan program orientasi terhadap perusahaan bagi Direksi danatau Dewan Komisaris.
15. Sebagai penghubung antara Bank dengan pemegang saham, Otoritas Jasa Keuangan, dan pemangku kepentingan lainnya.
16. Melakukan koordinasi dengan Divisi Pengendalian Keuangan dalam hal penatausahaan pembagian Dividen
dan pembuatan laporan modal secara periodik serta laporan atas setiap perubahan modal kepada Regulator.
17. Mengawasi semua komunikasi eksternal agar semua pesan keluar sudah dibuat dengan jelas dan konsisten dengan
strategi komunikasi Perusahaan. 18. Menyusun siaran pers yang efektif, mempersiapkan
informasi bagi jurnalis dalam bentuk media kits, dan memanfaatkan website perusahaan secara maksimal.
19. Secara proaktif dan kreatif mengidentifikasikan peluang serta bahan cerita yang dapat mengangkat citra dan reputasi
di mata publik. 20. Menerbitkan tulisan-tulisan editorial terpilih siaran pers,
wawancara dan laporan lewat media yang cocok, dan meng-update kanal-kanal komunikasi internal.
21. Mempersiapkan draft pidato dan isi wawancara bagi para anggota Dewan dan pejabat eksekutif Bank, serta mengatur
wawancara dan kontak lain dengan pihak media. 22. Mengevaluasi program periklanan dan promosi Bank serta
kesesuaiannya dengan program humas lainnya. 23. Mengarahkan aktivitas dari agensi eksternalkonsultan yang
mengembangkan dan melaksanakan strategi komunikasi serta program informasi.
24. Merancang dan mengembangkan program kepedulian sosialCSR dan melaksanakannya sebagai proyek-proyek
yang memiliki cakupan, pencapaian milestone, batas waktu, batas anggaran dan hasil-hasil deliverables yang jelas.
25. Menunjuk, mengarahkan, memantau dan mengkaji ulang kinerja dari para Manager proyek.
26. Mengevaluasi program-program CSR dalam hal citra serta reputasi yang terbangun.
27. Mengevaluasi hasil survei kepuasan nasabah dan komunikasi pemasaran. Jika diperlukan, dapat merekomendasikan
pengemasan ulang repackaging dari produk-produk yang sudah ada.
28. Melakukan kordinasi dalam penyusunan, pengembangan dan pengaplikasian kebijakan danatau panduan untuk
mendukung kelancaran proses pengelolaan Divisi Corporate Secretary.

17. To oversee all external communications so that all outgoing messages are created clearly and consistently with the
Company’s communication strategies. 18. Preparing effective press releases, preparing information for
journalists in the form of media kits, and utilizing company’s website to the maximum.
19. Proactively and creatively identify the opportunities as well as story materials which can improve the image and
reputation in public. 20. Publishing selected editorial writings press releases,
interviews, and reports through suitable media, and updating the internal communication channels.
21. Preparing draft speeches and content of interview for members of the Board and Bank’s executive officers, as well
as arranging interviews and other contacts with the media. 22. Evaluating Bank’s advertising and promotion programs as
well as their compliance with other PR programs. 23. Directing the activities of external agenciesconsultants
who develop and implement communication strategies and information programs.
24. Designing and developing social awarenessCSR programs and implementing them as projects that have clear scope,
milestones, deadline, budget limits, and deliverables. 25. Appointing, directing, monitoring, and reviewing project
manager’s performance. 26. Evaluating CSR programs in terms of image and reputation
established. 27. Evaluating the results of customer satisfaction surveys
and marketing communications. If needed, can recommend repackaging of the already existing products.

29. Mempersiapkan, mengkoordinasikan dan mengusulkan program kerja Divisi Corporate Secretary kepada Direktur
yang membidangi serta mengontrol penggunaan anggaran Divisi Corporate Secretary agar sesuai dengan program kerja
tersebut.
30. Membina dan meningkatkan kualitas Staf Divisi Corporate Secretary dalam hal efektivitas kinerja.
31. Mengembangkan dan memfasilitasi komunikasi dengan Divisi lain, Kantor Wilayah, Kantor Cabang, dalam hal
pelaksanaan berbagai pengelolaan kinerja dan aktivitas Divisi Corporate Secretary.
32. Mengelola penerapan manajemen risiko di Divisi Corporate Secretary.
33. Melaksanakan prinsip kehati-hatian dan kepatuhan terhadap Peraturan Regulator dan Peraturan Perundang-
undangan, serta Peraturan internal lainnya yang berlaku. 34. Memonitor seluruh bidang kerja Divisi Corporate Secretary
sesuai dengan ketentuan yang berlaku. 35. Mensosialisasikan ketentuan-ketentuan internal bank dan
ketentuan lain yang berkaitan dengan ruang lingkup tugas di lingkungan divisinya.
36. Melakukan koordinasi dalam penyediaan datadokumen terkait dengan pemeriksaan internal dan Eksternal sesuai
dengan ketentuan yang berlaku dan batas kewenangan yang diberikan oleh Direksi.
37. Melakukan koordinasi dalam rangka menindaklanjuti temuan hasil pemeriksaan internal dan eksternal sesuai
dengan batas kewenangan yang diberikan Direksi. 38. Memberikan masukan dan pertimbangan yang menyangkut

33. Implementing the prudential principles and compliance to Regulatory Regulations and the legislations, as well as
other applicable Internal Regulations. 34. Monitoring all work areas of Corporate Secretary Division
in line with the applicable regulations. 35. Disseminating bank’s internal provisions and other
provisions relating to the scope of duties within its division. 36. Coordinating provision of datadocuments related to internal

Warga negara Indonesia, berdomisili di Jakarta. Lahir pada 15 Oktober 1976 saat ini berusia 40 tahun. Meraih gelar Sarjana
di bidang Hubungan Internasional dari Universitas Padjadjaran pada tahun 1998 dan memperoleh gelar Master di bidang
Manajemen dari Universitas Aston pada tahun 2001. Beliau pernah menjabat sebagai Senior Vice President – Head Of
Marketing and Segment Offering di PT. Bank Commonwealth April 2012 – Juni 2015, Head Of Acquisition di Citibank Oktober
2010 - Juli 2012, serta Vice President Marketing di PT. Bank Barclays Indonesia November 2009 – Juni 2010. Menjabat
sebagai Sekretaris Perusahaan sejak tahun 2015 berdasarkan Surat Keputusan Direksi No 0464SKDIR-SDM2015.
Citizen of Indonesia, domiciled in Jakarta. Born on 15 October 1976, currently 40 years old. Obtained Bachelor degree in

Tugas, wewenang dan tanggung jawab Risk Management Committee RMC sesuai SK No. 968SKDIR-MR2014 tanggal
8 Desember 2014 tentang Pedoman Komite Manajemen Risiko Risk Management Committee adalah sebagai berikut:
1. Penetapan kebijakan manajemen risiko serta perubahannya,
termasuk strategi manajemen risiko dan contingency plan dalam kondisi eksternal tidak normal terjadi worst case
scenario; 2. Penetapan atas perbaikan dan penyempurnaan penerapan
manajemen risiko yang dilakukan secara berkala maupun insidentil sebagai akibat dari suatu perubahan kondisi
eksternal dan internal Bank yang mempengaruhi kecukupan permodalan dan profil risiko Bank dan hasil evaluasi
terhadap efektivitas penerapan tersebut;
3. Penetapan justification atas hal-hal yang terkait dengan keputusan-keputusan bisnis yang menyimpang dari prosedur
normal irregularities, seperti keputusan pelampauan ekspansi usaha yang signifikan dibandingkan dengan rencana bisnis
bank yang telah ditetapkan sebelumnya atau pengambilan posisieksposur risiko yang melampaui limit yang telah
ditetapkan;
4. Penetapan perubahan materi yang terdapat pada kebijakan dan prosedur penerapan manajemen risiko;
5. Memastikan dilakukannya pengawasan risiko melalui penetapan toleransi atau limit risiko atas pengajuan oleh risk
taking unit yang dapat diterima serta alokasi modal terkait cadangan risiko untuk seluruh kegiatan operasional bank;
6. Mengkoordinasikan dan memantau seluruh strategi manajemen risiko;
7. Melakukan evaluasi terhadap penerapan model-model pengukuran risiko bank;
8. Menyetujui strategi manajemen risiko yang melampaui kewenangan pimpinan satuan kerja operasional;
9. Penetapan risk appetite dan risk tolerance atas produk dan aktivitas baru dan sesuai dengan kemampuan bank untuk

The duties, authorities, and responsibilities of the Risk Management Committee RMC pursuant to Decree No. 968
SKDIR-MR2014 dated 8 December 2014 on Guidelines for the Risk Management Committee are as follows:
1. The establishment of risk management policy and its
changes, including risk management strategies and contingency plan in irregular external conditions worst
case scenario; 2. The establishment of improvement and refinement of the
implementation of risk management carried out periodically as well as incidentally as a result of a change in the Bank’s
external and internal conditions which affect its capital adequacy and risk profile and the evaluation result of the
effectiveness of such implementation;
3. The justification of matters in connection with business decisions that deviate from the normal procedure
irregularities, such as decision on significant business expansion which is far beyond the Bank’s predetermined
business plan or the taking of positionrisk exposure that exceeds the predetermined limit;
4. The establishment of material changes in the policies and procedures for risk management implementation;
5. To ensure supervision of risk through the establishment of risk tolerance or limit as proposed by the risk taking unit which
can be tolerated and the allocation of capital in connection with the risk reserve for all operational activities of the Bank;
6. To coordinate and monitor all risk management strategies; 7. To conduct an evaluation of the application of different
models of the Bank’s risk measurement; 8. To approve a risk management strategy that goes beyond
the authority of the head of the operational work unit; 9. To establish risk appetite and risk tolerance to new products
and activities and in accordance with the Bank’s ability to carry out those new activities and products;
10. To monitor the Bank’s capital adequacy against risk exposure in accordance with the applicable regulations
from Bank Indonesia; 11. To conduct an evaluation of the Bank’s Risk Profile Reporting;

• Rencana pelaksanaan road-map untuk mencapai kebutuhan Teknologi Informasi yang mendukung strategi
bisnis Bank. Road map terdiri dari kondisi saat ini current state, kondisi yang ingin dicapai future state serta langkah-
langkah yang akan dilakukan untuk mencapai future state;
• Sumber Daya yang dibutuhkan; • Keuntunganmanfaat yang akan diperoleh saat rencana
diterapkan. 2. Perumusan kebijakan dan prosedur Teknologi Informasi
yang utama seperti kebijakan pengamanan Teknologi Informasi dan manajemen risiko terkait penggunaan
Teknologi Informasi di Bank; 3. Kesesuaian proyek-proyek Teknologi Informasi yang
disetujui dengan Rencana Strategis Teknologi Informasi, Komite Pengarah Teknologi Informasi juga menetapkan
status prioritas proyek Teknologi Informasi yang bersifat kritikal berdampak signifikan terhadap kegiatan
operasional Bank misalnya penggantian core banking application, server production dan topologi jaringan;
4. Kesesuaian antara pelaksanaan proyek-proyek Teknologi Informasi dengan rencana proyek project charter yang
disepakati dalam service level agreement. Komite Pengarah Teknologi Informasi hendaknya melengkapi rekomendasi
dengan hasil analisis dari proyek-proyek Teknologi Informasi yang utama sehinga memungkinkan Direksi mengambil
keputusan secara efisien;
5. Kesesuaian Teknologi Informasi dengan kebutuhan sistem informasi manajemen yang mendukung pengelolaan
kegiatan usaha Bank; 6. Efektivitas langkah-langkah meminimalkan risiko atas
investasi Bank pada sektor Teknologi Informasi agar investasi tersebut memberikan kontribusi terhadap
tercapainya tujuan bisnis Bank; 7. Pemantauan atas kinerja Teknologi Informasi, dan
upaya peningkatannya misalnya dengan mendeteksi keusangan Teknologi Informasi dan mengukur efektivitas
dan efisiensi penerapan kebijakan pengamanan Teknologi Informasi;
8. Upaya penyelesaian berbagai masalah terkait Teknologi Informasi yang tidak dapat diselesaikan oleh satuan kerja
pengguna dan dan satuan kerja penyelenggara. Komite Pengarah Teknologi Informasi dapat memfasilitasi
hubungan antara kedua satuan kerja tersebut;
9. Kecukupan dan alokasi sumber daya yang dimiliki Bank. Apabila sumber daya yang dimiliki tidak memadai dan Bank
akan menggunakan jasa pihak lain dalam penyelenggaraan Teknologi Informasi maka Komite Pengarah Teknologi
Informasi harus memastikan Bank telah memiliki kebijakan dan prosedur terkait;

• The road map to meet the needs of the Information Technology that supports the Bank’s business strategies.
The road map consists of current state, future state, and steps to be taken to achieve the future state;
• The required resources; • The advantagesbenefits that will be generated when
the plan is implemented; 2. The formulation of policies and procedures for Information
Technology such as Information Technology security policy and risk management related to the use of Information
Technology in the Bank; 3. The suitability of the Information Technology projects which
are approved to be in the Information Technology Strategic Plan, the Information Technology Steering Committee
also sets the priority status of the information Technology projects which are critical having significant impacts on the
Bank’s operations such as replacement of core banking application, server production, and network topology;
4. The suitability of the implementation of the Information Technology projects to the project charter agreed in the
service level agreement. The Information Technology Steering Committee should complete the recommendations
with the analysis of major Information Technology Projects which allows the Directors to make decisions efficiently;
5. The suitability of the Information Technology to the needs of the management information systems that support the
management of the Bank’s business activities ; 6. The effectiveness of measures taken to minimize the risk on
the Bank’s investment in the Information Technology sector in order that the investment contributes to the achievement
of the Bank’s business objectives; 7. Monitoring of the performance of Information Technology,
and the improvement efforts, for example by detecting the obsolescence of Information Technology and measuring the
effectiveness and efficiency of the application of Information Technology security policies;
8. The settlement efforts related to information technology that cannot be completed by a user working unit and
an organizing working unit. The Information Technology Steering Committee can facilitate the relationship between
these work units;
9. Adequacy and allocation of resources owned by the Bank. If the available resources are inadequate and the Bank will
engage services from other parties in the implementation of the Information Technology, the Information Technology
Steering Committee should ensure the Bank has relevant policies and procedures in place;

according to the targeted profit, growth of balance sheet and several other profitability measures as determined in

plan, and take measures in the form of policy and action plan in order to realize the targets of the work plan and
budget as well as propose possible changes in the budget
3. Formulate and decide on pricing strategy which includes: a. Loan Pricing Prime Lending Rate, Based Rate, etc.

5. Melakukan rapat secara berkala untuk menilai, mengevaluasi performance Bank yang berkaitan dengan posisi gap
management, batas maksimun pemberian kredit BMPK dan Posisi Devisa Netto PDN.
6. Mengevaluasi posisi suku bunga Bank dan strategi Bank untuk memastikan bahwa hasil risk taking position Bank telah
konsisten dengan tujuan pengelolaan risiko suku bunga .
7. Mereview secara periodik posisi likuiditas Bank dan merumuskan besarnya presentase likuiditas yang akan
dipertahankan oleh Bank. 8. Mereview secara periodik posisi alokasi penempatan dana
Bank pada aktiva yang menghasilkan earning assets dan merumuskan pada alokasi dana pada earning assets yang
optimal. 9. Mereview secara periodik posisi sumber dana Bank dan
merumuskan komposisi jenis-jenis sumber dana yang menghasilkan cost of funds yang optimal.
10. Mereview secara periodik posisi dan eksposure penempatan dana di pasar uang antar Bank dengan menetapkan limit
global besarnya aset Bank pada penempatan dana di pasar uang.
11. Mereview dan merencanakan secara periodik posisi kualitas Portofolio perkreditan, juga menetapkan besarnya posisi
loan to deposit Ratio LDR yang akan diambil Bank. 12. Melakukan pembahasan mengenai posisi permodalan Bank
dalam upaya mencapai posisi Capital Adequacy Ratio yang ditentukan oleh Bank Indonesia dengan melaksanakan
capital planning yang cermat. 13. Mereview pembahasanreview mengenai posisialokasi
dana pada penyertaan dan investasi Bank pada surat-surat berharga, serta pada jumlah yang optimal atas harta tetap
dan inventaris kantor. 14. Mereview deviasi antara hasil aktual dengan proyeksi
anggaran dan rencanan bisnis bank. 15. Menyampaikan informasi kepada Direksi mengenai setiap
perkembangan ketentuan dan peraturan terkait yang mempengaruhi strategi dan kebijakan bank.
16. Melaksanakan rapat-rapat lainnya yang disyaratkan oleh perubahan-perubahan yang terjadi di pasar ataupun
perubahan-perubahan dari segi regulasi pemerintah yang terjadi secara tiba-tiba.

Selama tahun 2016, Asset and Liability Committe telah melaksanakan tugas dengan mengadakan rapat sebanyak
13 tiga belas kali, antara lain membahas mengenai:
