Rapat Komite Tata Kelola Terintegrasi membahas mengenai evaluasi kebijakan dan penerapan tata kelola terintegrasi pada LJK. 3. Rapat Komite Tata Kelola Terintegrasi dapat dilaksanakan melalui video conference. 4. Hasil rapat Komite Tata Kelola Terintegrasi dituangkan dalam risalah rapat dan didokumentasikan secara baik. inTeGraTeD cOrPOraTe GOVernance cOmmiTTee cOmPeTence DeVelOPmenT Throughout 2016, the Integrated Corporate Governance Committee members participated in various programs to increase their competence including training, workshops, conferences, seminars, as follows: inTeGraTeD GOVernance cOmmiTTee meeTinGs Provisions related to Integrated Corporate Governance Committee Meetings are set forth in the Integrated Governance Committee Working Guidelines and Code of Conduct as follows: 1. Integrated Governance Committee meetings are held at least 4 four times in one 1 year, tailored to their needs. 2. Integrated Governance Committee meetings evaluate integrated corporate governance policies and implementation at LJK. 3. Integrated Governance Committee meetings may be conducted through video conference. 4. Perbedaan pendapat dissenting opinion yang terjadi dalam rapat Komite Tata Kelola Terintegrasi dicantumkan secara jelas dalam risalah rapat beserta alasan perbedaan pendapat. 6. Rapat Komite Tata Kelola Terintegrasi dapat mengambil keputusan apabila sekurang-kurangnya dihadiri oleh 51 lima puluh satu per seratus dari jumlah anggota termasuk seorang Komisaris Independen. 7. Keputusan rapat Komite Tata Kelola Terintegrasi dilakukan berdasarkan musyawarah mufakat. 8. Apabila dalam musyawarah tidak tercapai kata mufakat, maka pengambilan keputusan dilakukan dengan cara pengambilan suara terbanyak pemungutan suara. 9. Sehubungan dengan pengambilan suara, maka setiap anggota Komite Tata Kelola Terintegrasi yang hadir berhak memberikan 1 satu suara dan tambahan 1 satu suara untuk setiap anggota Komite Tata Kelola Terintegrasi yang diwakilinya yang dilengkapi dengan surat kuasa. 10. Rapat Komite Tata Kelola Terintegrasi dipimpin oleh ketua Komite Tata Kelola Terintegrasi atau anggota Komite Tata Kelola Terintegrasi yang berasal dari unsur Dewan Komisaris apabila ketua Komite Tata Kelola Terintegrasi berhalangan hadir. 11. KPBP mengadakan rapat sekurang – kurangnnya 2 dua kali dalam 1 satu bulan, atau disesuaikan dengan kebutuhan. 2. Rapat KPBP membahas mengenai kebijakan serta jalannya bisnis dan perkreditan bank. 3. Rapat KPBP dapat mengambil keputusan apabila dihadiri oleh sekurang – kurangnya 51 lima puluh satu per seratus dari jumlah anggota dan dipimpin oleh ketua. Apabila ketua berhalangan hadir maka rapat dapat dipimpin oleh anggota yang berasal dari Komisaris Independen. 4. Keputusan rapat KPBP dilaksanakan berdasarkan musyawarah mufakat. Apabila musyawarah mufakat tidak tercapai, maka pengambilan keputusan dilaksanakan dengan cara pengambilan suara terbanyak pemungutan suara. 5. Dalam rangka pemungutan suara, maka setiap anggota KPBP yang hadir berhak memberikan 1 satu suara dan tambahan 1 satu suara untuk setiap anggota KPBP yang diwakilinya dilengkapi dengan surat kuasa. 6. Setiap rapat KPBP dituangkan dalam risalah rapat dan didokumentasikan dengan baik. 7. KPBP holds meeting at least 2 two times in 1 one month, or as necessary. 2. KPBP meetings discuss about policies, business operations, and bank credit. 3. KPBP meeting can make decision if the meeting is attended by at least 51 fifty-one percent of the members and the head leads the meeting. If the head is absent, the meeting will be chaired by members who is also an Independent Commissioners. 4. KPBP meeting decision is conducted based on deliberation. If deliberation is not achieved, decision making will be done by voting. 5. In the event of voting, each attending KPBP member is entitled to give 1 one vote and extra 1 one vote for each KPBP member represented by showing letter of power of attorney. 6. Each KPBP meeting is well documented with minutes of meetings. 7. Dissenting opinions that occurs in KPBP meeting must be stated in the minutes of meetings including the reason of the dissenting opinions. Kesesuaian proyek-proyek Teknologi Informasi yang disetujui dengan Rencana Strategis Teknologi Informasi, Komite Pengarah Teknologi Informasi juga menetapkan status prioritas proyek Teknologi Informasi yang bersifat kritikal berdampak signifikan terhadap kegiatan operasional Bank misalnya penggantian core banking application, server production dan topologi jaringan; 4. Kesesuaian antara pelaksanaan proyek-proyek Teknologi Informasi dengan rencana proyek project charter yang disepakati dalam service level agreement. Komite Pengarah Teknologi Informasi hendaknya melengkapi rekomendasi dengan hasil analisis dari proyek-proyek Teknologi Informasi yang utama sehinga memungkinkan Direksi mengambil keputusan secara efisien; 5. Kesesuaian Teknologi Informasi dengan kebutuhan sistem informasi manajemen yang mendukung pengelolaan kegiatan usaha Bank; 6. Efektivitas langkah-langkah meminimalkan risiko atas investasi Bank pada sektor Teknologi Informasi agar investasi tersebut memberikan kontribusi terhadap tercapainya tujuan bisnis Bank; 7. Pemantauan atas kinerja Teknologi Informasi, dan upaya peningkatannya misalnya dengan mendeteksi keusangan Teknologi Informasi dan mengukur efektivitas dan efisiensi penerapan kebijakan pengamanan Teknologi Informasi; 8. Upaya penyelesaian berbagai masalah terkait Teknologi Informasi yang tidak dapat diselesaikan oleh satuan kerja pengguna dan dan satuan kerja penyelenggara. Komite Pengarah Teknologi Informasi dapat memfasilitasi hubungan antara kedua satuan kerja tersebut; 9. Kecukupan dan alokasi sumber daya yang dimiliki Bank. The suitability of the implementation of the Information Technology projects to the project charter agreed in the service level agreement. The Information Technology Steering Committee should complete the recommendations with the analysis of major Information Technology Projects which allows the Directors to make decisions efficiently; 5. The suitability of the Information Technology to the needs of the management information systems that support the management of the Bank’s business activities ; 6. The effectiveness of measures taken to minimize the risk on the Bank’s investment in the Information Technology sector in order that the investment contributes to the achievement of the Bank’s business objectives; 7. Hal tersebut dikarenakan terdapatnya kepemilikan saham beberapa Lembaga Jasa Keuangan oleh bank bjb. Selain hal tersebut, dengan kedudukan bank bjb sebagai Lembaga Jasa Keuangan yang Pemegang Saham Pengendalinya adalah Pemerintah Provinsi Jawa Barat, bank bjb memiliki keterkaitan dengan Lembaga Jasa Keuangan yang dimiliki oleh Pemerintah Provinsi Jawa Barat. Beberapa upaya yang telah dilakukan oleh Bank terkait implementasi Peraturan Otoritas Jasa Keuangan nomor 18POJK.022014 tersebut adalah sebagai berikut.

1. Pembentukan Satuan Kerja

Melalui Surat Keputusan Direksi nomor 621SK DIR-PS2015 tentang Struktur Organisasi PT. Bank Pembangunan Daerah Jawa Barat dan Banten, Tbk., Perseroan membentuk grup manajemen risiko terintegrasi yang berada di bawah Satuan Kerja Manajemen Risiko yang sudah dimiliki oleh Perseroan guna melaksanakan pemantauan pelaksanaan manajemen risiko terintegrasi pada konglomerasi keuangan bank. Terkait pelaksanaan fungsi Kepatuhan terintegrasi dan Audit internal terintegrasi, Bank menetapkan untuk melaksanakan kedua fungsi tersebut pada satuan kerja yang telah ada yakni Satuan Kerja Kepatuhan dan Satuan Kerja Audit Internal. bank bjb is one of the Financial Service Institutions that is obliged to implement Financial Services Authority Regulation number 18POJK.032014 regarding Governance Implementation for Integrated Governance Financial Conglomerate. This is due to share ownership of several Financial Service Institutions by bank bjb. In addition, as a Financial Service Institution where the Controlling Shareholder is West Java Provincial Government, bank bjb has a linkage with the Financial Service Institution owned by West Java Provincial Government. This linkage has made the Company to hold a controlling relationship with the Financial Service Institution owned by West Java Provincial Government. Based on the aforementioned, the Company and all Financial Service Institutions which have ownership relationhsip or controlling relationship are categorized as a Financial Conglomerate. As part of the Financial Conglomerate, bank bjb wishes to have an active role in implementing integrated governance in accordance with Financial Services Authority Regulation number 18POJK.032014 regarding Governance Implementation for Financial Conglomerate, so that the governance implementation is conducted in an integrated manner which will manifest a healthy financial conglomerate in the future and will create a growing sustainable and stable financial service sector. In accordance with letter number 5391030InvesBUMD dated 2 March 2015 regarding the Appointment of bank bjb as a Main Entity and letter number 5391495InvesBUMD dated 27 March 2015 regarding the Appointment of bank bjb as the Main Entity, the Bank is appointed as the Main Entity to all Financial Service Institutions owned andor controlled by West Java Provincial Government. Several efforts made by the Bank related to the implementation of Financial Services Authority Regulation number 18POJK.022014 are as follows:

1. The Formation of Work Unit

Through Director’s Decree number 621SKDIR-PS2015 regarding Organizational Structure of PT Bank Pembangunan Daerah Jawa Barat dan Banten, Tbk, the Company formed an integrated risk management group operating under the Risk Management Work Unit owned by the Company to conduct supervision on the implementation of integrated risk management in a financial conglomerate bank. 3. Pembentukan Komite Manajemen Risiko Terintegrasi

Bank telah membentuk Komite Manajemen Risiko Terintegrasi, melalui Surat Keputusan Direksi nomor 1146SKDIR-MR2016 tanggal 28 Desember 2016 tentang Susunan Komite Manajemen Risiko Terintegrasi. 4. Penyusunan Pedoman Tata Kelola Terintegrasi

Sebagai Entitas Utama, Bank juga memiliki kewajiban untuk menyusun Pedoman Tata Kelola Terintegrasi. Penyusunan Pedoman Tata Kelola Terintegrasi dimaksud berpedoman kepada Peraturan Otoritas Jasa Keuangan nomor 18 POJK.032014 tentang Penerapan Tata Kelola Bagi Konglomerasi Keuangan serta ketentuan-ketentuan yang berlaku bagi masing-masing Lembaga Jasa Keuangan yang tergabung di dalam Konglomerasi Keuangan. Bank telah menetapkan pedoman tata kelola terintegrasi melalui Surat Keputusan Direksi nomor 0104SKDIR-KP2016 tanggal 15 Februari 2016 tentang Kebijakan Tata Kelola Terintegrasi Dalam Konglomerasi Keuangan PT. 4. Preparation of Integrated Governance Guideline

As a Main Entity, the Bank also has the obligation to prepare an Integrated Governance Guideline. Preparation of Integrated Governance said Guideline is based on the Regulation of Financial Services Authority No.18 POJK.032014 regarding Governance Implementation for Financial Conglomerate and other provisions applicable to the respective Financial Services Institutions incorporated within the Financial Conglomerate.
