d. Struktur Komite Remunerasi dan Nominasi

1. Komite Remunerasi dan Nominasi bertanggung jawab langsung kepada Komisaris dan dapat dibentuk secara terpisah. 2. Komite Remunerasi dan Nominasi Diangkat dan diberhentikan oleh Direksi berdasarkan Keputusan Rapat Komisaris. 3. Komite Remunerasi dan Nominasi sekurang- kurangnya terdiri dari 3 tiga orang anggota yaitu seorang Komisaris Independen, seorang Komisaris dan seorang pejabat eksekutif yang membawahi sumber daya manusia yang berasal dari perseroan. 4. Komite Remunerasi dan Nominasi diketuai Komisaris Independen dan Komisaris Independen yang ditunjuk sebagai Komite Remunerasi dan Nominasi hanya diperbolehkan memiliki jabatan rangkap sebagai ketua pada 1 satu Komite yang lain. 5. Anggota Direksi dilarang menjadi anggota Komite Remunerasi dan Nominasi. 6. Dalam hal anggota Komite Remunerasi dan Nominasi ditetapkan lebih dari 3 tiga orang maka anggota Komite yang merupakan Komisaris Independen paling kurang berjumlah 2 dua orang. 7. Jika dianggap perlu Komite dapat mengangkat seorang Sekretaris Komite dengan penugasan, hak, wewenang dan tanggung jawabnya ditetapkan oleh Ketua Komite.

e. Masa Tugas Anggota Komite Remunerasi

Masa Tugas anggota Komite Remunerasi dan Nominasi adalah sebagai berikut: 1. Masa Tugas anggota Komite Remunerasi dan Nominasi ditetapkan oleh Dewan Komisaris dan selama-lamanya sama dengan berakhirnya masa tugas Komisaris. 2. Apabila anggota Dewan Komisaris yang diangkat menjadi ketua dan atau anggota Komite berhenti dari jabatannya sebagai Komisaris sebelum masa tugasnya selesai, maka jabatan ketua dan anggota komite dimaksud dapat digantikan oleh anggota Dewan Komisaris yang lain. d. Structure of Remuneration and Nomination Committee

1. Remuneration Nomination Committee is directly accountable to the Board of Commissioners and can be separately established 2. Remuneration Nomination Committee is appointed and dismissed by the Board of Directors based on the BOC meeting resolution 3. Remuneration and Nomination Committee shall at least consists of 3 three members; an Independent Commissioner, a Commissioner and an executive officer overseeing Company personnel 4. Remuneration and Nomination Committee is headed by an Independent Commissioner, and can only concurrently hold the position of chair for another 1 one Committee 5. BOD members are prohibited from becoming a member of the Remuneration Nomination Committee 6. Remuneration and Nomination Committee shall only consists of 3 three members of which at least 2 two of them are Independent Commissioners. 7. When deemed necessary, the Committee may appoint a Committee Secretary with duties, rights, authority and responsibilities as determined by the Committee Chairman.

e. Tenure of Remuneration and Nomination Committee Members

Tenure of Remuneration and Nomination Committee Members are as follows: 1. The office term of the Remuneration and Nomination Committee members is determined by the Board of Commissioners of which the length of service shall be similar to the tenure of the Commissioners. 2. In the event that a BOC member elected as the Committee Chairman and or member no longer holds office as Commissioner before the expiry of tenure, the position of Committee Chairman and member shall be replaced by another BOC member.
