3. Kelengkapan dan pelaksanaan tugas Komite = peringkat 1
a. Komposisi dan kompetensi anggota komite-komite sangat sesuai dibandingkan dengan ukuran dan kompleksitas usaha Bank. b. Pelaksanaan tugas komite-komite telah berjalan sangat efektif dan tidak ada kelemahan minor. c. Rekomendasi komite-komite, sangat bermanfaat dan dapat dipergunakan sebagai bahan acuan keputusan Dewan Komisaris. d. Penyelenggaraan rapat komite-komite berjalan sesuai dengan pedoman intern dan terselenggara secara sangat efektif dan efisien.4. Penanganan benturan kepentingan = peringkat 2
a. Bank memiliki kebijakan, sistem dan prosedur mengenai benturan kepentingan yang lengkap dan efektif antara lain sebagaimana dimuat dalam Credit Policy Commitee CPC, Buku Kode Etik BNI, Buku Budaya Kerja Prinsip 46, Anggaran Dasar BNI dan Buku Pedoman Perusahaan BPPSOP BNI. Disamping itu Bank telah memiliki ketentuan tentang pemberian kredit kepada calon debitur yang memiliki hubungan keluarga maupun yang mengandung benturan kepentingan dengan pemroses dan atau pemutus kredit, dan di dalam BPPSOP BNI juga memuat ketentuan-ketentuan untuk mecegah terjadinya benturan kepentingan dalam proses Pengadaan barang dan Jasa. b. Benturan kepentingan telah diungkapkan dalam setiap keputusan, telah diadministrasikan serta terdokumentasi dengan baik. Sebab-sebab pengalihan proses atau pengambilan keputusan kredit karena adanya benturan kepentingan diinformasikan dalam Perangkat Aplikasi Kredit PAK. PAK beserta data dan dokumen dalam rangka pemberian kredit tersebut disimpandidokumentasi sesuai ketentuan yang berlaku. c. Kebijakan intern mengenai benturan kepentingan yang diterapkan Bank dapat menghindarkan terjadinya benturan kepentingan yang dapat merugikan atau mengurangi keuntungan Bank. c. BOD’s discharging of duties and responsibilities fully complies with the principles of GCG and they are carried out in an effective manner without any shortcomings. d. BOD meetings are effectively and efficiently organized, and every resolution from such BOD meetings is presented through Minutes of Meetings along with the obligation to deliver follow-up reports from implementing units. e. Transparency with regard to BOD members is highly satisfactory and has not under any circumstances violated any laws and regulations or policies.3. a. The composition and competence of Committee members are highly compatible with the breadth and complexity of the Bank’s businesses. b. The implementation of duties assigned to Committees is effectively carried out without any shortcomings. c. Recommendations from Committees are extremely beneficial and can serve as reference for BOC decisions. d. Committee meetings are organized according to internal guidelines and proceed in a highly effective and efficient manner.4. Handling of conflict of interest = second rank
a. The Bank has established policies, systems, and procedures on conflict of interest in a comprehensive and effective manner among others as governed by the Credit Policy Committee CPC, BNI’s Book of Code of Conduct, Principle 46 Work Culture, Articles of Association, and Company ManualSOP. In addition, the Bank has implemented regulations on giving out loans to prospective debtors having family ties or conflict of interest with the person in charge of processing andor approving loan applications. BNI’s Company Manual SOP also contains policies to prevent the occurrence of conflict of interest in the procurement of goods and services. b. Conflict of interest is disclosed in every decision and has been well administered and documented. Reasons for diverting loan approval processes or decision-making due to the presence of conflict of interest are informed through the Loan Application Tool LAT. LAT together with data and documents on credit approvals are helddocumented in accordance with existing policies. c. Internal policies concerning conflict of interest applied by the Bank can effectively prevent the occurrence of conflict of interest that may adversely affect or lower Bank’s profitability. a. Kepatuhan bank tergolong baik. Beberapa ketentuan prudential, seperti Capital Adequacy Ratio CAR, Giro Wajib Mimimun GWM, Batas Maksimum Pemberian Kredit BMPK, Net Open Position NOP, Non Performing Loan NPL, dan Penyisihan Kualitas Aktiva pada umumnya telah dipenuhi. Terhadap ketentuan yang bersifat administratif, terdapat beberapa ketidakpatuhan yang terjadi karena keterlambatan penyampaian laporan pengangkatan pejabat eksekutif, laporan koreksi Laporan Bank Umum LBU dan Laporan Sistem Informasi Debitur SID. b. Pelaksanaan tugas dan independensi Direktur Kepatuhan dan Divisi Kepatuhan sebagai satuan kerja kepatuhan telah berjalan efektif, Divisi Kepatuhan bertanggung jawab langsung kepada Direktur Kepatuhan dan Divisi Kepatuhan merupakan partner yang independen dengan unit organisasi lainnya. c. Pelaksanaan pemantauan kepatuhan oleh Direktur Kepatuhan melalui Divisi Kepatuhan telah dilaksanakan secara efektif, yaitu melalui review Quality Assurance di segenap unit organisasi berdasarkan risk assesment, sertifikasi rancangan kebijakan, uji kepatuhan rancangan keputusan kredit dan pengadaan barang dan jasa procurement, serta penerapan program Anti Pencucian Uang APU Pencegahan Pendanaan Terorisme PPT dan Undang-undang Pencegahan dan Pemberantasan Tindak Pidana Pencucian Uang UU PP TPPU. d. Pedoman, sistem dan prosedur kerja tersedia cukup lengkap di setiap unit organisasi dan dilakukan updating sejalan dengan ketentuan yang berlaku. Terhadap pelaksanaan tugasnya, Divisi Kepatuhan juga telah mengembangkan Management Information System yang memadai.6. Penerapan fungsi audit intern = peringkat 2
