1. Direktur Utama bertanggung jawab untuk mengkoordinasikan, mengendalikan dan mengevaluasi fungsi dan bidang Pengawasan Intern, Perencanaan Strategis serta Komunikasi Perusahaan Kesekretariatan. 2. Wakil Direktur Utama bertanggung jawab untuk mengkoordinasikan, mengendalikan dan mengevaluasi fungsi dan bidang Business Risk , Kredit Khusus, Risiko Kredit, Change Management Office , Sumber Daya Manusia dan Pendidikan dan Pelatihan. t. Establish the Company’s organizational structure complete with detailed description of work and duties; u. Provide the necessary explanation on all matters inquired or requested by BOC members and Dwiwarna Series A shareholders by paying heed to applicable laws and regulations primarily those pertaining to the Capital Market; v. Discharge other obligations in accordance with policies set forth in the Articles of Association and those issued by the GMS based on existing laws and regulations. In discharging its duties, the Board of Directors conducted the following: 1. Board of Directors is accountable to shareholders through GMS in the implementation of its obligations. 2. Board of Directors established the Internal Audit Unit, Risk Policy and Management Unit, Risk Management Committee and Compliance Division. 3. Board of Directors publishes the Bank’s strategic personnel policies for all employees through easily accessible media such as Company newsletter, SMS, intranet and in-house magazine. 4. Board of Directors provides comprehensive data and information in an accurate, updated and timely manner to the Board of Commissioners. 5. Board of Directors abides by work guidelines and procedures pertaining to work ethics, work schedules and BOD meetings which must conform to changes made in the Company Articles of Association and existing laws and regulations.b. 1. The President Director is responsible for coordinating, controlling and evaluating the function and areas of Internal Audit Strategic Planning and Corporate Communication Secretariat. 2. Direktur Konsumer Ritel bertanggung jawab untuk mengkoordinasikan, mengendalikan dan mengevaluasi fungsi dan bidang Kredit Konsumen, Bisnis Kartu, Wealth Management, Dana Jasa Konsumen, Dana Pensiun Lembaga Keuangan. 5. Direktur Jaringan Layanan bertanggung jawab untuk mengkoordinasikan, mengendalikan dan mengevaluasi fungsi dan bidang East West Network, Jaringan, Wilayah, Cabang Luar Negeri, Unit Service Quality , BNI Contact Center. 6. Direktur Operasional dan Teknologi Informasi bertanggung jawab untuk mengkoordinasikan, mengendalikan dan mengevaluasi fungsi dan bidang Operasional dan Teknologi informasi 7. Direktur Tresuri Financial Institution bertanggung jawab untuk mengkoordinasikan, mengendalikan dan mengevaluasi fungsi dan bidang Tresuri dan Internasional. 8. Direktur Kepatuhan bertanggung jawab untuk mengkoordinasikan, mengendalikan dan mengevaluasi fungsi dan bidang Kepatuhan dan Hukum 9. Direktur Keuangan Chief Financial Officer bertanggung jawab untuk mengkoordinasikan, mengendalikan dan mengevaluasi fungsi dan bidang Pengendalian Keuangan, Umum, Pengembangan Perusahaan Anak. 10. Direktur Enterprise Risk Management bertanggung jawab untuk mengkoordinasikan, mengendalikan dan mengevaluasi fungsi dan bidang Enterprise Risk Management dan Policy Governance. The Director of Networks Services is responsible for coordinating, controlling and evaluating the function and areas of East West Network, Regional and Foreign Branch Network, Service Quality, and BNI Contact Center. 6. The Director of Operations and Information Technology is responsible for coordinating, controlling and evaluating the function and areas of Operational and Information Technology. 7. The Director of Treasury Financial Institution is responsible for coordinating, controlling and evaluating the function and areas of Treasury and International. 8. The Director of Compliance is responsible for coordinating, controlling and evaluating the function and areas of Compliance and Legal. 9. The Chief Financial Officer is responsible for coordinating, controlling and evaluating the function and areas of Financial Control, General Affairs and Subsidiary Development. 10. The Director of Enterprise Risk Management is responsible for coordinating, controlling and evaluating the function and areas of Enterprise Risk Management and Policy Governance.
